How NSE Makes Money: Its Revenue Model Before the IPO
National Stock Exchange of India (NSE) earns most of its operating revenue from transaction charges, with options trading providing its largest individual revenue stream. Its red herring prospectus dated September 10, 2026 shows that transaction charges contributed ₹13,057.01 crore, or 78.65% of operating revenue, in FY2026.
The disclosure explains the economics of the company preparing to list. NSE supplies trading infrastructure and associated services to market participants. Its earnings depend on the activity conducted through that infrastructure, the charges it collects and the cost of maintaining the market.
What are NSE's main sources of revenue?
NSE reported consolidated revenue from operations of ₹16,601.31 crore in the year ended March 31, 2026. The business also generated income from investments and other items outside operating revenue, bringing total income to ₹18,713.37 crore.
The distinction matters because a revenue breakdown should use a consistent denominator. Transaction charges represented 78.65% of revenue from operations, rather than 78.65% of total income.
The following figures are drawn from the RHP's performance indicators on pages 135–136. All amounts are in crore rupees and rounded to two decimals.
The selected categories do not sum to the full total because the RHP also reports other operating revenue.
How do transaction charges generate income?
Transaction charges arise from activity across NSE's cash market, futures, options and other platforms. Options generated ₹9,997.57 crore in FY2026, compared with ₹1,554.64 crore from the cash market and ₹1,480.10 crore from futures.
This makes the product mix important. Growth in one segment does not necessarily compensate for weaker activity in another because the revenue contributions differ substantially. A general statement that stock market participation is rising therefore does not, by itself, explain NSE's revenue performance.
Trading turnover and exchange revenue also measure different things. Turnover describes the value of market activity. Transaction revenue is the income NSE recognises from charging for that activity. The much larger turnover figures in the prospectus should not be treated as money earned by the exchange.
What does NSE earn beyond trading fees?
NSE earns connectivity revenue by providing access infrastructure, while data feeds and terminal services distribute market information. Rack charges relate to its colocation facilities. These services support the wider market ecosystem and have separate revenue disclosures.
Listing services contributed ₹352.44 crore in FY2026. Licensing services, including the index business, generated ₹151.85 crore. Clearing and settlement services added another ₹251.45 crore in the consolidated operating revenue breakdown.
These activities broaden NSE's income sources. However, their combined presence should not obscure the scale of transaction charges. An exchange can operate several businesses while remaining financially concentrated in a particular activity.
Why is investment income reported separately?
The RHP classifies some investment income within operating revenue and some within other income. In FY2026, investment income under other income was ₹1,929.08 crore, separate from the ₹841.69 crore included in operating revenue.
Adding the same income twice would overstate the business. Treating all investment balances as freely available shareholder cash would also miss the separate obligations and funds disclosed elsewhere in the prospectus.
For understanding the revenue model, the useful distinction is between charges for market services and returns recognised on investments, while preserving the accounting categories used by NSE.
What does the revenue mix reveal?
NSE's operating revenue fell from ₹17,140.68 crore in FY2025 to ₹16,601.31 crore in FY2026. Its range of services therefore did not prevent a decline in the annual operating total.
The RHP presents a company with several sources of income but a clear centre of financial gravity: transaction charges, particularly options. Understanding that mix provides the foundation for assessing its competition, costs and financial results without confusing the scale of India's markets with the exchange's own earnings.
