NSDL Navigates Market Headwinds with Strategic Growth in Q3 FY26
National Securities Depository Limited (NSDL), a cornerstone of India's financial market infrastructure, reported its Q3 FY26 earnings, showcasing resilience amidst a decelerating market for Demat accounts. The company's consolidated total income stood at INR 394.3 crore, marking a modest 0.8% year-on-year growth. Profit After Tax (PAT) reached INR 89.7 crore, up 4.5% from the previous year. Management clarified that a one-time non-recurring tax item impacted the reported PAT; excluding this, the year-on-year PAT growth would have been a more robust 13.3%. This performance highlights NSDL's ability to maintain stability and strategic momentum despite broader market cautiousness driven by global geopolitical uncertainties and subdued investor interest.
Operational Highlights and Market Positioning
NSDL, India's first and largest depository, continues to demonstrate its dominant market position. The company boasts an 86.2% market share by total Demat custody value and services 99.99% of FPI Demat Holdings. In Q3 FY26, while the overall market saw a deceleration in Demat account growth, NSDL managed to achieve absolute growth in its accounts. The industry added approximately 89 lakh Demat accounts, a decline from 99 lakh in the prior year's comparable quarter. However, NSDL's incremental market share in Beneficiary Owner (BO) accounts for the nine-month period stood at 15.89%, reflecting successful digitization efforts and increased penetration through its existing Depository Participants (DPs). The company also achieved a significant milestone by crossing 1 lakh issuers within the NSDL fold, a testament to its ongoing efforts to promote ease of business.
NSDL's operating revenue, primarily from its standalone operations, provides a granular view of its diverse income streams. The company's total operating income for Q3 FY26 was INR 169.0 crore. The revenue composition reveals a balanced mix of recurring and non-recurring fees.
Strategic Initiatives and Subsidiary Performance
NSDL has been actively pursuing several strategic initiatives to enhance its service offerings and market reach. Key among these are the introduction of a Joint Holding Facility for HUF Demat Accounts, which simplifies access for Hindu Undivided Families, and the enhancement of the margin pledge system through Automated Invocation & Sale (Early Pay-In) to improve transaction turnaround times. The company also successfully completed the allotment of the first Specialized Investment Fund (SIF) launched in India, demonstrating its role in facilitating new investment avenues. Furthermore, the Unified Investor Application (NSDL Speed-e App) now offers investors a consolidated view of their entire portfolio, including equities, mutual funds, and Alternative Investment Funds (AIFs), empowering smarter decision-making.
NSDL's wholly-owned subsidiaries also contribute significantly to its ecosystem. NSDL Payments Bank, in particular, is showing promising growth. Protean e-Governance recently acquired a 4.95% stake in the Payments Bank for INR 30 crore, valuing the bank at approximately INR 580 crore. This investment is aimed at bolstering digital services distribution. The Payments Bank has seen its deposit balances cross INR 475 crore and its account holder base exceed 37.5 lakh as of December 2025. Management noted that while the Payments Bank's revenue includes commissions, impacting its direct profit contribution, it has achieved significantly better profitability this year compared to the last, positioning it as a key medium-term growth prospect.
Navigating Regulatory Changes and Future Outlook
Regulatory changes have had a notable impact on NSDL's revenue streams, particularly concerning unlisted companies. The recent amendment to the definition of small companies under the Companies Act, effective December 1, 2025, has affected the pace of dematerialization for unlisted non-small companies, leading to a decline in joining fees and other transaction income. Management acknowledged this impact, noting a 25% sequential decline in joining fees. However, NSDL remains focused on increasing custody fees through growth in the listed space and leveraging its strong market position.
Looking ahead, NSDL is aligned with SEBI's vision to expand investor participation, aiming to bring another 10 crore investors into the market within the next three to five years. The company's strategy involves simplifying the investment process, enhancing safety, and increasing transparency through extensive use of technology. NSDL expects the scale-up from newly onboarded Depository Participants to become visible from the second half of calendar year 2026. The management's balanced commentary reflects a clear understanding of market realities and a proactive approach to strategic growth and technological innovation, reinforcing investor confidence in its long-term trajectory.
