NCLT process moves to creditor and shareholder voting
Arisinfra Solutions Limited has issued notices for separate meetings of its equity shareholders and secured creditors on November 25, 2026. The meetings concern the proposed amalgamation of Arisunitern Re Solutions Private Limited with Arisinfra Solutions. Arisunitern Re Solutions is identified in the scheme as the transferor company, while Arisinfra Solutions is the transferee company. The process follows an order of the National Company Law Tribunal, Mumbai Bench, dated October 7, 2026. The company disclosed the notices to the stock exchanges under its corporate-announcement requirements. The meetings are a procedural stage in the proposed scheme and do not represent final approval of the amalgamation.
Meeting timings and virtual format
The secured creditors' meeting is scheduled for 11:30 am on Wednesday, November 25, 2026. The equity shareholders' meeting is scheduled for the same day at 3:30 pm. Both meetings will be conducted through video conferencing or other audio-visual means. Arisinfra has stated that the deemed venue for the virtual meetings will be its registered office at Art Guild House, Phoenix Market City, Mumbai. Eligible participants will also have access to remote e-voting facilities before the meetings. The company said the virtual format will support participation without a physical gathering.
Remote voting schedule and eligibility dates
Remote e-voting for the shareholder meeting is scheduled from November 22 to November 24, 2026. Secured creditors will also be able to vote through remote e-voting facilities before their meeting. September 30, 2026, has been set as the cut-off date for determining eligibility for notices and e-voting in the secured creditors' process. The company has made the meeting notices and their annexures available on its website and stock exchange portals. These documents contain the scheme-related information placed before the relevant stakeholders. The stated voting process is intended to enable shareholders and creditors to consider the scheme before the meetings are held.
What the amalgamation involves
The scheme proposes the amalgamation of Arisunitern Re Solutions Private Limited into Arisinfra Solutions Limited. The proposed transaction is being undertaken under Sections 230 to 232 of the Companies Act, 2013. Following the amalgamation, Arisinfra Solutions would be the resulting company. The company has described Arisunitern Re Solutions as a subsidiary in its disclosures relating to the NCLT order. The appointed date under the scheme is April 1, 2026, or another date that may be fixed or approved by the competent or appropriate authority. Arisinfra Solutions is expected to remain listed on BSE and NSE after the scheme, according to the scheme-related information disclosed.
October 7 NCLT order set the process in motion
The NCLT Mumbai Bench admitted Arisinfra's first-motion application through its order pronounced on October 7, 2026. The order directed Arisinfra to convene meetings of its equity shareholders and secured creditors. It also required the company to complete statutory formalities connected with the proposed scheme. The Tribunal directed that the meetings be held within 60 days from the date its order was uploaded on the Tribunal's website. Notices were required to be sent at least 21 clear days before the meeting date. The Tribunal also directed publication of notices in Financial Express in English and Loksatta in Marathi.
Different treatment for the transferor company
The Tribunal dispensed with meetings of Arisunitern Re Solutions' equity shareholders and secured creditors. Arisunitern had five equity shareholders, all of whom furnished consent affidavits for the scheme. The transferor company also reported that it had no secured creditors. These circumstances formed the basis for dispensing with those meetings. Meetings of unsecured creditors were dispensed with for both companies. However, notices are required to be issued to unsecured creditors with outstanding amounts of at least ₹1 lakh, as disclosed in the scheme-related information.
Key facts at a glance
Approval threshold and roles appointed
The shareholder notice states that approval of the scheme requires a 75% majority in value. The required approvals extend beyond the meetings, as the transaction remains subject to creditor, shareholder, regulatory and final NCLT sanction. Dr. Mansi Jain has been appointed chairperson of the meetings. Ms. Taruna Kumbhar will act as scrutinizer. Their appointments were included in the Tribunal's procedural directions. The notices and voting arrangements are therefore part of the legal process before the scheme can move to the final sanction stage.
Why the meetings matter for investors
For Arisinfra shareholders, the November 25 meeting is the formal opportunity to vote on the proposed amalgamation. For secured creditors, it provides a separate forum to consider and vote on the scheme. The NCLT's admission of the first-motion application indicates that the proposal has advanced through an initial procedural stage. It does not, however, mean that the amalgamation has been completed. Final implementation remains dependent on the approvals and statutory steps identified in the company's disclosures. Investors can review the notice, annexures and related filings through Arisinfra's website and stock exchange portals.
Next procedural step
Arisinfra will hold its secured creditors' and equity shareholders' meetings on November 25, 2026. The remote e-voting window is scheduled to run from November 22 through November 24. The results of the voting and completion of the required approvals will determine the next stage of the NCLT process. Final sanction by the Tribunal remains pending. Until then, the proposed amalgamation of Arisunitern Re Solutions with Arisinfra Solutions remains subject to the stated legal and regulatory conditions.
