What did Gamco sell and who bought it?
Gamco sold its entire equity stake in Visco Advisory Private Limited, which had been its wholly owned subsidiary, to BREP Asia III India Holding Co II Pte. Ltd. The company said the buyer is owned by funds managed and/or advised by affiliates of Blackstone Inc.; the filing does not identify Blackstone Inc. as the direct purchaser.
The transfer was made under a Securities Subscription and Purchase Agreement, or SSPA, disclosed in the notes to the consolidated financial results for the period ended September 30, 2026. The filing identifies the asset as Gamco’s full equity holding in Visco Advisory, but does not disclose the consideration, number of shares transferred, disposal gain or loss, or intended use of sale proceeds.
When did Visco Advisory stop being a Gamco subsidiary?
Visco Advisory ceased to be a wholly owned subsidiary of Gamco on August 3, 2026, when the transaction was completed. The completion fell in the quarter ended September 30, 2026, and Gamco’s unaudited consolidated results for that quarter and half year were approved by its board on October 31, 2026.
Gamco said it reflected the change by eliminating Visco Advisory’s assets and liabilities in consolidating financial results for the period ended September 30, 2026. The filing therefore records a change in the group perimeter during the September quarter, but does not separately quantify Visco Advisory’s revenue, profit, assets, liabilities or cash flows before the August 3 completion.
The half-year cash-flow statement also includes an Rs 2.56 lakh adjustment described as the opening cash balance of a subsidiary transferred. Gamco does not identify the subsidiary in that statement, so the line cannot be attributed specifically to Visco Advisory from the information disclosed.
How did Gamco perform in the quarter when the sale closed?
Gamco reported total income of Rs 140.9413 crore and profit after tax of Rs 6.0703 crore for the quarter ended September 30, 2026, compared with Rs 113.7152 crore and Rs 32.5354 crore in the preceding quarter ended June 30, 2026. Although the Visco Advisory sale closed during the quarter, Gamco does not attribute the sequential movements to the disposal.
Revenue from operations increased by Rs 27.0671 crore from the June 2026 quarter and by Rs 53.6396 crore from the September 2025 quarter. Profit after tax, however, declined by Rs 26.4651 crore sequentially, while the comparable September 2025 quarter recorded a Rs 8.3602 crore loss.
For the half year ended September 30, 2026, Gamco reported total income of Rs 254.6565 crore, compared with Rs 142.4234 crore in the comparable half year. Half-year profit after tax was Rs 38.6056 crore, against Rs 6.5255 crore a year earlier, and the company described the September-quarter figures as balancing figures between the half-year results and the June-quarter results.

What changed in Gamco’s consolidated accounts after the sale?
Gamco’s September 30, 2026 consolidated accounts exclude Visco Advisory’s assets and liabilities through the elimination recorded after the August 3 completion. Gamco continues to prepare consolidated financial results for its subsidiaries and associates, although the group-company list in the filing does not show Visco Advisory as a continuing wholly owned subsidiary.
Cash and cash equivalents stood at Rs 59.64 lakh at September 30, 2026, down from Rs 108.64 lakh at March 31, 2026. Investments increased to Rs 212.6905 crore from Rs 183.8114 crore, while inventories rose to Rs 228.2304 crore from Rs 180.3536 crore; Gamco does not link these aggregate balance-sheet changes separately to the Visco Advisory disposal.
Gamco reported finance costs of Rs 11.006 crore for the half year ended September 30, 2026, compared with Rs 5.1353 crore in the comparable half year. Its cash-flow statement recorded net cash used in operating activities of Rs 55.0009 crore for the half year, compared with Rs 34.5039 crore used in the year ended March 31, 2026, which is not a like-for-like period comparison.
What other accounting change affected Gamco’s September results?
Gamco separately corrected goodwill accounting related to its 96.27% acquisition of Uma Properties & Traders Ltd on October 24, 2025. During the September 2026 quarter, the group identified that fair value of land and building had not been considered in the goodwill calculation under Indian Accounting Standard 103, or Ind AS 103, Business Combinations.
The company said goodwill on the acquisition had been overstated by Rs 47.0303 crore, calculated as Rs 88.3483 crore less Rs 41.3180 crore. Gamco adjusted its September 30, 2026 consolidated financial statements through goodwill and property, plant and equipment, separately from the elimination of Visco Advisory’s assets and liabilities.
Property, plant and equipment was reported at Rs 50.0996 crore at September 30, 2026, compared with Rs 28.7122 crore at March 31, 2026. Intangible assets were Rs 43.3166 crore, down from Rs 90.2440 crore, but the filing does not provide a reconciliation separating the Uma accounting correction from other movements in those balances.
Conclusion
The August 3, 2026 completion ended Gamco’s ownership of Visco Advisory and removed it from the group’s wholly owned subsidiary structure. In the same September quarter, Gamco reported Rs 140.9413 crore of total income and Rs 6.0703 crore of profit after tax, but did not quantify the disposal’s direct effect on revenue, earnings or net assets.
The next point to watch is whether Gamco’s later disclosures address matters left unquantified in the September 30, 2026 filing, including sale consideration, any disposal gain or loss and the use of proceeds. Subsequent consolidated results can also show the continuing financial effect of the changed group structure and the Rs 47.0303 crore Uma goodwill correction.
