Maxwell Engineering Solutions Limited’s IPO is a proposed NSE Emerge public offering of new equity shares, with proceeds intended for capacity expansion, borrowings and working capital. Maxwell Engineering Solutions manufactures, trades and services components for underwater pelletizing systems. What are the offer terms at a glance?
The offer is a 100% book-built fresh issue of up to 36.48 lakh equity shares at Rs 150 to Rs 158 per share, although one issue-structure disclosure refers to up to 36.50 lakh shares.
JDA Capital Services Limited has fully underwritten the issue and is also the designated market maker. The market-maker reservation is up to 2.22 lakh shares, and compulsory market making is to apply for at least three years from listing. NSE Emerge granted in-principle approval on October 23, 2026. The company may withdraw the issue before allotment in the circumstances set out in the RHP.
What does the company sell, who buys it, and what are its dependencies and concentration?
Maxwell Engineering Solutions makes, trades and services critical components for underwater pelletizing systems used in polymer compounding, masterbatches, engineering plastics, cable compounds, specialty polymers and plastics recycling. Its product range includes pelletizing die plates, pelletizing blades or knives, blade holders or cutter hubs, tapped driving bushes and other spare parts. It also provides refurbishing and repair services, customised manufacturing, white-label products and certain marketing and supply support services.
Manufacturing provided Rs 18.50 crore, or 62.84%, of Fiscal 2026 revenue from operations. Trading supplied Rs 5.33 crore, or 18.11%, and services accounted for Rs 5.61 crore, or 19.05%. Pelletizing die plates were the largest product category, contributing Rs 16.34 crore or 55.48% of revenue. Pelletizing blades and knives contributed Rs 5.94 crore, while refurbishing and repair services generated Rs 5.16 crore.
The business is primarily export-oriented. Export revenue was Rs 24.95 crore, or 84.73% of Fiscal 2026 revenue, compared with 80.38% in Fiscal 2024. Germany accounted for 23.12% of Fiscal 2026 revenue, the Netherlands for 14.13%, and the United States for 14.80%. Export sales are mainly denominated in euros and US dollars. The company does not use forward contracts, options, swaps or other hedging arrangements for its foreign-currency exposure.
Customer concentration is substantial. The top 10 customers accounted for Rs 19.35 crore, or 65.71%, of Fiscal 2026 revenue, and the largest customer represented Rs 6.52 crore, or 22.15%. Most sales are made against purchase orders rather than long-term, exclusive or fixed-volume arrangements. For the four months ended July 31, 2026, the top 10 customers accounted for 80.71% of revenue and the largest customer for 29.69%.
Supplier concentration is also material. The top 10 suppliers accounted for Rs 6.70 crore, or 80.22%, of Fiscal 2026 raw-material purchases, while the largest supplier represented 17.28%. Steel, carbide and brazing filler are the principal raw materials. Steel is sourced domestically, while carbide and brazing filler are sourced almost entirely internationally. The company has no long-term supply agreements or fixed-price arrangements with suppliers.
Manufacturing is conducted at a sole facility at Waghodia GIDC in Vadodara, Gujarat. Maxwell Engineering Solutions supplies raw materials to job workers that perform machining, fabrication, welding, painting and ancillary activities. Heat treatment, hardening and coating are outsourced because these facilities are not available in-house.
What is the multi-year financial track record?
Maxwell Engineering Solutions increased revenue from operations from Rs 10.54 crore in Fiscal 2024 to Rs 29.45 crore in Fiscal 2026, while Fiscal 2026 profit after tax reached Rs 11.86 crore. The RHP reports revenue compound annual growth of 67.15% between Fiscal 2024 and Fiscal 2026. The period ended July 31, 2026 is a four-month stub period and its figures are not annualised.
Revenue rose 33.25% in Fiscal 2026 after increasing 109.61% in Fiscal 2025. EBITDA margin declined to 51.58% in Fiscal 2026 from 52.90% in Fiscal 2025, while PAT margin declined to 40.28% from 41.52%. Net worth rose as share capital increased through bonus issues and a rights issue, alongside retained earnings.
The company relocated manufacturing from Makarpura to Waghodia from July 1, 2025, and began manufacturing with newly purchased machines at Waghodia from September 15, 2025. The move and related asset additions coincided with a sharp increase in property, plant and equipment, which stood at Rs 25.53 crore at March 31, 2026, compared with Rs 2.84 crore a year earlier.
How do margins and returns compare with the listed peers named in the RHP?
Maxwell Engineering Solutions reported Fiscal 2026 EBITDA and PAT margins above those of the three listed companies named in the RHP, although the RHP says it has no direct listed peer for comparison.
The comparison is affected by differences in business scale. Kabra Extrusion Technik and Omnitech Engineering each reported Fiscal 2026 revenue exceeding Rs 450 crore, versus Rs 29.44 crore for Maxwell Engineering Solutions. The RHP identifies these companies as listed industry references, but states that no listed company is directly comparable with Maxwell Engineering Solutions’ products.
What do cash flow and debt show?
Maxwell Engineering Solutions generated positive operating cash flow in every disclosed period, while investment outflows and financing inflows reflect the facility relocation and capacity build-out.
Fund-based borrowings were Rs 15.39 crore as of July 31, 2026. At September 30, 2026, disclosed outstanding loans totalled Rs 14.94 crore. These included three secured HDFC Bank term loans with combined outstanding balances of Rs 10.77 crore, an unsecured HDFC business loan of Rs 1.73 crore, an overdraft of Rs 0.64 crore and a vehicle loan of Rs 0.55 crore.
The RHP does not disclose material financial covenants. It states that the company did not default on borrowing repayments in the three completed financial years and that auditors certified borrowings had been used for their sanctioned purposes. Total contingent liabilities were Rs 2.19 crore as of July 31, 2026, principally relating to customs duty saved under the Export Promotion Capital Goods scheme.
What is the valuation at the upper price band?
At Rs 158 per share, the upper price band implies a market capitalisation of Rs 216.43 crore and a Fiscal 2026 price-to-earnings ratio of 13.39 times. The enterprise value to EBITDA, price-to-book and price-to-sales ratios below are our own calculations from the document’s figures.
The disclosed peer P/E ratios are Kabra Extrusion Technik: not meaningful because it reported a loss; Omnitech Engineering: 99.00 times; and Sunita Tools: 100.65 times. These peer P/E figures use their October 23, 2026 closing market prices and Fiscal 2026 basic earnings per share. The RHP also reports an industry peer-group P/E range from negative 163.35 times to 5,325.45 times, with an average of 32.69 times.
Who receives the IPO money, and what are the pre-IPO share and lock-in details?
All IPO proceeds are intended for Maxwell Engineering Solutions because the offer is entirely a fresh issue, with no offer for sale. There are therefore no selling shareholders or offer-for-sale proceeds.
The promoters’ average costs of acquisition are disclosed as Rs 4.10 per share for Rajkumar Chaudhary, Rs 3.93 per share for Vinubhai Kanjibhai Chavda and nil for Ria Rajkumar Chaudhary. The company issued bonus shares in February 2025 and April 2025, and conducted a rights issue of 43,500 shares in March 2025 at Rs 115 per share.
No pre-IPO placement is disclosed in the RHP. All pre-IPO equity shares will be locked in before listing on NSE Emerge. The supplied RHP notes do not state the applicable lock-in duration.
How will the company use the proceeds?
Maxwell Engineering Solutions proposes to direct identified net proceeds mainly to machinery, laboratory equipment and utilities, followed by working capital, construction and borrowings repayment.
The machinery programme includes CNC machines, Robodrills, wire-cut machines, a hardening furnace, measurement equipment, solar equipment and a diesel generator. The company plans to construct a new office and manufacturing facility on adjoining Plot 938, which it has already acquired. Machinery orders and definitive vendor agreements had not been entered into as of the RHP date.
The RHP states that no object has been independently appraised by a bank, financial institution or other external agency. It also states that quotations may exclude freight, insurance, goods and services tax and other charges. Any increase in estimated costs is proposed to be met from internal accruals.
Who are the promoters and what are their related-party links?
The promoters are Rajkumar Chaudhary, Vinubhai Kanjibhai Chavda and Ria Rajkumar Chaudhary, who together held 96.24% of pre-issue share capital and are expected to hold up to 70.61% after the issue. Rajkumar Chaudhary is Chairman and Managing Director and has more than 19 years of overall experience, including more than 11 years in specialised pelletizing components. Vinubhai Kanjibhai Chavda is Whole-Time Director with more than 15 years of experience, including more than 11 years in the pelletizing industry.
Ria Rajkumar Chaudhary is a Non-Executive Director and was identified as a promoter in September 2026. Rajkumar Chaudhary is the father of Ria Rajkumar Chaudhary. The two founding promoters were the initial subscribers to the company at incorporation.
Rajkumar Chaudhary’s other ventures include Maxwell Dies and Moulds, RDP Enterprise, Maxwell Foundation and EXMA Private Limited. Vinubhai Kanjibhai Chavda is associated with Skills Engine Projects, ASP Enterprise, Maxwell Foundation and EXMA Private Limited. Maxwell Dies and Moulds operates in a similar line of business. The management section says Maxwell Engineering Solutions entered into a non-compete agreement with that entity, while a risk factor says no non-compete agreement or restriction exists. The RHP therefore contains conflicting disclosures on this point.
Fiscal 2026 related-party dealings included Rs 0.90 crore of sales to Maxwell Dies and Moulds, Rs 0.71 crore of purchases from it and Rs 0.01 crore of fixed-asset purchases. Sales to Skills Engine Projects were Rs 0.03 crore and sales to Sheer Engineering Private Limited were Rs 0.17 crore. Rajkumar Chaudhary and Vinubhai Kanjibhai Chavda each received Rs 0.96 crore in director remuneration in Fiscal 2026.
What are the top risks listed in the RHP?
The RHP lists supplier concentration as its first risk, followed by foreign sourcing and currency exposure, Export Promotion Capital Goods obligations, export dependence and working-capital requirements.
- Supplier concentration: the top 10 suppliers represented 87.10% of purchases in the period ended July 31, 2026, while the largest supplier represented 24.98%. The company has no long-term supply agreements or fixed-price arrangements.
- Foreign-currency exposure: 34.03% of raw-material purchases in the July 2026 period were imported and 84.34% of revenue came from outside India. Maxwell Engineering Solutions does not hedge its foreign-currency exposure.
- Export obligation: an open Export Promotion Capital Goods authorisation carries an export obligation of Rs 13.10 crore through March 2031, against customs duty saved of Rs 2.18 crore. Nil obligation had been fulfilled at the disclosed date.
- Working capital: inventory was Rs 7.74 crore and trade receivables were Rs 5.27 crore at July 31, 2026, with holding periods of 71 days and 57 days respectively. The proposed working-capital deployment from net proceeds is Rs 14.00 crore.
- Customer concentration: the top 10 customers generated 80.71% of July 2026-period revenue, while the largest customer generated 29.69%.
Other listed risks include pending MAXWELL trademark applications, operation from a sole manufacturing facility, dependence on job workers and outsourced processes, and the prospect of competition or conflicts involving Maxwell Dies and Moulds.
What litigation and contingent liabilities are outstanding?
The disclosed proceedings principally comprise seven criminal proceedings involving promoters or directors, while the company reported no income-tax, goods and services tax or other claims against it acknowledged as debt.
Total contingent liabilities and commitments were Rs 2.19 crore as of July 31, 2026. This included Rs 2.18 crore of customs duty saved under the Export Promotion Capital Goods scheme and a Rs 0.56 lakh bank guarantee furnished to customs authorities. The relevant authorisation remained open. The RHP states that non-fulfilment of the export obligation may result in liability for customs duty and interest.
Conclusion
Maxwell Engineering Solutions is seeking fresh capital after rapid revenue growth, reported Fiscal 2026 margins and material investment in manufacturing capacity. All offer proceeds are intended for the company rather than selling shareholders, but the operating profile includes concentrated customers and suppliers, export and foreign-currency exposure, a single manufacturing location, outsourced processes and an open Export Promotion Capital Goods obligation.
The next matters to watch are deployment of Rs 18.00 crore for machinery and utilities, Rs 6.50 crore for the additional office and manufacturing facility, and Rs 14.00 crore for working capital across Fiscal 2027 and Fiscal 2028. Later filings should also clarify the final share count where disclosures differ, the final general-corporate-purpose allocation, vendor-order execution, the conflicting non-compete disclosure and progress against the export obligation.
