EAAA India Alternatives Limited booked Rs 684.72 crore before cash
Ask Iris
EAAA India Alternatives Limited recognised Rs 684.72 crore of Variable Additional Return from FY2024 through the three months ended June 30, 2026, but realised Rs 397.654 crore. EAAA India Alternatives therefore had Rs 287.066 crore of recognised return not yet realised, showing that fund exits and contractual distribution waterfalls can delay cash after income recognition.
Why did EAAA India Alternatives book Rs 684.72 crore before cash?
EAAA India Alternatives recognises Variable Additional Return on an accrual basis, rather than only when a fund distributes cash. Variable Additional Return is the additional return available to the company and its subsidiaries once a managed fund achieves the investor hurdle rate, based on net asset value, or NAV, and/or realisation under the relevant fund documents. The company reported cumulative recognition of Rs 684.72 crore from FY2024 through June 30, 2026.
The policy requires a fund to be at least three years beyond its initial close and to have achieved at least 1.25 times the hurdle rate specified in its fund documents. After those conditions are met, EAAA India Alternatives calculates and recognises the return over the remaining life of the fund until the expected first-realisation date. Indian Accounting Standards, or Ind AS, and the applicable fund waterfall govern this recognition process.
Cash is received only when underlying investments are realised and proceeds are distributed under the waterfall mechanism. A waterfall is the contractual order for distributing fund proceeds among investors and, after specified conditions are met, the manager or sponsor. The June 30, 2026 disclosure states that actual cash receipts also depend on hurdle rates and other conditions in fund governing documents.
How much of EAAA India Alternatives' recognised return was realised?
EAAA India Alternatives had realised Rs 397.654 crore, or 58.07%, of its Rs 684.72 crore cumulative Variable Additional Return by June 30, 2026. The remaining Rs 287.066 crore represented 41.93% of recognised return not yet realised, calculated from the two disclosed cumulative amounts. This is a timing difference, not evidence that the remaining amount will necessarily be collected.
Variable Additional Return increased across the three full financial years disclosed. It rose from Rs 94.566 crore in FY2024 to Rs 190.729 crore in FY2025 and Rs 290.472 crore in FY2026, an increase of Rs 195.906 crore between FY2024 and FY2026. It then reached Rs 108.953 crore in the three months ended June 30, 2026, compared with Rs 58.298 crore in the corresponding three months of 2025.
The growing return stream also accounted for a larger share of Total Income. Variable Additional Return represented 16.19% of Total Income in FY2024, 24.25% in FY2025 and 30.14% in FY2026. For the three months ended June 30, 2026, it represented 32.41% of Rs 336.130 crore of Total Income, compared with 27.54% of Rs 211.649 crore a year earlier.
What must happen before EAAA India Alternatives receives the cash?
EAAA India Alternatives receives cash only after a realisation event, a distribution under the applicable waterfall and satisfaction of fund-specific hurdles and criteria. The company identifies market conditions, exit opportunities for underlying investments, repayment by borrowing entities and fund-level distribution policies as factors that affect receipt timing. These factors can produce periods in which income has been recognised but corresponding cash has not been received.
The eventual cash outcome is also affected by the valuation of illiquid investments. EAAA India Alternatives states that many investments lack readily ascertainable market prices and are valued using internal or third-party models, including discounted-cash-flow analysis. If an investment is realised below the value used in a fund's NAV, the company may lose the portion of previously reported Variable Additional Return that is not realised on disposition.
ESOF II provides a disclosed example of a fund missing its performance threshold. Two ESOF II investments were adversely affected by the COVID-19 pandemic, and the fund's return was below its 8% post-tax hurdle rate in United States dollar terms. That example demonstrates that NAV-based performance and an expected realisation timetable do not guarantee a future cash distribution.
How does the return timing affect EAAA India Alternatives' cash flow?
EAAA India Alternatives says the accrual of Variable Additional Return before underlying investment realisations can cause profit after tax and operating cash flow to diverge. The company recognises return after its three-year and 1.25-times-hurdle conditions are met, while cash follows only when investments mature and the fund waterfall allocates proceeds. The mechanism means that reported profitability includes amounts awaiting later fund-level cash events.
The cash-flow statement shows profit after tax of Rs 265.197 crore in FY2026, Rs 229.779 crore in FY2025 and Rs 175.160 crore in FY2024. Net cash generated from operating activities was Rs 135.244 crore in FY2026 and Rs 120.169 crore in FY2025, while net cash used in operating activities was Rs 13.270 crore in FY2024. The FY2024 comparison shows that accounting profit and operating cash need not move together when accrued returns, working-capital changes and investment realisations occur in different periods.
Variable Additional Return related cost further affects the economic return retained by EAAA India Alternatives. The prospectus says the timing risk should be viewed as Net Variable Additional Return, defined as Variable Additional Return less related cost. For FY2026, gross Variable Additional Return was Rs 290.472 crore and related cost was Rs 161.087 crore, resulting in disclosed net Variable Additional Return of Rs 129.385 crore.
Which other income streams reduce reliance on Variable Additional Return?
EAAA India Alternatives derives Total Income from Management and Advisory Fees, Variable Additional Return, general partner income and Miscellaneous Income. Management and Advisory Fees are paid for management and advisory services and are generally calculated as a percentage of committed capital, invested capital, NAV or gross block under the relevant agreement. General partner income arises from investments in funds or co-investments in portfolio companies on the same terms as the primary fund.
Management and Advisory Fees were the largest FY2026 income component at Rs 579.068 crore, or 60.07% of Rs 963.759 crore of Total Income. Variable Additional Return contributed Rs 290.472 crore, or 30.14%, and general partner income contributed Rs 79.954 crore, or 8.30%. The company describes management and advisory fees as largely arising from multi-year contractual agreements, while noting that performance, fee structures, competition and market conditions can affect the stream.
Fee-paying assets under management, or FPAUM, grew at a three-year compound annual growth rate of 23.43% from Rs 23,775.849 crore in FY2023 to Rs 44,710.442 crore in FY2026. FPAUM is the assets under management on which EAAA India Alternatives is entitled to earn Management and Advisory Fees. That fee base is distinct from Variable Additional Return, which still depends on fund performance, investment realisation and waterfall distributions.
Conclusion
EAAA India Alternatives had recognised Rs 684.72 crore of Variable Additional Return through June 30, 2026 while realising Rs 397.654 crore, leaving Rs 287.066 crore subject to later conversion into cash. The disclosed difference means reported profit and operating cash flow are partly dependent on future exits, borrower repayments, valuation outcomes and the contractual distribution sequence of individual funds.
The next disclosed test is whether future realisation events convert accrued return into cash without reversals. EAAA India Alternatives states that it cannot assure that accrued cash flows will be realised, and that non-realisation could reverse previously accrued profits; fund exits, market conditions, hurdle rates and distribution terms will determine that outcome.
