Kalind Limited proposes broader objects across rentals and diamonds
Ask Iris
Kalind has proposed changes to its Memorandum of Association that would cover equipment rental, infrastructure, real estate and diamond activities. The board approved the proposal on October 31, 2026, subject to a shareholder special resolution, alongside a planned Rs 1 crore cash acquisition of Kalind Gems & Diamonds Limited, which reported Rs 12.8576212 crore turnover for the year ended March 31, 2026.
What changes to its objects has Kalind proposed?
Kalind has proposed replacing two sets of existing main-object clauses, renumbering three others and adding a new clause for diamond operations. Under Annexure 1 to the October 31, 2026 announcement, existing clauses 5 and 6 would become a new Clause 1, while existing clauses 1 to 4 would be replaced with a new Clause 2. Existing clauses 7, 8 and 9 would be renumbered as clauses 3, 4 and 5.
The proposed amendment would place equipment rental and related project work in Clause 1, and property, development and engineering activities in Clause 2. A new Clause 6 would cover diamonds, precious and semi-precious stones, gemstones, jewellery and related products. Kalind said the remaining objects would be retained without change, while the redrafted clauses and one additional object are intended to align its objects with proposed activities and future growth plans.
The proposal does not state that Kalind has commenced each of these activities. Instead, it changes the range of activities permitted by its Memorandum of Association, or MOA, subject to applicable laws and shareholder approval. The board approved a postal-ballot notice on October 31, 2026 to seek members’ resolutions, and specified that the MOA amendment requires a special resolution.
What equipment and infrastructure work could Kalind undertake?
Kalind’s proposed Clause 1 would permit it to provide, supply, lease, hire and rent earth-moving, construction and industrial equipment in India and abroad. The clause specifically names excavators, bulldozers, dozers, JCBs, loaders, skid loaders, industrial vacuum cleaners, road-sweeper machines and all types of cranes. These machines could be offered through contracts, leases, hire arrangements or rentals.
The same clause would also extend to civil works, infrastructure development, construction and allied projects. Its listed mechanisms include manpower supply, labour-related services, site preparation, earthworks and project-management services. Kalind would further be permitted to repair, maintain, service and refurbish the equipment, and provide consultancy, technical, operational and support services connected with those activities.
This proposed clause combines machinery-related services with project activity, rather than limiting the stated scope to equipment transactions. It covers both India and overseas markets, but the October 31 filing does not disclose a fleet size, operating contracts, revenue contribution or timeline for entering the equipment-rental segment. The disclosed action is the proposed alteration of the MOA following the board meeting held on October 31, 2026.
What real-estate and property activities could Kalind pursue?
Kalind’s proposed Clause 2 would allow it to operate as a real-estate developer, builder, contractor, engineer and estate agent. The clause covers acquiring, purchasing, leasing, exchanging, developing, constructing, reconstructing, altering, improving, maintaining, managing, selling and letting land and buildings. It expressly includes residential, commercial and industrial properties.
The scope also includes townships, housing projects, hotels, resorts, hospitals, educational institutions, infrastructure and other immovable properties. Compared with Clause 1, which centres on equipment and related project services, Clause 2 provides for ownership, development, management and transaction activities involving property. It also permits joint ventures, collaborations and other arrangements, subject to applicable laws and regulatory approvals.
Clause 2 lists civil, structural, mechanical, electrical and irrigation works, including roads, highways, bridges, canals, dams, power plants, drainage and water-supply projects. It would also allow Kalind to act as a property dealer, housing and land agent, or estate manager. The clause includes managing, repairing, renting, letting and sub-letting property for Kalind or for other persons, firms, companies, governments and authorities.
The filing gives no project value, land area, property inventory or construction target for these proposed activities as of October 31, 2026. Kalind’s stated rationale is that the revised objects would provide clarity and flexibility to explore business opportunities and diversify operations in line with its future objectives. That rationale remains conditional on the special-resolution process set out in the postal-ballot notice.
How does the diamond clause connect with Kalind’s acquisition plan?
Kalind’s proposed Clause 6 would permit buying, selling, importing, exporting, trading, distributing, polishing, cutting, processing and manufacturing diamonds and other stones. It covers natural, synthetic and lab-grown diamonds, precious and semi-precious stones and gemstones in rough, polished or other forms. The proposed object also includes diamond jewellery, ornaments and related products in India and abroad, subject to applicable laws, rules and regulations.
The new object is linked to Kalind’s separate proposal to acquire Kalind Gems & Diamonds Limited, an unlisted public company incorporated on July 15, 2024. Kalind has approved the purchase of 100% of the target’s 1 lakh equity shares for Rs 1 crore in cash, at a face value of Rs 10 per share. On completion, the target would become Kalind’s domestic wholly owned subsidiary.
Kalind Gems & Diamonds reported turnover of Rs 12.8576212 crore for the year ended March 31, 2026, compared with Rs 17.47953 lakh for the period from July 15, 2024 to March 31, 2025. The year ended March 2026 therefore represents a full-year reporting period after the company’s July 2024 incorporation, whereas the earlier figure covers only the period from incorporation to March 2025. The target has authorised capital of Rs 10 crore and paid-up capital of Rs 10 lakh.
Kalind said the acquisition is a related-party transaction because its promoters have a substantial interest in, and are directors of, Kalind Gems & Diamonds. The company said the transaction would be conducted on an arm’s-length basis and is intended to facilitate entry into gems, diamonds and allied activities. Completion remains subject to member approval, regulatory procedures, documentation and other formalities, although the filing states that no governmental or regulatory approval is required for the acquisition.
Conclusion
Kalind’s proposed MOA revision would establish formal scope for three broad areas: equipment rental and associated infrastructure services through Clause 1, property and engineering activities through Clause 2, and diamond and gemstone operations through new Clause 6. The diamond object is accompanied by a proposed Rs 1 crore purchase of Kalind Gems & Diamonds, while the other clauses outline potential rental, construction and property mechanisms without disclosing operating targets.
The next disclosed step is the postal-ballot process for shareholder approval of the object alteration and acquisition. If members approve the acquisition, Kalind expects the acquisition formalities to be completed within 30 days of that approval. Separately, the board has authorised exploration of fundraising options of up to Rs 500 crore through permissible securities, depending on market conditions and the company’s business requirements.
