KRBL Limited’s consolidated results for the quarter and half year ended 30 September 2026 again carried a qualified review because its auditor could not comment on possible financial-statement adjustments while the Enforcement Directorate’s case concerning alleged USD 24.62 million AgustaWestland-linked proceeds remains unresolved.

What did KRBL’s auditor qualify in the September 2026 review?
KRBL’s auditor qualified its review conclusion on the consolidated unaudited results for the quarter ended 30 September 2026 and the six months from 1 April 2026 to 30 September 2026. Walker Chandiok & Co LLP said it was unable to comment on any adjustment that may be required to the statement pending completion of the ongoing regulatory investigation.
The qualification does not state that an adjustment is definitely required, nor does it quantify a possible adjustment. The auditor said an independent professional firm appointed by KRBL’s board had found no conclusive evidence to ascertain the matter’s impact on the company’s financial statement. Except for the possible effects of this matter, the auditor said nothing had come to its attention indicating that the statement lacked required disclosures or contained a material misstatement.
The 2 November 2026 report was a limited review rather than an audit opinion. The auditor said its procedures under Standard on Review Engagements 2410 included inquiries and analytical procedures and were substantially less extensive than an audit. That distinction means the review reports an unresolved limitation over potential adjustments, rather than reaching a conclusion on the allegations themselves.
What are the ED allegations against KRBL?
The Enforcement Directorate, or ED, alleges that USD 24.62 million of proceeds of crime in the AgustaWestland case was transferred to KRBL through KRBL DMCC, based on transactions assumed to have occurred in prior years. The ED registered an Enforcement Case Information Report in 2014 and filed a criminal complaint in 2021 alleging an offence under Section 3 of the Prevention of Money Laundering Act, 2002.
According to KRBL’s 30 September 2026 results note, the ED complaint alleges that Rawasi Al Khaleej General Trading LLC, or RAKGT, received the USD 24.62 million during 2008 to 2010 before transferring it through KRBL DMCC. KRBL also said an affidavit filed by Balsharaf Group, identified as one of its customers, stated that RAKGT received the amount in the Balsharaf Group account.
The proceedings involve KRBL, KRBL DMCC and one of KRBL’s joint managing directors. The ED attached 1,43,33,221 shares of Balsharaf Group held in KRBL, according to the company’s note. In the auditor’s list of group entities dated 2 November 2026, KRBL FZCO is described as formerly known as KRBL DMCC.
Why has KRBL made no accounting adjustment?
KRBL said management had not identified any adjustment or additional disclosure required in the 30 September 2026 statement. Management based that position on the present facts, an opinion from independent legal counsel and other information available to it, while noting that the outcome of judicial proceedings is inherently uncertain and cannot be precisely predicted.
KRBL’s board had appointed an independent professional firm to review the allegations and assess any impact on the company’s financial statements for earlier years. KRBL said the firm issued its report to the board, which discussed and approved it at an earlier meeting, responded to the observations and proposed no further action. The auditor nevertheless said the report did not provide conclusive evidence to determine the financial-statement impact.
The criminal case remains pending before the Special Court and is listed in the ordinary course, KRBL said on 2 November 2026. The company described the proceedings as being at the initial stage of serving summons on remaining unserved accused. This unresolved procedural position underlies the difference between management’s conclusion of no current adjustment and the auditor’s inability to comment on any potential adjustment.

How long has KRBL’s qualification continued?
KRBL’s September 2026 qualification continues an issue disclosed in earlier reporting periods rather than introducing a new qualification. Walker Chandiok & Co LLP said its audit report for the year ended 31 March 2026, its review report for the quarter ended 30 June 2026, and its review report for the quarter and half year ended 30 September 2025 were also qualified over this matter.
The repeated qualification spans at least four disclosed reporting points, from the half year ended 30 September 2025 through the half year ended 30 September 2026. It relates to the possible financial reporting effects of the ED investigation and complaint, not to an identified error in KRBL’s September 2026 revenue, profit or balance-sheet figures.
The auditor separately noted that three subsidiaries included in the consolidated statement had unaudited interim results supplied by management. Those subsidiaries had total assets of Rs 18.01 crore at 30 September 2026, nil revenue for both the quarter and half year, profit after tax of Rs 0.59 crore for the quarter and total comprehensive income of Rs 0.71 crore for the half year. The auditor said management considered those entities not material to the group.
How did KRBL’s reported operating results change?
KRBL’s standalone net segment revenue rose to Rs 1,727.36 crore in the quarter ended 30 September 2026 from Rs 1,511.08 crore a year earlier, while profit before tax increased to Rs 349.10 crore from Rs 232.43 crore. In the half year ended 30 September 2026, net segment revenue reached Rs 3,223.22 crore, compared with Rs 3,095.43 crore a year earlier.
The agri segment generated Rs 1,715.34 crore of standalone revenue in the September 2026 quarter, compared with Rs 74.02 crore from energy. Agri segment result was Rs 330.74 crore, while energy segment result was Rs 22.68 crore. The comparative figures show that the revenue increase came alongside a higher agri segment result, whereas the auditor’s qualification concerns historic allegations rather than current-period segment performance.
KRBL’s standalone total assets were Rs 7,165.31 crore at 30 September 2026, up from Rs 6,585.66 crore at 31 March 2026. Current investments increased to Rs 2,885.71 crore from Rs 859.92 crore, while inventories declined to Rs 2,203.23 crore from Rs 3,713.66 crore. Current borrowings, reported at Rs 130 crore at 31 March 2026, were nil at 30 September 2026.
Conclusion
KRBL’s latest qualified review leaves unresolved whether the ED investigation and criminal complaint could eventually require an adjustment to the consolidated financial statements. Management says that, based on available facts, legal advice and the independent professional firm’s review, no adjustment or additional disclosure was needed at 30 September 2026; the auditor says the available evidence is not conclusive enough to comment on possible adjustments.
The next disclosed issue to watch is progress in the Special Court matter, where service of summons on remaining unserved accused is still at an initial stage, and the completion of the ED investigation. Future KRBL results will also show whether the qualification, which appeared in reports covering 30 September 2025, 31 March 2026, 30 June 2026 and 30 September 2026, remains in place.
