Modulex Q2 FY27: Standalone Profit, Group Loss Persists
Modulex Construction Technologies Ltd reported an unaudited standalone profit for the quarter ended September 30, 2026, while its consolidated accounts continued to show a sizeable loss. The Board approved the standalone and consolidated results at its meeting on October 29, 2026. The contrast between the two sets of numbers reflects the continuing pressure from subsidiary Modulex Modular Buildings Private Ltd, or MMBPL. The company also appointed Sameerkhan Inamdar as chief financial officer with effect from October 29.
Board Approves September Quarter Results
The results cover the second quarter and first half of FY27 and were subject to a limited review by the statutory auditors. The Board had announced on October 23 that it would consider the financial statements and the auditors' limited review report at the October 29 meeting. Alongside the earnings approval, the company disclosed issues related to tax liabilities, accumulated losses and the basis on which it has prepared its accounts as a going concern. These disclosures are significant because the standalone improvement has not yet translated into a recovery at the consolidated level.
Standalone Business Returns to Profit
On a standalone basis, Modulex reported profit after tax of ₹0.90 crore in Q2 FY27. This compares with a loss of ₹0.11 crore in the corresponding quarter of FY26. The company said the improvement followed the commencement of operating revenue and robust other income. The results material also cited standalone revenue of ₹2.78 crore, with expenditure of ₹1.88 crore, for the September quarter. Its standalone profit had also turned positive in Q1 FY27, when it reported profit after tax of ₹0.41 crore.
Consolidated Loss Remains Substantial
The consolidated position remained markedly weaker than the standalone result. Consolidated revenue for Q2 FY27 was reported at ₹1.55 crore, compared with ₹0.69 crore in Q2 FY26 and ₹0.01 crore in Q1 FY27. However, the consolidated net loss was ₹3.35 crore, nearly unchanged from the ₹3.37 crore loss a year earlier. The loss narrowed from ₹4.80 crore in Q1 FY27, but the group remained loss-making despite the increase in revenue.
Key Q2 FY27 Figures
The figures differ because standalone accounts cover the holding company, while consolidated accounts incorporate the subsidiary's performance. Investors assessing the quarter therefore need to distinguish the standalone profit from the group's overall loss.
Subsidiary Project Drives Consolidated Pressure
The auditors highlighted a material uncertainty related to going concern because of delays in the MMBPL project. The company stated that its ability to continue as a going concern depends on successful implementation of the Pune project, recovery of loans and continued promoter support. Phase I construction for Shed 2 has been completed, and prototype production has commenced. But commercial operations have not yet reached a level sufficient to offset the group's accumulated losses.
The consolidated accounts also reflected a higher depreciation and amortisation charge at the subsidiary. This expense was reported at ₹1.81 crore in Q2 FY27, compared with ₹0.66 crore in Q2 FY26. The increase added to the cost burden during a period when the project was still progressing towards meaningful commercial operations.
Balance Sheet and Going Concern Disclosure
Modulex disclosed accumulated standalone losses of ₹7.24 crore as of September 30, 2026. At the consolidated level, accumulated losses stood at ₹101.44 crore. The group reported current liabilities of ₹25.76 crore against current assets of ₹11.38 crore at the end of the quarter. This gap underlines why the auditors drew attention to the uncertainty around the group's ability to continue as a going concern.
Management said promoters and investors have provided financial support to help meet obligations. On that basis, the financial statements have been prepared on a going-concern basis. The disclosure does not remove the operational challenge, but it sets out the support management is relying upon while the subsidiary project is implemented.
Tax Liabilities Remain Outstanding
The company also noted outstanding tax-related liabilities. Tax deducted at source liabilities stood at ₹0.33 crore, while goods and services tax payable was ₹0.29 crore. These items form part of the company's disclosed obligations and add to the financial matters being monitored alongside the operational ramp-up at MMBPL. The results were unaudited and reviewed on a limited-review basis, rather than audited annual accounts.
What the CFO Appointment Means
Sameerkhan Inamdar's appointment as CFO was effective immediately from October 29, 2026. The appointment comes as Modulex manages a split financial picture: a profitable standalone quarter and continued consolidated losses. The CFO will take charge during a period when the company has identified project implementation, loan recovery, tax obligations and funding support as important factors in its financial position. The company did not provide further details on the appointment in the disclosed results summary.
Market Relevance of the Results
The September-quarter numbers show that revenue growth alone has not resolved Modulex's consolidated financial pressures. The group loss remained close to the level reported a year earlier despite higher consolidated revenue. For investors, the principal issues are the progress of MMBPL's Pune project, the move from prototype production to sufficient commercial activity, and the continuing availability of promoter and investor support. The standalone profit is a positive change from the prior-year loss, but the consolidated accounts remain the broader measure of the group's financial position.
Outlook Hinges on Project Execution
Modulex has completed Phase I construction for Shed 2 and begun prototype production, according to its disclosure. The next material operational development will be the scale-up of commercial operations at the subsidiary. Until then, the group's financial statements continue to carry a going-concern uncertainty highlighted by the auditors. The company has not announced a separate timeline for reaching commercial activity sufficient to offset accumulated losses.
