Nephrocare Philippines Expansion Adds 2026 Dialysis Assets
Latest Bulacan asset purchase
Nephrocare Health Services Limited has continued to expand its dialysis network in the Philippines through its overseas step-down wholly owned subsidiary, Nephrocare Health Care Services, Philippines Inc. The latest disclosed transaction involves the acquisition of assets of a dialysis centre in Plaridel, Bulacan. The subsidiary entered into an Asset Transfer Agreement with Renal One Dialysis Corp on September 14, 2026. The assets are located at Unit 6, Rockca Commercial Complex, Brgy. Tabang, Plaridel, Bulacan. The consideration is PHP 67.2 million, equivalent to about ₹10.25 crore at the disclosed exchange rate of ₹1.5248 per Philippine peso.
Transaction uses an asset transfer structure
The Bulacan transaction is structured as an asset acquisition rather than an equity purchase. It covers identified assets relating to an operational dialysis centre. The disclosure said Renal One Dialysis Corp is not related to Nephrocare's promoter group or group companies. It also stated that the transaction does not involve related-party arrangements or special rights. This structure enables the company to add dialysis infrastructure to its network through its Philippines subsidiary.
A series of disclosed Philippines purchases
The September acquisition follows several asset transfer agreements announced during 2026. On August 17, the Philippines subsidiary acquired assets from Assumption Dialysis Center for PHP 75 million. The acquired centre is located at Daang Maharlika, Brgy. Bunga, Abuyog, Leyte. Earlier transactions covered locations in Bataan, Zamboanga Sibugay and other parts of the country. The pace of announcements shows that the Philippines is becoming a significant overseas operating market for the company.
June deals added multiple locations
On June 24, Nephrocare's Philippines unit acquired dialysis-centre assets in Orion, Bataan, for PHP 151.6 million. Two days earlier, it signed an agreement with Pag-Asa Dialysis And Diagnostic Center for PHP 80.64 million. That centre is located on Magsaysay Street, Poblacion, Ipil, Zamboanga Sibugay. On June 9, the subsidiary acquired assets from Amica Healthcare System Corporation for PHP 32.64 million. These deals were also disclosed as arm's-length transactions.
Bataan and Mindanao expansion
The company acquired assets in Orani, Bataan, from Orani Hemodialysis Center Inc. for PHP 89.6 million under an agreement dated May 12. On May 26, it signed two agreements with Northern Mindanao Dialysis Clinic Inc. and Aliaga Hemodialysis Centre Inc. The combined consideration for those two agreements was PHP 72.2 million, stated to be approximately ₹11.24 crore. The disclosures described these transactions as arm's-length arrangements without related-party involvement. Together, the deals extend the company's reach across several Philippine regions.
Five-clinic addition lifts footprint to 39
Separately, Nephrocare announced the acquisition of five dialysis clinics in the Philippines, taking its total country footprint to 39 clinics. The additions included Santiago, Isabela Dialysis Center; Cabuyao, Laguna Dialysis Center; Binondo, Manila Dialysis Center; CP Garcia Ave, Diliman, Quezon City Dialysis Center; and E Rodriguez, Quezon City Dialysis Center. Group CEO Rohit Singh said the Philippines had become one of Nephrocare's key countries of operation after India. The company had initially entered the market by acquiring a majority stake in Royal Care Dialysis Clinic.
Key disclosed transaction data
Financial context for investors
Nephrocare reported Q1 FY27 revenue of ₹281.75 crore. The Bulacan consideration of about ₹10.25 crore represented approximately 3.6% of that quarterly revenue, based on the disclosed comparison. The transaction therefore adds overseas capacity through a relatively modest individual outlay when measured against the company's reported quarterly revenue. No financial contribution, patient volumes, dialysis-station capacity or expected profitability from the acquired Bulacan assets was disclosed.
Why the Philippines strategy matters
The repeated use of asset transfer agreements points to an inorganic expansion route for Nephrocare's renal-care operations in the Philippines. The announced purchases span Luzon, including Bataan and Bulacan, as well as Leyte and Zamboanga Sibugay. This geographic spread is relevant because the company is building a network beyond a single city or province. However, the disclosures do not provide a combined capital commitment for every Philippines acquisition or a timetable for integrating each facility.
Regulatory disclosure and next steps
The Pag-Asa transaction was disclosed to BSE and the National Stock Exchange under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015. The company has similarly identified its Philippines entity as the buyer in the other announced transactions. The latest confirmed step is the September 14 agreement for the Bulacan assets. Investors will need to rely on future company disclosures for details on operational integration, capacity additions and the financial impact of the expanded Philippines network.
