What is Sun Pharma's timetable for the Organon acquisition?
Sun Pharma has indicated Q4FY27 as the expected closing period for the proposed Organon transaction. Its October 30, 2026 earnings presentation describes the deal as being in the ongoing closure stage and says Sun Pharma and Organon will remain independent entities until the transaction closes.
The Q4FY27 target is conditional rather than a completed transaction. Sun Pharma’s financial-results notes state that the acquisition remains subject to approvals and closing conditions, while the definitive agreement provides for cash payment of US$14 per outstanding Organon share at an enterprise valuation of US$11.75 billion.
Sun Pharma disclosed that Organon received shareholder approval on July 23, 2026. The supplied presentation says definitive documents were signed on April 27, 2026, although the financial-results note records the definitive agreement date as April 27, 2025; the announcement does not explain this difference.
Which Organon approvals are still pending?
Sun Pharma said regulatory approvals had been secured in a majority of regions, while remaining jurisdictions were tracking on schedule as of October 30, 2026. It did not identify the jurisdictions, state the number of approvals received or pending, or give dates for individual regulatory decisions.
The pending filings remain material because the US$11.75 billion acquisition is subject to regulatory approvals and other closing conditions. The Q4FY27 timetable is therefore management’s indicative target, not confirmation that the transaction will close during that period.
Organon’s July 23, 2026 shareholder approval separates the completed shareholder step from the remaining regulatory process. Sun Pharma’s presentation characterises the unresolved approvals as “a few pending,” while its earnings release refers to remaining jurisdictions that are on schedule.
Sun Pharma’s Q2FY27 business update continued to report its operations separately from Organon. Consolidated sales rose 11.8% year on year to Rs 16,100.01 crore, while US formulations sales, representing about 27% of total consolidated sales, declined 8.2% to US$455 million; Organon is not included because the companies remain independent before closing.
How is Sun Pharma preparing for Organon Day 1?
Sun Pharma said integration planning was progressing across functions and workstreams in line with plan, with its Integration Management Office working on Day 1 preparedness. The October 30, 2026 update did not specify headcount changes, product transfers, expected synergies, integration costs or a post-close organisational structure.
The company’s disclosed sequence is that Sun Pharma and Organon will operate independently until legal completion, with integration planning post-closing. This means Sun Pharma is preparing operational readiness before ownership transfers, but it has not said that legal or operational integration had occurred by October 30, 2026.
The proposed acquisition is an all-cash transaction at US$14 per Organon share, with an enterprise valuation of US$11.75 billion. Sun Pharma did not disclose a transaction funding breakdown, although its Q2FY27 presentation reported a net cash position of US$3.3 billion.
Sun Pharma reported cash and cash equivalents of Rs 18,400.95 crore at September 30, 2026, up from Rs 9,770.51 crore at March 31, 2026. Current borrowings declined to Rs 2,626.8 crore from Rs 4,050.35 crore over the same dates, but these balance-sheet figures do not establish how the Organon consideration will be funded.

What Organon costs has Sun Pharma recognised?
Sun Pharma recognised Rs 346.16 crore of acquisition-related and transaction costs in Q2FY27 and Rs 513.16 crore in H1FY27 in connection with the definitive agreement to acquire Organon. The exceptional charges covered diligence, legal, filing, commitment and syndication fees, along with other transaction costs.
The company said additional acquisition-related costs are expected in later periods. Those exceptional charges are distinct from the US$11.75 billion enterprise valuation, which describes the proposed transaction’s enterprise value rather than costs already expensed by Sun Pharma.
The Organon charges were part of broader exceptional items in the period. Sun Pharma also recorded a Rs 922.67 crore settlement, including legal costs, involving Sun Pharmaceutical Industries, Inc., Taro Pharmaceutical Industries Ltd. and Taro Pharmaceuticals U.S.A., Inc. in generic pharmaceuticals pricing antitrust litigation; this was not identified as an Organon acquisition cost.
Q2FY27 reported profit after tax was Rs 1,988.5 crore, compared with adjusted net profit of Rs 3,162 crore. For H1FY27, reported profit after tax was Rs 4,883.3 crore and adjusted net profit was Rs 6,251.5 crore, with the period including the disclosed exceptional acquisition-related charges.
How does Sun Pharma's performance compare while the deal is pending?
Sun Pharma reported Q2FY27 consolidated sales of Rs 16,100.01 crore, up 11.8% from Rs 14,405.22 crore in Q2FY26. H1FY27 sales grew 11% to Rs 31,283.56 crore, and India formulations was the largest disclosed quarterly business at Rs 5,552.28 crore, up 17.3% and accounting for 34.5% of sales.
The geographical picture was mixed in Q2FY27. Emerging Markets formulations sales increased 7.6% to US$350 million and Rest of World formulations rose 3.1% to US$241 million, whereas US formulations declined 8.2% to US$455 million; Sun Pharma attributed the US decline to lenalidomide erosion and said US sales were slightly higher excluding lenalidomide.
Global Innovative Medicines sales rose 6.9% to US$356 million in Q2FY27 and represented 21.1% of consolidated sales. Research and development expenditure was Rs 778.42 crore, or 4.8% of quarterly sales, and Sun Pharma said 32.4% of total research and development expenditure was directed to Innovative Medicines research and development.
Earnings before interest, tax, depreciation and amortisation rose 4.8% to Rs 4,743.9 crore in Q2FY27, but the margin declined to 29.3% from 31.3% in Q2FY26. Sun Pharma reports one operating segment, pharmaceuticals, making its geographical and product-category disclosures the available comparison while the Organon transaction remains pending.
Conclusion
Sun Pharma has advanced the Organon transaction beyond definitive documentation and Organon shareholder approval, with majority regulatory approvals secured and an indicative Q4FY27 close targeted. The proposed US$11.75 billion cash transaction has also generated Rs 513.16 crore of H1FY27 acquisition-related costs, while the companies remain independent before completion.
The next disclosed milestones are the few remaining regulatory filings and other closing conditions that Sun Pharma has not detailed. Management plans for its Integration Management Office to continue Day 1 preparedness, with post-closing integration to follow if the Q4FY27 target is achieved.
