TVS Motor Demerger Sets Up 1:1 Finance Share Plan
Ask Iris
TVS Motor Company has approved a composite scheme of arrangement to separate its consumer finance and related business undertaking into Harita ARC Ltd. The proposal also includes the merger of wholly owned subsidiary TVS Motor Services Ltd with TVS Motor. If the required approvals are received, the restructuring will leave shareholders with holdings in both the continuing automotive business and a separately listed consumer finance-focused company. The board approved the scheme on October 28, 2026.
What the board has approved
The proposed transaction has three connected parts. First, TVS Motor will demerge its consumer finance and related business undertaking into Harita ARC. Second, TVS Motor Services will be amalgamated with TVS Motor and dissolved without winding up. Third, Harita ARC is proposed to be listed on the stock exchanges, subject to statutory and regulatory approvals.
The company said the consumer finance undertaking includes lending, investments, leasing and associated support services. It also includes TVS Motor's investment in TVS Credit Services and certain other non-core investments. The arrangement is intended to place these assets within a dedicated holding-company structure. TVS Motor's continuing business will remain focused on automotive and mobility operations.
Harita ARC acquisition completed
To implement the scheme, TVS Motor approved the acquisition of 100% of Harita ARC from TVS Credit Services Ltd. The company acquired the entire equity share capital of Harita ARC for ₹25,000 in cash on October 28, 2026. Following this acquisition, Harita ARC became a wholly owned subsidiary of TVS Motor.
Harita ARC is the proposed resulting company that will receive the demerged consumer finance undertaking. Its shareholding pattern is expected to mirror that of TVS Motor after the demerger. This structure is designed to directly align the shareholder base of the resulting company with that of TVS Motor rather than retaining the finance business as a subsidiary of the automotive company.
Shareholders to receive shares on a 1:1 basis
Under the proposed share entitlement ratio, eligible shareholders will receive one fully paid-up equity share of Harita ARC for every one fully paid-up equity share of TVS Motor held on the record date. Both TVS Motor shares and the proposed Harita ARC shares have a face value of ₹1 each. The scheme involves no cash consideration for shareholders.
The company has said the structure will enable existing shareholders to participate in the future growth of both businesses. After the transaction, shareholders are expected to hold the same proportional interest in the mobility company and the consumer finance-related entity. The shares of Harita ARC are proposed to be listed on the same stock exchanges where TVS Motor is listed, subject to approvals.
Key transaction details
Consumer finance business scale
The demerged undertaking reported turnover of ₹3,921 crore for the six months ended September 30, 2026. TVS Motor's total turnover for the same six-month period was ₹35,770 crore. These figures indicate the reported scale of the undertaking relative to the company's overall turnover during the period.
TVS Motor also reported standalone net profit of ₹1,377.15 crore for the second quarter. The demerger announcement was made alongside the company's earnings update. The scheme, however, remains subject to a separate approval process and will take effect only after all applicable conditions are met.
Link with NBFC consolidation plans
The demerger follows an earlier decision by NBFC companies within the group to consolidate consumer finance businesses into a single operating platform. In August 2026, the relevant group entities approved a two-stage merger plan involving STPL Trading, Home Credit India Finance, TVS Housing Finance and TVS Credit Services.
Under the plan described by the group, STPL Trading is to merge into Home Credit India Finance, followed by the merger of Home Credit India Finance and TVS Housing Finance into TVS Credit Services. TVS Motor's management said the consolidation process is awaiting regulatory approvals and is expected to conclude by March or April 2027. The proposed July 2027 appointed date for the demerger follows that planned consolidation timeline.
Why the group is separating the businesses
TVS Motor said the consumer finance and related business has expanded in scale and scope. According to the company, a dedicated structure can provide greater strategic focus, flexibility in capital allocation and the ability to pursue opportunities across consumer finance and related sectors. The company also said the structure reflects the group's long-term conviction in India's financial services sector.
For TVS Motor, the separation is intended to sharpen focus on continuing automotive and mobility businesses. The merger of TVS Motor Services with the listed company is separately intended to streamline the corporate structure and enhance operational synergies. The scheme therefore combines a financial-services separation with the absorption of a wholly owned operating subsidiary.
Approval process and next steps
The composite scheme must receive approvals from stock exchanges, the Securities and Exchange Board of India, the jurisdictional National Company Law Tribunal, shareholders and creditors of the involved companies, where applicable. TVS Motor will file the scheme with the stock exchanges and SEBI as part of this process. The company has stated that completion remains dependent on statutory, regulatory, shareholder and other approvals.
The share record date has not been specified in the information released so far. Neither the listing date for Harita ARC nor the effective date of the scheme has been announced. The appointed date of July 2027 is subject to the scheme becoming effective after the required approvals and procedures are completed.
Market and investor relevance
The transaction would create two proposed listed entities with distinct areas of focus. TVS Motor would continue as the mobility and automotive business, while Harita ARC would hold the consumer finance-related undertaking. The 1:1 entitlement ratio means eligible TVS Motor shareholders would receive shares in the proposed finance entity without a cash payment under the scheme.
The operational and financial separation is not yet complete, and investors will need to track the approval process, the record date and the listing of Harita ARC. The group has linked the proposal to its broader finance-business consolidation. The next confirmed milestones are regulatory consideration of the NBFC consolidation and the subsequent review and approval process for the composite scheme.
