What did Batliboi pay for Penta?
Batliboi agreed a Rs 19.8 crore value for 100% of Penta’s paid-up equity, with 80% acquired upfront and the remaining 20% acquired over the next five years. The company paid Rs 15.84 crore in cash at closing, while Rs 3.96 crore is scheduled across five annual payments beginning in April 2027.
The transaction was a secondary acquisition from Manders Industries B.V., which owned 49%, and founders Dharmesh Mistry and Avani Mistry, who together owned 51%. After completion, Penta became a Batliboi subsidiary and PAtS Robotics became an indirect subsidiary through Penta. The founders are to remain engaged for at least five years to support growth and integration.
What automation products and customers does Penta bring?
Penta brings functional-safety-certified turnkey automation systems covering precision assembly and joining, automated testing and inspection, integrated production lines and custom-built machines. Its ADDROBOX offering includes modular robotic work cells, gantry pick-and-place systems with two, three or four axes for loads up to 50 kilograms, servo positioners, conveyors and robotic surface-treatment modules.
Founded in 2007, Penta operates from an integrated facility at Umargam GIDC on a 50,000-square-foot site with 22,000 square feet of built-up area. Its PAtS Robotics facility in Chakan, Pune, has 5,000 square feet and provides local machine-build, factory acceptance testing and service support for manufacturers in the Pune region.
Penta serves more than 30 global Tier-1 and Tier-2 manufacturers across five industries: automotive suppliers, bearings, electronics and power and switchgear, medical, pharma and biotech, and consumer products and appliances. The presentation lists Bosch, Siemens, ABB, ZF India, Valeo, Yazaki, Schneider Electric, SKF, Schaeffler, L&T, TE Connectivity and Knorr-Bremse as customers, while Batliboi identifies SKF, Tenneco, Schaeffler and Siemens as marquee relationships.
How does Penta fit Batliboi’s existing businesses?
Batliboi has placed Penta in a Robotics and Factory Automation business alongside Air Engineering, Textile Machinery, Machine Tools and Environmental Engineering. Management says Penta’s automation and robotics integration capabilities complement its machine-tool, textile-machinery and environmental-engineering offerings, broadening the equipment and systems it can provide to industrial customers.
The closest disclosed overlap is within Machine Tools, where the September 2026 order backlog was Rs 172 crore, equal to 27% of Batliboi’s Rs 646 crore group order backlog. That total included Rs 42 crore for machine-tool manufacturing and Rs 130 crore for trading, and the presentation states that the Machine Tools backlog includes PAtS and Penta Robotics.
Machine Tools manufacturing installed 179 machines in 1HFY27, compared with three machines installed by the trading division. In the two quarters, manufacturing revenue rose from Rs 22 crore in 1QFY27 to Rs 24 crore in 2QFY27, while installations increased from 88 to 91 machines. Those figures show the existing production-equipment business into which Batliboi plans to integrate Penta’s automation systems.

What financial context surrounds Batliboi’s Penta purchase?
Penta reported revenue of Rs 25.17 crore in FY26 and is described by Batliboi as profitable. Batliboi characterises the purchase as earnings-accretive, but the presentation does not disclose Penta’s profit, order book, purchase multiple or a separate forecast for its contribution after the July 2026 acquisition.
Batliboi’s consolidated revenue rose 43% to Rs 273 crore in 1HFY27 from Rs 190 crore in 1HFY26. Earnings before interest, tax, depreciation and amortisation increased to Rs 17 crore from Rs 11 crore, while profit after tax doubled to Rs 7 crore. Management notes that these consolidated figures are rounded and cover businesses beyond Penta.
The company recorded Rs 469 crore of order inflow through September 2026 and had Rs 646 crore of outstanding orders at that date. Textile Machinery held Rs 196 crore of backlog, compared with Rs 172 crore for Machine Tools and Rs 122 crore for Environmental Engineering. Environmental Engineering also generated Rs 66 crore of revenue in 1HFY27, or about 24% of group revenue.
What has Batliboi said about FY27 after the acquisition?
Management has reiterated guidance for about 10% sustainable consolidated topline growth in FY27 with stable margins, subject to no further adverse impact on the global and Indian economy from prolonged conflicts. It cited textile and solar-energy sector conditions, international opportunities and strategic partnerships as supports for that outlook.
Batliboi has not disclosed a separate FY27 revenue, margin or order-inflow target for Penta. The disclosed operating markers instead include the founders’ five-year engagement period and the Rs 3.96 crore deferred consideration, with the first of five annual payments due from April 2027. The presentation therefore leaves Penta’s standalone post-acquisition financial performance to be reported in later updates.
Conclusion
Batliboi’s Rs 19.8 crore purchase of Penta adds turnkey production lines, robotic work cells and custom automation equipment to a group that reported Rs 273 crore of consolidated revenue in 1HFY27. The deal also makes PAtS Robotics an indirect subsidiary and brings customer relationships spanning automotive, bearings, electrical equipment, medical applications and consumer products.
The next disclosed milestones are the five deferred annual payments beginning in April 2027 and the founders’ minimum five-year role in growth and integration. Management’s stated FY27 objective remains about 10% consolidated topline growth with stable margins, while Penta’s standalone revenue, profit and order-book targets have not been disclosed.
