What is the status of Birla Cable’s proposed amalgamation?
Birla Cable has proposed to amalgamate into Vindhya Telelinks Limited with an appointed date of 1 April 2026, subject to statutory, regulatory and tribunal approvals. Under the scheme approved by Birla Cable’s board on 21 March 2026, Vindhya Telelinks would issue 10 fully paid equity shares of face value Rs 10 each for every 115 fully paid Birla Cable equity shares of face value Rs 10 each held by eligible shareholders.
Birla Cable received an observation letter with no objection from the National Stock Exchange of India and a letter with no adverse observations from BSE during the quarter ended 30 September 2026. The company has filed a first-motion application with the jurisdictional National Company Law Tribunal, or NCLT, seeking directions for convening or dispensing with meetings of shareholders and creditors.
The scheme has not become effective because it remains subject to required approvals, including NCLT sanction. Birla Cable stated that it will stand dissolved when the scheme becomes effective, while cross-held shares between Birla Cable and Vindhya Telelinks will be cancelled and extinguished. The company reported cables as its only reportable primary business segment under Indian Accounting Standard 108.
Conclusion
Birla Cable’s September-quarter earnings increase reflected revenue of Rs 354.81 crore and profit before tax of Rs 50.45 crore, compared with Rs 176.07 crore of revenue and Rs 1.02 crore of profit before tax a year earlier.
