When did BLS E-Services complete the Atyati acquisition?
BLS E-Services completed the Atyati acquisition on July 2, 2026, and included Atyati in consolidated results for the quarter and half year ended September 30, 2026 from that date. The group acquired 100% of Atyati’s equity shares for Rs 145.8269 crore, net of contingent consideration, during the September 2026 quarter.
BLS E-Services had allocated Rs 138 crore of revised initial public offering proceeds to acquire equity shares in Atyati. Shareholders approved the change in the use of proceeds at an extraordinary general meeting held on March 16, 2026, following the board’s February 16, 2026 proposal. The September 30 filing says the Rs 138 crore allocation was fully utilised during the quarter in which the acquisition was completed.
The purchase amount disclosed for the acquisition and the Rs 138 crore IPO allocation are separate figures in the filing. The acquisition consideration is stated as Rs 145.8269 crore net of contingent consideration, while the proceeds-utilisation table records Rs 138 crore as the amount used for acquisition of Atyati equity shares. The filing does not provide a reconciliation between those two disclosed figures.
How did the Atyati deal change BLS E-Services’ balance sheet?
BLS E-Services reported total assets of Rs 871.7694 crore at September 30, 2026, compared with Rs 761.9204 crore at March 31, 2026. Goodwill increased to Rs 204.2974 crore from Rs 166.9537 crore, while other intangible assets rose to Rs 93.0899 crore from Rs 0.90 lakh over the same six-month period.
The group said it had provisionally measured the fair value of Atyati’s acquired assets and liabilities under Indian Accounting Standard 103, or Ind AS 103, on business combinations. The excess of consideration paid over the provisional fair value of acquired net assets created goodwill. BLS E-Services expects to complete the purchase-price allocation within one year and says measurement-period adjustments remain possible while its review continues.
Non-current assets rose to Rs 379.7082 crore at September 30 from Rs 228.1637 crore at March 31. Within non-current liabilities, provisions increased to Rs 35.5926 crore from Rs 1.8213 crore. Total equity increased to Rs 606.3597 crore from Rs 569.814 crore, including non-controlling interest of Rs 53.8562 crore at September 30.

What do the latest consolidated results show after Atyati joined?
BLS E-Services reported consolidated revenue from operations of Rs 424.4446 crore for the quarter ended September 30, 2026, compared with Rs 269.7541 crore in the quarter ended September 30, 2025. Revenue for the half year ended September 30, 2026 was Rs 728.53 crore, up from Rs 513.742 crore in the corresponding prior-year half.
The group explicitly says the current consolidated quarter and half-year results are not comparable with previous periods because Atyati was acquired only on July 2, 2026. The group has one reportable operating segment, Digital Services, which includes e-governance, business correspondent, loan distribution and allied services under Indian Accounting Standard 108, or Ind AS 108.
Consolidated net profit was Rs 20.5449 crore for the September 2026 quarter, compared with Rs 18.2801 crore a year earlier. Profit attributable to owners of BLS E-Services was Rs 17.3562 crore, and profit attributable to non-controlling interests was Rs 3.1887 crore. Half-year consolidated net profit rose to Rs 39.1714 crore from Rs 35.8019 crore.
Net cash generated from operating activities was Rs 20.3279 crore in the half year ended September 30, 2026, against Rs 10.1947 crore a year earlier. Investing activities used Rs 20.2885 crore, including Rs 109.2705 crore shown as payment for acquisition of subsidiary, net. Cash and cash equivalents stood at Rs 81.0741 crore at September 30, compared with Rs 87.9312 crore at the beginning of the financial year.
What lending business is Atyati planning to sell?
Atyati approved entering into a Business Transfer Agreement with TVAM Technologies Private Limited for the sale and transfer of its Joint Liability Group-Financial Lending business undertaking. The proposed transaction is a slump sale on a going-concern basis, approved by Atyati’s board and shareholders at meetings held on September 28, 2026.
A slump sale transfers an undertaking for lump-sum consideration rather than separately assigning values to individual assets and liabilities. The filing does not disclose the consideration, expected closing date, assets, liabilities, revenue or profit associated with the Joint Liability Group-Financial Lending business. It also does not state that the transaction had completed by November 2, 2026.
Completion remains subject to approvals or consents that may be required from lenders, regulatory or statutory authorities, and other concerned parties. The proposed sale concerns Atyati’s business undertaking, not a disposal of BLS E-Services itself. Since Atyati became a wholly owned subsidiary on July 2, 2026, the proposed transfer would occur within BLS E-Services’ consolidated group.
Conclusion
BLS E-Services has added Atyati to its consolidated accounts from July 2, 2026 through an acquisition recorded at Rs 145.8269 crore net of contingent consideration. The September 30 balance sheet showed higher goodwill, intangible assets and total assets than at March 31, while revenue and profit also increased year on year. However, BLS E-Services says its current-period consolidated results are not comparable with earlier periods because Atyati was included only from the acquisition date.
What to watch next is the completion of Atyati’s proposed slump sale to TVAM Technologies Private Limited, including required lender, regulatory, statutory and other consents. BLS E-Services has not disclosed a transaction value or timetable for that sale. The group also expects to complete the Atyati purchase-price allocation within one year, which could result in measurement-period adjustments to the provisional acquisition accounting.
