How did BLS International fund the Atyati acquisition?
BLS International funded part of the Atyati purchase through Rs 138 crore of redirected initial public offering, or IPO, proceeds at BLS E-Services. BLS E-Services raised gross fresh-issue proceeds of Rs 309.2929 crore when it listed on BSE Limited and National Stock Exchange of India Limited on February 6, 2024, while net proceeds after issue expenses were Rs 277.7693 crore.
The BLS E-Services board approved seeking shareholder approval for the revised IPO objects on February 16, 2026, and shareholders passed the resolution at an extraordinary general meeting on March 16, 2026. The reallocation reduced technology-infrastructure funding by Rs 63.217 crore and removed the Rs 74.783 crore allocation for setting up BLS Stores, creating the Rs 138 crore acquisition allocation.
BLS E-Services had Rs 14.5364 crore of IPO proceeds unutilised at September 30, 2026, entirely against the revised technology-infrastructure allocation. It temporarily invested Rs 14.47 crore in term deposits with scheduled banks, with the balance held in the monitoring account; the filing gives no revised deployment date for the remaining amount.
When did BLS International complete the Atyati acquisition?
BLS International completed the 100% Atyati acquisition on July 2, 2026 for consideration of Rs 145.8269 crore, net of contingent consideration. The consideration was Rs 7.8269 crore higher than the Rs 138 crore IPO allocation for acquiring Atyati equity shares, and the filing does not separately identify the funding source for that difference.
Atyati’s results were consolidated from July 2, 2026, meaning the quarter and half year ended September 30, 2026 include its operations. BLS International says those periods are not comparable with earlier periods because of the acquisition, and it separately notes that Trefeddian Hotel (Aberdovey) Limited, acquired on October 2, 2025, also affects comparison with the September 2025 quarter.
The purchase-price allocation is provisional under Indian Accounting Standard 103, Business Combinations, and the excess of consideration over provisional net assets resulted in goodwill. BLS International expects to complete the allocation within one year and says measurement-period adjustments remain possible as its review of acquisition matters continues.
Is BLS International selling all of Atyati?
BLS International is not disclosing a sale of all of Atyati; it is pursuing the sale of Atyati’s Joint Liability Group-Financial Lending Business as a going concern to TVAM Technologies Private Limited. The proposed transaction is structured as a slump sale under a Business Transfer Agreement, while BLS International acquired 100% of Atyati only on July 2, 2026.
Atyati’s board and shareholders considered and approved entering into the Business Transfer Agreement on September 28, 2026. The sale remains subject to required approvals or consents from lenders, regulatory or statutory authorities, and other concerned parties.
The filing does not disclose the proposed sale consideration, completion date, gain or loss, or the lending undertaking’s revenue, loans, assets or liabilities. It also does not state why the undertaking is proposed for sale or quantify how the transfer would affect Atyati’s remaining operations after the proposed transaction.

Conclusion
BLS International completed the Rs 145.8269 crore Atyati acquisition after BLS E-Services used a shareholder-approved Rs 138 crore IPO-proceeds reallocation. The transaction brought Atyati into consolidated results from July 2, 2026, during a quarter in which digital-services revenue reached Rs 462.8357 crore, although the company says acquisition effects limit comparison with earlier periods.
The next disclosed event is the proposed slump sale of Atyati’s Joint Liability Group-Financial Lending Business to TVAM, approved on September 28, 2026 but still subject to lender and regulatory or statutory consents. BLS International also expects to complete its provisional Atyati purchase-price allocation within one year, while Rs 14.5364 crore of BLS E-Services IPO proceeds remained unutilised at September 30, 2026.
