Antala Industries family holds 65.07% and four board seats
Ask Iris
Antala Industries Limited, referred to as Antala Industries, has concentrated family ownership and board representation: four promoter-directors from the Antala family hold 65.07% of equity shares and occupy four of six board seats. Rajeshkumar Chandulal Antala alone holds 52.31%, while the other two directors are designated independent directors.
How concentrated is Antala Industries family control?
Antala Industries’ four Antala family directors collectively own 56,43,840 equity shares, or 65.07% of the company’s share capital as disclosed in the Red Herring Prospectus. Rajeshkumar Chandulal Antala holds 45,37,770 shares, representing 52.31%, giving one director a majority of the disclosed equity capital. Pankajkumar Chandulal Antala holds 3,15,506 shares or 3.64%, Lataben Rajeshbhai Antala holds 3,44,117 shares or 3.97%, and Hetalben Pankajkumar Antala holds 4,46,447 shares or 5.15%.
The concentration results from shareholdings by four promoters in the same two-couple family. Rajeshkumar Chandulal Antala and Pankajkumar Chandulal Antala are brothers; Lataben Rajeshbhai Antala is Rajeshkumar Chandulal Antala’s spouse, and Hetalben Pankajkumar Antala is Pankajkumar Chandulal Antala’s spouse. The prospectus says that, except for these four directors, no director holds equity shares in Antala Industries. The two independent directors therefore have no disclosed shareholding.
The 65.07% figure represents the combined stakes of the four director-shareholders, rather than a separate shareholding category reported by Antala Industries. Rajeshkumar Chandulal Antala’s 52.31% holding accounts for 52.31 percentage points of the group’s 65.07% total, leaving 12.76 percentage points with the other three promoter-directors. This ownership pattern would persist unless any of the four holdings, the company’s equity capital, or both change.
Who occupies Antala Industries’ six board seats?
Antala Industries has six directors, of whom four are Antala family members and two are independent directors. The board consists of Rajeshkumar Chandulal Antala as Chairman and Managing Director, Pankajkumar Chandulal Antala as Whole-Time Director, Lataben Rajeshbhai Antala and Hetalben Pankajkumar Antala as non-executive non-independent directors, and Nikita Gaurav Tank and Vishal Savji Varia as non-executive independent directors. The family consequently occupies 66.67% of the six board seats.
The four family positions span executive and non-executive roles. Rajeshkumar Chandulal Antala has been Managing Director since January 28, 2025, for a three-year term ending January 27, 2028. Pankajkumar Chandulal Antala became Whole-Time Director on June 8, 2026, for a term ending June 7, 2029. Lataben Rajeshbhai Antala and Hetalben Pankajkumar Antala were redesignated as non-executive non-independent directors on June 8, 2026.
The six-member board sits within the Articles of Association limit of at least three and no more than 15 directors. Nikita Gaurav Tank, the woman independent director, was appointed on February 19, 2025. Vishal Savji Varia was appointed as an additional non-executive independent director on June 18, 2026, then redesignated as a non-executive independent director on August 1, 2026.
The board changed during the three years preceding the Red Herring Prospectus. Three independent directors, Nikita Gaurav Tank, Sanjay Bhupatbhai Valgotar and Anjali Hukambhai Jeshani, were appointed on February 19, 2025, but Sanjay Bhupatbhai Valgotar resigned on August 20, 2025 and Anjali Hukambhai Jeshani resigned on June 18, 2026, both citing pre-occupation and other commitments. Vishal Savji Varia’s June 2026 appointment restored the independent-director count to two in the six-member board disclosed in the prospectus.
What do independent directors change in Antala Industries’ governance?
Antala Industries has two independent directors, equal to one-third of its six-member board, while the Antala family retains four seats and 65.07% of disclosed equity. Nikita Gaurav Tank’s five-year term runs from February 19, 2025 to February 18, 2030. Vishal Savji Varia’s five-year term runs from June 18, 2026 to June 17, 2031. Their designations add an independent-director component but do not alter the family’s numerical board majority.
Antala Industries states that the Securities and Exchange Board of India, or SEBI, Listing Regulations will apply immediately upon listing of its equity shares. At the Red Herring Prospectus stage, the company said specified provisions of the SEBI Listing Regulations did not apply because its issue was being made under Chapter IX of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018. Antala Industries nevertheless said it had complied with requirements relating to independent directors, a woman director, and the Audit Committee, Nomination and Remuneration Committee, and Stakeholders Relationship Committee.
The Audit Committee shows a different balance from the full board. Reconstituted by a board resolution dated July 6, 2026, the three-member committee lists Nikita Gaurav Tank as chairperson, Vishal Savji Varia as member and Rajeshkumar Chandulal Antala as member. The two independent directors therefore hold two of the committee’s three seats. Section 177 of the Companies Act, 2013 requires an Audit Committee of at least three directors with independent directors forming a majority for companies to which the provision applies.
How did the current family-led structure develop?
Antala Industries was incorporated as a public limited company on August 5, 2024, following the conversion of M/s Octagon Industries, a partnership formed on April 30, 2021. The conversion occurred under Section 366 in Part I of Chapter XXI of the Companies Act, 2013. Rajeshkumar Chandulal Antala, Pankajkumar Chandulal Antala and Lataben Rajeshbhai Antala were partners in Octagon Industries from April 2021 to August 2024, while Hetalben Pankajkumar Antala was also a partner over that period before joining Antala Industries in May 2025.
Antala Industries acquired the businesses of Diya Overseas and Shree Industries under agreements dated September 11, 2024. Pankajkumar Chandulal Antala had been sole proprietor of Diya Overseas from August 2012 to September 2024. Hetalben Pankajkumar Antala had been sole proprietor of Shree Industries from November 2013 to September 2024. The disclosure links two acquired businesses to two promoter-directors, but does not state a continuing ownership interest in either business after the acquisitions.
Antala Industries reported no holding company, subsidiaries or joint ventures as of the Red Herring Prospectus filing. It also reported no subsisting shareholders’ agreement and said no director was appointed under an arrangement or understanding with major shareholders, customers, suppliers or others. These disclosures identify the four related director-shareholders and their board representation, rather than a disclosed shareholder agreement, as the basis for the ownership and board concentration described in the prospectus.
Conclusion
Antala Industries combines 65.07% ownership by four related promoter-directors with four of six board seats held by the same family group. Rajeshkumar Chandulal Antala’s 52.31% individual holding is the largest disclosed stake, while the two independent directors account for one-third of the board and two of the three Audit Committee positions.
The disclosed director terms provide the next dated governance milestones. Rajeshkumar Chandulal Antala’s Managing Director term ends in January 2028, Pankajkumar Chandulal Antala’s Whole-Time Director term ends in June 2029, and Nikita Gaurav Tank’s independent-director term ends in February 2030; later appointments, reappointments or changes in shareholdings would determine whether the current balance continues.
