Capfront Technologies Private Limited built a 99.98% pre-IPO stake
Ask Iris
Capfront Technologies Private Limited built a 99.98% direct pre-IPO stake through transfers, three rights issues, a 1:1 bonus allotment and a further rights issue. Capfront Technologies held 2,03,82,415 of the issuer’s 2,03,86,423 fully paid equity shares before the offer, according to the prospectus.
How did Capfront Technologies Private Limited build a 99.98% pre-IPO stake?
Capfront Technologies built its 99.98% pre-IPO stake through an initial acquisition followed by allotments that expanded its shareholding. On 24 October 2019, Capfront Technologies acquired 4,66,998 equity shares through eight transfers at Rs 70.29 per share, excluding stamp duty. The transfers included 1,43,500 shares from Joyti Holdings Pvt. Ltd. and 90,000 shares from Karishma Suppliers Pvt. Ltd.
Capfront Technologies then received 21,34,500 shares in a rights issue on 22 November 2019, taking its cumulative holding to 26,01,498 shares. It received another 4,97,937 shares on 7 January 2020 and 9,24,740 shares on 31 January 2020, both also through rights issues at Rs 70.29 per share. Its holding consequently reached 40,24,175 shares before the December 2025 bonus issue.
The prospectus’s major-shareholder tables show Capfront Technologies held 40,24,175 of 40,25,177 shares, or 99.97%, one year and two years before the red herring prospectus. This comparison shows that its near-total ownership position was established before the December 2025 and June 2026 capital actions. The subsequent allotments increased the total share count while retaining Capfront Technologies’ concentration.
What did the 1:1 bonus allotment change for Capfront Technologies Private Limited?
The 1:1 bonus allotment doubled Capfront Technologies’ shares from 40,24,175 to 80,48,350 without cash consideration. On 22 December 2025, the issuer allotted 40,25,177 bonus shares, equal to one new equity share for every share held. Capfront Technologies received 40,24,175 shares, while Itha Venkata Raghava Gowrinath received 1,000 shares and Ritesh Agarwal received two shares.
The prospectus identifies the 22 December 2025 transaction as the only equity-share issue since incorporation for consideration other than cash. It states that the benefit accrued to the issuer was nil and that no assets had been revalued since incorporation. The bonus shares therefore increased outstanding shares but were not described as a cash capital raise or an issue from revaluation reserves.
The issuer also subdivided its equity shares on the same effective date. A shareholder resolution on 18 December 2025 split each Rs 10 share into two Rs 5 shares with effect from 22 December 2025. Capfront Technologies’ 80,48,350 post-bonus shares therefore became 1,60,96,700 Rs 5 shares before the June 2026 rights issue, without changing its economic ownership proportion.
Why did the June 2026 rights issue increase Capfront Technologies Private Limited’s holding?
The 6 June 2026 rights issue added 42,85,715 Rs 5-face-value equity shares to Capfront Technologies’ holding, all for cash at Rs 35 per share. The allotment took its cumulative shareholding from 1,60,96,700 shares after the subdivision to 2,03,82,415 shares. The issuer’s total paid-up equity capital after that allotment was 2,03,86,423 shares.
The June 2026 issue left 4,008 shares outside Capfront Technologies’ direct holding. The company had authorised share capital of Rs 15 crore, comprising 3 crore equity shares of Rs 5 each, while its pre-offer paid-up capital was Rs 10.19 crore. The authorised-capital headroom was therefore separate from the 2,03,86,423 shares already issued before the offer.
The reported ownership percentage also reflects the absence of outstanding dilutive instruments. The prospectus states that the issuer had one class of fully paid equity shares, no outstanding convertible instruments, no warrants, no employee stock option scheme and no preference shares. Accordingly, the disclosed 99.98% direct holding did not face dilution from previously issued conversion rights.
How concentrated was ownership before the offer?
Ownership was concentrated among two promoters before the offer. The shareholding summary lists the promoter and promoter group with 2,03,86,411 shares, or 99.98%, and five public shareholders with 12 shares, or 0.02%. It records seven shareholders in total, with no non-promoter, non-public category.
The detailed pre-issue table lists Capfront Technologies with 2,03,82,415 shares, or 99.98%, and Itha Venkata Raghava Gowrinath with 3,996 shares, or 0.01%. The two promoter holdings totalled 2,03,86,411 shares and were reported as 99.99% in that table because of rounding. Six public holders held the remaining 12 shares, also reported as 0.01% on the same rounded basis.
Each equity share carried one vote as of the red herring prospectus filing date, according to the issuer’s declaration. The same declaration reported no partly paid-up shares, depository receipts, convertible securities, warrants or shares with differential voting rights. The prospectus also stated that none of the promoter-held shares was pledged or otherwise encumbered.
What lock-ins and capital plans affect Capfront Technologies Private Limited’s shares?
Capfront Technologies’ promoter shares will be subject to lock-in requirements after the offer allotment. Under the disclosed Securities and Exchange Board of India Issue of Capital and Disclosure Requirements Regulations, 2018, at least 20% of post-issue capital held by promoters must be treated as promoter contribution and locked in for three years. The prospectus identifies 55,96,000 Capfront Technologies shares and 2,000 shares of the other promoter for the three-year lock-in.
Promoter holdings above the minimum contribution will be locked in on a phased basis under the disclosed 2025 amendments. Fifty percent of the excess promoter holding is to be locked in for two years, and the remaining 50% for one year, from the offer allotment date. The 12 pre-issue shares held by persons other than promoters will be locked in for one year.
The issuer disclosed no intention or proposal to alter its capital structure between the red herring prospectus date and listing, except for a disclosed pre-IPO placement. It also stated that it did not intend to split or consolidate shares, or issue further equity or convertible securities, for six months from the issue opening date. The stated exception permits additional capital or equity consideration for an acquisition, joint venture or business expansion.
Conclusion
Capfront Technologies reached its 99.98% direct pre-IPO stake through 4,66,998 transferred shares in October 2019, 35,57,177 shares in three rights issues through January 2020, 40,24,175 bonus shares in December 2025 and 42,85,715 shares in June 2026. The bonus issue and subdivision enlarged the number of shares, while the rights issues preserved the promoter entity’s near-total ownership.
The next ownership update will be the shareholding pattern that the issuer says it will file one day before listing. Until then, the stated capital plan rules out further changes through listing and for six months from the issue opening date, subject to the disclosed acquisition, joint-venture and business-expansion exception and the applicable promoter lock-ins.
