Zetwerk debt totals Rs 5,208.065 crore, led by working capital
Zetwerk reported consolidated outstanding indebtedness of Rs 5,208.065 crore as at August 31, 2026. Working-capital finance accounted for Rs 3,572.839 crore, or 68.6% of the total, while identified secured non-convertible debentures accounted for Rs 1,363.673 crore. The borrowing structure links funding availability to lender facilities, collateral and contractual covenants.
How large is Zetwerk's consolidated debt?
Zetwerk's outstanding consolidated debt was Rs 5,208.065 crore on August 31, 2026, against total sanctioned facilities of Rs 7,240.855 crore. The outstanding amount represented 71.9% of the disclosed sanctioned amount. Zetwerk reported Rs 3,338.220 crore, or 64.1% of total outstanding debt, at the company level, while subsidiaries accounted for Rs 1,869.845 crore, or 35.9%.
The disclosed borrowing table covers non-convertible debentures, commercial paper, inter-corporate loans, related-party loans and working-capital finance. A non-convertible debenture is a debt instrument that does not convert into shares. Zetwerk said these facilities support working-capital and cash-flow requirements, capital expenditure, settlement transactions, vendor purchases, business requirements and general corporate purposes.
Zetwerk's lender list as of August 31, 2026 includes banks, alternative-credit funds, trustees, finance companies and other lenders. Listed non-convertible-debenture lenders include Yubi Markets Private Limited, Nippon India Credit Opportunities Fund, Sundaram Alternate Assets Limited, JM Financial Credit Opportunity Fund – I, Lighthouse Canton Venture Debt Fund and Stride Ventures Debt Fund. The working-capital lender list includes State Bank of India, Axis Bank Limited, ICICI Bank Limited, HDFC Bank Limited, Standard Chartered Bank and JP Morgan Chase Bank, N.A.
Why does working-capital finance lead Zetwerk's debt?
Working-capital finance was Zetwerk's largest disclosed borrowing category, at Rs 3,572.839 crore across company and subsidiary facilities on August 31, 2026. The figure includes Rs 959.078 crore and Rs 1,220.811 crore under the company's disclosed working-capital facilities, as well as Rs 772.004 crore of subsidiary fund-based facilities and Rs 620.946 crore of subsidiary non-fund-based facilities. It represented 68.6% of consolidated outstanding indebtedness.
Working capital is financing used for operating cash requirements rather than solely for a long-term asset purchase. Zetwerk said the group uses facilities for vendor purchases, cash-flow requirements and general corporate purposes. In its manufacturing and ecosystem businesses, Zetwerk acts as a principal: it purchases goods from suppliers, takes title to them and supplies customers, creating funding requirements during procurement, delivery and collection cycles.
Identified secured non-convertible debentures comprised Rs 1,000.882 crore and Rs 83.821 crore at Zetwerk, plus Rs 278.970 crore at subsidiaries. Together, working-capital lines and these identified secured debentures totalled Rs 4,936.512 crore, or 94.8% of consolidated debt. The disclosure also reports Rs 97.610 crore of subsidiary debentures described as secured or unsecured, so that mixed-security category is excluded from the identified secured-debenture amount.
What collateral and covenants support Zetwerk's debt?
Zetwerk said its facilities are primarily secured by exclusive or pari-passu charges over present and future movable and immovable assets, including property, plant and equipment, current assets and receivables. A pari-passu charge means secured lenders rank equally over the specified collateral. Security may also include pledges of Zetwerk or subsidiary shares, corporate guarantees, personal guarantees and fixed deposits.
The collateral package applies alongside interest terms that vary by facility. Zetwerk said working-capital rates are typically linked to the repo rate, the three-month marginal cost of fund-based lending rate, known as MCLR, Treasury-bill rates or the Mumbai interbank offer rate, known as MIBOR, plus an agreed spread where applicable. Non-convertible-debenture pricing is linked to upfront and monthly coupons, so the disclosed arrangements do not have one group-wide interest-rate mechanism.
The maturity profile ranges from on demand and 90 days to seven years from sanction or drawdown for certain working-capital facilities, term loans, factoring finance, credit facilities and invoice discounting. Certain credit facilities have tenors of up to 15 months, while certain non-convertible debentures have tenors of two to three years. Continued use of undrawn facilities depends on renewals, compliance and lenders maintaining their commitments where applicable.
Zetwerk's financing documentation restricts specified corporate actions and can require lender consent or prior intimation. The disclosed restrictions include using funds for sanctioned purposes, taking additional loans from banks or financial institutions, changes in ownership, management or control, changes in shareholding, amendments to constitutional documents, and merger, demerger, amalgamation, reconstruction, winding up or liquidation steps. Zetwerk describes this as an indicative list, with additional requirements possible under individual facility documents.
When can lenders accelerate Zetwerk's debt?
Zetwerk said lenders may declare outstanding amounts immediately repayable after an event of default, irrespective of the original maturity date. Listed standard default events include failure to pay, misrepresentation, covenant breaches, non-compliance with financial covenants, breach of security arrangements, a material adverse change specified in lender documents, a change in ownership or control, and cessation or change of business.
A default may also allow lenders to cancel undrawn commitments, suspend facility withdrawals, enforce security or change sanction terms. Under relevant arrangements, lenders may disclose the borrower's identity and default details to the Reserve Bank of India, another statutory or regulatory authority, or a third party without prior or further notice. The Rs 5,208.065 crore outstanding balance is therefore subject to stated maturities as well as ongoing compliance with facility documentation.
Certain facilities prescribe penal interest for matters including delayed financial statements or periodic reports, deterioration in account conduct, delayed interest payment and unpaid invoices. Disclosed penal rates range from 2.00% to 8.00% per annum, and lenders may amend those rates at their discretion. Prepayment can be allowed subject to conditions including notice requirements and charges typically ranging from 2.00% to 4.00% of outstanding liability, although certain facilities have no prepayment penalty.
Zetwerk said it had obtained lender consents and made, or undertaken to make, necessary intimations for offer-related activities where required under financing documents. That disclosure concerns the offer process as of the red herring prospectus date and does not replace the operating, reporting and financial-covenant requirements under the facilities.
Conclusion
Zetwerk's Rs 5,208.065 crore consolidated debt position at August 31, 2026 was principally a facility-led funding structure: working-capital finance represented 68.6% of outstanding debt and identified secured non-convertible debentures added 26.2%. The disclosed facilities fund procurement, vendor purchases and operating cash flows, while placing most outstanding debt within working-capital lines and secured debenture arrangements.
The next disclosed matters to watch are facility use and renewal across tenors ranging from on demand to seven years, and compliance with collateral, reporting and financial-covenant conditions. Zetwerk has stated that the sale of its discontinued Civil Infrastructure Works business is expected to be completed in Fiscal 2027, a later update relevant because borrowing documents address business changes, corporate actions and specified material adverse changes.
