Ask Iris
Vaibhav Vyapaar Limited appointed its three non-executive independent directors between 18 December 2025 and 11 June 2026. Vaibhav Vyapaar’s six-member board therefore had three independent directors as of the prospectus date, and its final appointee, Natarajan Gopal, brought more than 37 years of Reserve Bank of India experience.
When did Vaibhav Vyapaar appoint its independent directors?
Vaibhav Vyapaar appointed Pankaj Kumar Sharma and Swati Grover on 18 December 2025, then appointed Natarajan Gopal on 11 June 2026. The three appointments were completed within 175 days, according to the original appointment dates disclosed in the prospectus.
Sharma and Grover each have five-year terms effective from 18 December 2025, while Gopal has a five-year term effective from 11 June 2026. Sharma is a practising Company Secretary with more than eight years of experience in corporate-law compliance, secretarial audits, due diligence and regulatory advisory. Grover is a qualified Company Secretary with more than five years of experience in corporate law, governance and compliance.
The appointments were part of a series of board changes disclosed over the preceding three years. Satyanarayana Reddy Veera Venkat Mallidi became an additional executive director on 10 December 2025, while Itha Venkata Raghava Gowrinath and Ganeshprasad R Pavaskar were redesignated chairman and managing director and whole-time director, respectively, on 18 December 2025.
What does Vaibhav Vyapaar’s board composition show?
Vaibhav Vyapaar had six directors, comprising three non-executive independent directors and three executive directors, as of the prospectus date. The independent directors held 3 of 6 seats, while Gowrinath, Pavaskar and Mallidi held the chairman and managing director, whole-time director and additional executive director positions.
Vaibhav Vyapaar’s Articles of Association require at least three directors and permit a board of more than 15 directors only with members’ approval through a special resolution. The prospectus states that Vaibhav Vyapaar complies with applicable board-composition and committee-constitution requirements under the Companies Act, 2013 and Securities and Exchange Board of India, or SEBI, Listing Regulations.
None of the three independent directors held Vaibhav Vyapaar equity shares as of the prospectus date. The three executive directors together held 3,998 equity shares, or 0.02% of pre-issue equity capital after rounding, which distinguishes their disclosed equity interest from that of the independent cohort.
The board structure exists alongside concentrated ownership. Capfront Technologies Private Limited, Vaibhav Vyapaar’s holding company and corporate promoter, held 2,03,82,415 equity shares, representing 99.98% of total equity share capital as of the prospectus date. Committee composition is therefore the disclosed mechanism through which independent directors participate in oversight despite promoter concentration.
How was committee oversight arranged after the appointments?
Vaibhav Vyapaar reconstituted its Audit Committee on 12 June 2026, one day after Gopal’s appointment. The committee comprises Gopal as chairperson, Grover and Gowrinath, so its two independent directors form a majority of its three members as required under Section 177 of the Companies Act, 2013.
The Audit Committee’s stated remit includes reviewing financial reporting, annual and quarterly financial statements, related-party transactions, internal financial controls, risk-management systems and auditor performance. Under the disclosed Regulation 18 framework, it must meet at least four times yearly, with no more than 120 days between two meetings, and its quorum requires at least two independent directors.
Vaibhav Vyapaar’s Nomination and Remuneration Committee comprises only independent directors: Grover as chairperson, Sharma as member and Gopal as member. Its Section 178 remit includes setting criteria for director qualifications and independence, evaluating the balance of board skills and experience, recommending appointments and formulating remuneration policy.
The Stakeholders’ Relationship Committee was constituted on 12 June 2026 with Grover as chairperson, Gowrinath and Pavaskar as members. Its stated functions include resolving security-holder grievances involving share transfers, transmission, dividend payments and statutory notices, and the disclosed Regulation 20 framework requires at least one meeting in each financial year.
What experience does Natarajan Gopal add to Vaibhav Vyapaar?
Natarajan Gopal has more than 37 years of experience at the Reserve Bank of India, or RBI, covering banking and non-banking supervision, regulatory compliance, risk management and information technology. His disclosed expertise includes credit, liquidity and operational risks, cyber security, fraud management, financial inclusion and corporate governance.
Gopal holds a Bachelor of Commerce degree and credentials including Certified Information Systems Auditor, Certified Associate of the Indian Institute of Bankers and ICMA (Inter). The prospectus also records his experience as a nominee director and independent director on boards of banks and financial-technology companies, while assigning him the Audit Committee chairmanship on 12 June 2026.
Sharma and Grover provide the other disclosed independent-director skill sets. Sharma is an associate member of the Institute of Company Secretaries of India and holds a certificate of practice, while Grover is an associate member who has advised on the Companies Act, 2013, the Foreign Exchange Management Act, the Foreign Contribution Regulation Act, corporate restructuring and due diligence.
Vaibhav Vyapaar states that none of its directors is related to another director under the Companies Act, 2013, or to a key managerial person. It also states that no director was appointed under an arrangement with major shareholders, customers, suppliers or other entities.
Which governance provisions will apply after Vaibhav Vyapaar lists?
Vaibhav Vyapaar says the Companies Act, 2013 and Regulation 23 of the SEBI Listing Obligations and Disclosure Requirements Regulations, or LODR Regulations, will apply immediately upon listing of its equity shares on the SME Platform of the National Stock Exchange. Regulation 23 governs related-party transactions.
The prospectus says several LODR corporate-governance provisions do not apply to an SME-listed company under Regulation 15(2)(b). It adds that Regulation 23 applies to an SME-listed entity with paid-up equity share capital above Rs 10 crore or net worth above Rs 25 crore on the last day of the preceding financial year.
Vaibhav Vyapaar has constituted four board committees: Audit, Stakeholders’ Relationship, Nomination and Remuneration, and Corporate Social Responsibility, or CSR. The CSR Committee comprises Gowrinath as chairperson and Gopal and Grover as members, while the prospectus says the committee will formulate CSR policy, recommend CSR expenditure and monitor activities under Section 135 of the Companies Act, 2013.
Independent directors are entitled to sitting fees for attending board or committee meetings under Section 197(5) of the Companies Act, 2013 and applicable rules. Vaibhav Vyapaar states that no director is entitled to a bonus or profit-sharing plan and that no director had loans from the company outstanding as of the prospectus date.
Conclusion
Vaibhav Vyapaar assembled its three-member independent-director cohort between 18 December 2025 and 11 June 2026, creating equal independent and executive representation on its six-member board. The appointments paired Sharma’s and Grover’s corporate-law and compliance backgrounds with Gopal’s disclosed 37-year RBI career, while placing independents in the Audit Committee majority and in every Nomination and Remuneration Committee seat.
The next disclosed governance milestones are committee operations after listing. Vaibhav Vyapaar’s Audit Committee is required to meet at least four times annually with gaps of no more than 120 days, while the Nomination and Remuneration Committee and Stakeholders’ Relationship Committee each have a disclosed minimum of one meeting in a financial year.
