Which Ircon joint ventures are being liquidated or transferred?
Ircon disclosed four separate actions in its portfolio: voluntary liquidation of Indian Railway Stations Development Corporation Limited, handover of Ircon-Soma Tollway Private Limited highway assets, proposed closure of Bastar Railways Private Limited, and transfer of Mahanadi Coal Railway Limited project phases. The disclosures formed part of unaudited standalone and consolidated results for the six months ended September 30, 2026, approved by Ircon’s board on November 4, 2026.
Indian Railway Stations Development Corporation Limited, known as IRSDC, is in voluntary liquidation after the Ministry of Railways decided in principle on October 18, 2021 to close it. Ircon said the required board and shareholder approvals had been obtained, IRSDC’s financial statements were prepared on a liquidation basis, and its assets and liabilities remained under realisation and settlement by the liquidator at September 30, 2026.
Bastar Railways Private Limited received in-principle Ministry of Railways approval for closure and transfer of its assets and liabilities to the ministry. Ircon said legal formalities, pricing and related modalities were still in process on September 30, 2026. The filing did not state a transaction date, consideration, investment carrying value or final allocation of assets and liabilities for Bastar Railways.
Why does Ircon expect no impairment on these investments?
Ircon said management did not perceive impairment in IRSDC and Ircon-Soma Tollway Private Limited, and did not foresee impairment in Mahanadi Coal Railway Limited at this stage. This is management’s assessment stated in the September 30, 2026 results, not confirmation that the liquidation, closure or transfer processes have been completed.
For IRSDC, Ircon reported that its 2% share of the joint venture’s net worth was Rs 5.42 crore as at September 30, 2026. Although IRSDC’s accounts were prepared on a liquidation basis, Ircon said management did not perceive impairment in the value of its investment. The outcome remains linked to the liquidator’s continuing process of realising IRSDC assets and settling its liabilities.
For Ircon-Soma Tollway Private Limited, known as ISTPL, Ircon holds 50% and reported an investment of Rs 3.87 crore. ISTPL’s net worth was stated at Rs 211.20 crore at September 30, 2026, of which Ircon’s 50% share was Rs 105.60 crore. Management said it consequently did not perceive impairment in the ISTPL investment value.
The consolidated auditor drew attention to both accounting treatments in its November 4, 2026 limited-review report: IRSDC prepared financial statements on a liquidation basis, while ISTPL prepared them on a basis other than going concern. The auditor said its conclusion was not modified in respect of these matters, which means the review report did not change its conclusion because of those disclosures.

What happened to ISTPL’s toll-road concession?
ISTPL’s toll-collection rights ceased on May 14, 2026 after the extended concession period expired under a concession agreement dated September 28, 2005. The highway assets were then in the process of being handed over to the National Highways Authority of India, or NHAI, in accordance with the concession agreement.
Ircon said ISTPL intended to cease operations after completion of the concession period. It therefore prepared ISTPL’s financial statements on a basis other than going concern, distinguishing this event from IRSDC’s voluntary liquidation. The road company’s changed accounting basis reflects the cessation of its operating concession rather than an assertion that the asset handover to NHAI had finished by September 30, 2026.
The disclosure came in a half year when Ircon’s consolidated revenue from operations rose to Rs 4,227.49 crore from Rs 3,763.03 crore in the corresponding six months of 2025. Consolidated net profit after tax fell to Rs 192.37 crore from Rs 300.61 crore over the same comparison. The filing does not attribute either movement to the ISTPL concession expiry.
What will happen to the Mahanadi Coal Railway project?
Ircon said Phase I and Phase II of the Mahanadi Coal Railway Limited project would be handed over to the Ministry of Railways. Phase I is the already operational 14-kilometre Angul-Balram section, while Phase II is the Balram-Putudiah-Tentuloi section under construction when the September 30, 2026 results were issued.
Legal formalities, pricing and related modalities for the Mahanadi Coal Railway handover remained in process as at September 30, 2026. Ircon did not disclose a transfer price, targeted completion date, its ownership stake, or the carrying value of its investment. It said only that it did not foresee impairment at that stage, leaving final terms relevant to the eventual accounting treatment.
The portfolio note also separates Mahanadi Coal Railway from Bastar Railways. The Mahanadi action involves handover of a 14-kilometre operational phase and a second phase under construction, whereas Bastar Railways has in-principle approval for closure and a transfer of assets and liabilities. Both matters still required pricing and legal work at the reporting date.
How did joint ventures affect Ircon’s half-year results?
Ircon recorded a Rs 24.16 crore share of loss from joint ventures in the six months ended September 30, 2026, compared with a Rs 38.29 crore share of profit in the corresponding six months of 2025. The change was therefore a Rs 62.45 crore movement from a profit contribution to a loss contribution, although the filing does not assign the movement to individual ventures.
The consolidated auditor reported that five joint ventures accounted for a Rs 19.47 crore share of net loss after tax for the six months ended September 30, 2026. Two further joint ventures, whose interim figures were certified by their managements, accounted for a Rs 5.09 crore share of loss. Together, those figures provide context for the Rs 24.16 crore joint-venture loss in Ircon’s consolidated results.
Ircon’s domestic consolidated customer revenue was Rs 4,129.38 crore in the six months ended September 30, 2026, compared with Rs 3,696.95 crore a year earlier. International customer revenue rose to Rs 98.11 crore from Rs 66.08 crore. Domestic business therefore remained the much larger reported geographic segment, while the filing treated the group’s operations as one reportable segment under Indian Accounting Standard 108.
Conclusion
Ircon’s September 2026 filing shows a portfolio undergoing several different forms of exit or transfer: IRSDC is in liquidation, ISTPL has lost its toll-collection rights, Bastar Railways is proposed for closure, and Mahanadi Coal Railway phases are set for handover. Management’s stated position is that these events had not resulted in impairment of the relevant investments at the reporting date.
The next developments to watch are completion of IRSDC asset realisation and liability settlement, the NHAI handover of ISTPL highway assets, and the legal, pricing and related modalities for Bastar Railways and Mahanadi Coal Railway. Ircon did not disclose final dates or consideration for the rail transactions as of September 30, 2026.
