What does the Natura Hue-Chem open offer cover?
Natura Hue-Chem is the target of an open offer for up to 10,77,778 fully paid equity shares, equal to 26% of voting share capital, at Rs 42 per share in cash. The Detailed Public Statement dated November 3, 2026 says the offer was triggered under Regulation 4 of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.
The offer is open to eligible public shareholders and has no minimum acceptance condition. If valid tenders exceed 10,77,778 shares, Natura Hue-Chem will accept them on a proportionate basis; tendered shares must be free of liens, charges and encumbrances.
Natura Hue-Chem has 41,45,300 listed equity shares on BSE Limited under scrip code 531834. Its turnover was 21,43,174 shares, or 51.70% of listed shares, in the 12 months from October 1, 2025 to September 30, 2026, leading the statement to classify the shares as frequently traded.
How will the acquirers obtain Natura Hue-Chem control?
The acquirers agreed to buy 6,43,600 Natura Hue-Chem shares, or 15.53% of voting capital, from promoter sellers at Rs 24 per share under the October 28, 2026 share purchase agreement. The negotiated promoter-share purchase is valued at Rs 1.54464 crore.
Before the public announcement, Anuj Chahal held 1,25,300 shares, or 3.02%, while Kanika Chahal held no shares. Under the agreement, Kanika Chahal is to acquire 5,63,600 shares, or 13.60%, and Anuj Chahal is to acquire 80,000 shares, or 1.93%.
The acquirers state that their purpose is to obtain complete management control of Natura Hue-Chem. They intend to change the board after the offer closes and, subject to applicable requirements, replace the existing promoters; they also propose to continue the existing consultancy and management business and may diversify later with shareholder approval.
How does the Rs 42 offer price compare?
Natura Hue-Chem’s Rs 42 offer price is Rs 18 above the Rs 24 negotiated price for the 15.53% promoter stake. The statement says Rs 42 is the highest applicable price under the takeover rules, exceeding both the Rs 40.23 volume-weighted average market price for 60 trading days and the Rs 36.71 highest price paid or payable in the prior 26 weeks.
The maximum consideration for the 26% open offer is Rs 4.5266676 crore, assuming full acceptance. The acquirers deposited Rs 1.14 crore in a Yes Bank escrow account, which the statement describes as more than 25% of the maximum consideration, and say the offer will be funded from their own sources or net worth rather than bank or financial-institution borrowings.
The offer price or offer size may be revised until one working day before the tendering period begins, subject to the takeover regulations. If the acquirers buy shares during the offer period at more than Rs 42 per share, the offer price must be increased to at least that higher price.
