Why did Premier Energies create a new T&D segment?
Premier Energies created the Power Transmission & Distribution Equipment segment after obtaining control of Transcon from April 3, 2026. Transcon manufactures and sells transformers, while Premier Energies’ previously reported business activity was solar products and related project activities.
The Chief Operating Decision Maker, or CODM, reviewed how the business was monitored and how resources were allocated following the acquisition. That review led Premier Energies to identify Power Transmission & Distribution Equipment as a separate reportable segment under Indian Accounting Standard 108, or Ind AS 108, from the acquisition date.
Before the acquisition, Premier Energies operated as a single operating segment, so separate historical T&D disclosures were not applicable. The filing says comparative segment information for prior periods is not comparable with the current presentation, which means no standalone T&D comparison is available for the quarter or six months ended September 30, 2025.
The transaction was completed in two stages under a Securities Subscription and Shareholders’ Agreement dated October 23, 2025. Premier Energies acquired 34.21% of Transcon’s equity on December 26, 2025 for Rs 250.002 crore, and Transcon was then accounted for as an associate for the year ended March 31, 2026.
How much revenue and profit did Premier Energies’ T&D segment report?
Premier Energies’ T&D segment reported Rs 230.873 crore of revenue and Rs 38.771 crore of segment profit for the six months ended September 30, 2026. The filing defines segment profit as profit before interest and tax for each segment, without allocation of central administrative costs and other income.
T&D revenue increased by Rs 17.937 crore in the quarter ended September 30, 2026 from the June 2026 quarter. T&D segment profit, however, declined by Rs 9.387 crore over the same period, while solar segment profit increased by Rs 13.613 crore to Rs 622.708 crore.
The T&D business generated Rs 124.405 crore of segment revenue in the September quarter, compared with Rs 2,509.697 crore from solar products and related project activities. Consolidated revenue from operations was Rs 2,631.852 crore after a Rs 2.250 crore inter-segment revenue elimination.
For the six-month period, Premier Energies recorded Rs 32.710 crore of unallocable corporate expenditure and Rs 86.134 crore of finance costs. Other income was Rs 69.235 crore and the share of profit from associates was Rs 0.687 crore, resulting in consolidated profit before tax of Rs 1,221.652 crore.
What assets and liabilities did Premier Energies report for T&D?
Premier Energies reported T&D segment assets of Rs 892.199 crore and segment liabilities of Rs 128.681 crore at September 30, 2026. These were separate disclosures following Transcon’s consolidation and excluded unallocated assets and liabilities reported at the group level.
T&D segment assets increased from Rs 778.807 crore at June 30, 2026, while T&D liabilities increased from Rs 79.351 crore. Over the same three months, solar segment assets increased from Rs 9,216.385 crore to Rs 9,908.172 crore, and solar segment liabilities rose from Rs 3,294.489 crore to Rs 3,378.606 crore.
Total consolidated assets increased by Rs 1,888.302 crore between March 31, 2026 and September 30, 2026. Goodwill on the consolidated balance sheet was Rs 242.220 crore at September 30, compared with Rs 0.06 lakh at March 31, consistent with the acquisition-related goodwill recognised in the half year.
Total equity increased to Rs 5,445.857 crore at September 30 from Rs 4,310.362 crore at March 31. Non-controlling interest increased to Rs 276.469 crore from Rs 2.646 crore, while consolidated liabilities stood at Rs 7,287.308 crore at September 30.

How did Premier Energies account for the Transcon acquisition?
Premier Energies accounted for Transcon as a subsidiary from April 3, 2026 after obtaining 51% shareholding. During the six months ended September 30, 2026, it acquired further Transcon shares for the remaining Rs 250.310 crore consideration after its earlier Rs 250.002 crore payment for the 34.21% stake.
The agreement provided for purchase consideration of up to Rs 500.312 crore for the 51% holding. The acquisition shifted Transcon from associate accounting in the year ended March 31, 2026 to consolidation as a subsidiary from the effective acquisition date.
Premier Energies allocated the purchase consideration provisionally under Ind AS 103, the accounting standard for business combinations. The filing states that the final fair values of acquired assets and liabilities were still being determined, and Premier Energies recognised Rs 242.214 crore of goodwill on that provisional basis.
The acquisition note records Rs 242.214 crore of provisional goodwill, while the September 30 balance sheet records Rs 242.220 crore of goodwill. The filing does not separately explain the Rs 0.006 crore difference between those two reported amounts.
What else changed in Premier Energies’ group structure?
Premier Energies completed the winding-up of IBD Solar Powertech (Pvt.) Ltd., a step-down wholly owned Bangladesh subsidiary, on September 13, 2026. The filing says this subsidiary was not material to the group.
Premier Energies also incorporated Premier Battery Technologies Private Limited on July 15, 2026 and transferred its entire holding in Premier Energies Storage Solutions Private Limited to that subsidiary on September 21, 2026. The reorganisation did not change the ultimate beneficial ownership or control of Premier Energies and had no financial implications for the group, according to the filing.
On September 23, 2026, Premier Energies incorporated PE Horizon Pte. Ltd. in Singapore for trading, management consulting and ancillary clean-energy activities, including capital-goods trading. The Singapore subsidiary had not commenced operations when the results were issued on November 4, 2026.
Premier Energies’ board also approved an interim dividend of Rs 0.50 per equity share of face value Rs 1 on November 4, 2026. During the six months ended September 30, 2026, Premier Energies allotted 9.57142 lakh equity shares to the PEL ESOP Trust at a premium of Rs 699 per share.
Conclusion
Premier Energies’ move from a 34.21% holding in an associate to 51% control of Transcon broadened its disclosed operating structure from solar alone to solar and T&D equipment. The newly reported T&D segment contributed Rs 230.873 crore of revenue and Rs 38.771 crore of segment profit in the six months ended September 30, while the acquisition added Rs 242.214 crore of provisional goodwill.
The next issue to watch is completion of the purchase-price allocation, because Premier Energies says the final fair values of Transcon’s acquired assets and liabilities remain unresolved. The next segment disclosures can also show whether T&D revenue growth from Rs 106.468 crore in the June quarter to Rs 124.405 crore in the September quarter is accompanied by a change in segment profit, which fell from Rs 24.079 crore to Rs 14.692 crore.
