Privi Merger Process Targets Q3 FY27 Completion
Privi Speciality Chemicals has advanced its plan to merge Privi Fine Sciences Private Limited and Privi Biotechnologies Private Limited into the listed parent. The company expects the amalgamation to be completed by the third quarter of FY27, subject to shareholder approval and remaining statutory processes. The National Company Law Tribunal, Mumbai Bench, has directed the company to convene an equity shareholders' meeting on October 27, 2026. The proposed restructuring is intended to bring the two subsidiaries under a single listed entity.
Shareholder Meeting Takes Centre Stage
The equity shareholders' meeting is scheduled for 12:30 p.m. on October 27, 2026. It is being conducted through online audio visual mode, or OAVM, under the NCLT's directions. Shareholders are being asked to consider and approve the Scheme of Amalgamation. Remote e-voting was scheduled from October 22 through October 26, with October 20 set as the eligibility cut-off date. The shareholder vote is a key stage in the process, but the tribunal notice itself does not amount to final approval of the merger.
Companies Covered by the Scheme
The scheme proposes the amalgamation of Privi Fine Sciences and Privi Biotechnologies with Privi Speciality Chemicals. Privi Fine Sciences and Privi Biotechnologies are the transferor companies, while Privi Speciality Chemicals is the transferee company. The appointed date for the merger is October 1, 2025. The board had approved the scheme on December 19, 2025, following the withdrawal of an earlier scheme. The transaction is therefore being pursued through a fresh, board-approved restructuring plan.
NCLT Order Streamlines the Process
The NCLT Mumbai Bench issued its order on September 7, 2026. Under that order, meetings of creditors of the transferor companies and the transferee company were dispensed with. Meetings of members of the transferor companies were also waived. The tribunal instead directed Privi Speciality Chemicals to hold an equity shareholders' meeting. This narrows the immediate approval focus to the listed company's equity holders while preserving the applicable statutory process.
Representations Can Still Be Filed
Stakeholders have been given a 30-day period from receipt of the notice to file representations on the scheme. Any representation must also be sent to the registered office of the relevant company. This process gives affected parties an opportunity to raise objections or provide comments before the scheme progresses through the remaining legal stages. The company has stated that the merger remains subject to necessary regulatory and statutory approvals.
Exchange Clearances Were Received Earlier
Privi Speciality Chemicals received observation letters carrying no objection from the two stock exchanges earlier in 2026. NSE issued its letter on May 5, 2026, while BSE issued its letter on May 6, 2026. These letters related to the proposed scheme involving Privi Fine Sciences and Privi Biotechnologies. Stock exchange observations are an important procedural step for a listed company, but they do not replace approval by shareholders, the NCLT and other authorities where applicable.
Share Exchange Terms in the Proposal
The scheme specifies that shareholders of Privi Fine Sciences would receive one new share of Privi Speciality Chemicals for every 135 shares held. Shares of Privi Biotechnologies are proposed to be cancelled under the scheme. The restructuring documentation was supported by independent valuations and defined exchange terms, according to the company disclosures. These terms provide the framework for how the interests of the merging entities are to be dealt with if the scheme becomes effective.
Key Dates and Transaction Details
Why the Group Is Pursuing Amalgamation
Privi has cited operational synergies, cost reduction and stronger market competitiveness as reasons for the proposed consolidation. Combining the subsidiaries with the parent could simplify the group's structure and consolidate operations within the listed company. The company has also linked its longer-term growth plans to sustainable product innovation and export markets. These stated objectives form the strategic rationale for the scheme, although the merger's implementation remains conditional on the approval process.
Capacity Expansion Provides Operating Context
Alongside the merger process, Privi has confirmed Phase-1 capacity expansion to 54,000 MT by September 2026. The capacity update is separate from the legal approval process for the amalgamation, but it provides context for the company's broader operational plans. A consolidated corporate structure may be relevant as the group manages its production footprint and business activities. However, the available disclosures do not quantify the financial impact of the proposed amalgamation or provide a revenue forecast tied to the transaction.
Market and Investor Relevance
For investors, the immediate event is the shareholder decision on the scheme. The proposal does not become effective solely because the meeting has been convened or because exchange observation letters have been received. The company must complete the remaining statutory steps before the amalgamation can be implemented. The expected Q3 FY27 completion timeline should therefore be viewed alongside these pending approvals and procedural requirements.
What Happens Next
The October 27 shareholder meeting is the next scheduled milestone disclosed by Privi Speciality Chemicals. After the vote, the scheme will continue through the applicable NCLT and statutory process. Any stakeholder representations filed within the prescribed period will also form part of the process. Privi expects the amalgamation of Privi Fine Sciences and Privi Biotechnologies into the parent company to be completed by Q3 FY27, subject to these approvals.
