When did Prozone Realty complete the Inorbit mall sale?
Prozone Realty completed the sale of its entire holdings in three subsidiaries to Inorbit Malls (India) Private Limited on August 24, 2026. Its board approved the transaction on April 28, 2026, and shareholders approved it through a postal-ballot special resolution deemed passed on May 29, 2026.
The divested subsidiaries were Alliance Mall Developers Co. Private Limited, Empire Mall Private Limited and Kruti Realtors and Developers Private Limited. The share purchase agreement had base consideration of Rs 1,242.50 crore, of which Prozone Realty received Rs 669.9063 crore, net of agreement adjustments, on completion.
Prozone Realty also recognised Rs 28.15 crore as the fair value of further consideration receivable from Inorbit after completion of a planned hive-off. The group lost control of the mall operations on August 24, 2026, so it classified leasing as a discontinued operation under Indian Accounting Standard 105, or Ind AS 105.
Non-mall assets of the divested subsidiaries were excluded from the sale. Control of those assets passed on August 24, 2026 to wholly owned Prozone Horizons Private Limited and Hagwood Commercial Developers Private Limited under interim agreements, while execution and registration of conveyance and assignment deeds remained in progress.
How did the divestment change Prozone Realty's quarterly profit?
Prozone Realty's Rs 566.4392 crore consolidated net profit for the September 2026 quarter was largely produced by the Rs 615.1449 crore exceptional gain on derecognition of the divested mall operations. Discontinued operations reported Rs 3.1472 crore profit before tax before the gain and Rs 598.0753 crore net profit after Rs 20.2168 crore of tax.
The comparable September 2025 quarter had no divestment gain. Discontinued operations then generated Rs 13.1024 crore profit before tax and Rs 9.0621 crore net profit, while total consolidated net profit was Rs 3.4192 crore, compared with Rs 566.4392 crore in the latest quarter.
For the half year ended September 30, 2026, consolidated net profit was Rs 567.7440 crore, against Rs 7.2018 crore in the corresponding six months of 2025. The half-year result included the same Rs 615.1449 crore exceptional gain and Rs 606.2157 crore net profit from discontinued operations.
The disposal also changed the presentation of earlier periods. Prozone Realty re-presented previous figures because the mall operations were a separate major business line, while its continuing business is now represented by outright property sales.
Did Prozone Realty's continuing property operations make a profit?
Prozone Realty's continuing operations made a Rs 31.6361 crore net loss in the September 2026 quarter, compared with a Rs 5.6429 crore net loss in the September 2025 quarter. The latest-quarter loss followed a Rs 22.7265 crore loss before tax, including the exceptional item.
Before exceptional items, continuing operations recorded a Rs 4.9388 crore loss before tax and joint-venture results, narrower than the Rs 7.2142 crore loss reported a year earlier. Revenue from outright sales increased to Rs 16.6355 crore from Rs 15.5375 crore in September 2025 and Rs 15.2424 crore in the June 2026 quarter.
The September-quarter continuing-operations result included a Rs 17.7877 crore write-off of expenditure incurred for the proposed mall transaction. Management said this spending had previously been included in investment property under construction but was written off because no future economic benefits were expected to flow from it.
For the six months ended September 30, 2026, outright-sales revenue rose to Rs 31.8779 crore from Rs 22.9485 crore a year earlier. However, the continuing-operations net loss widened to Rs 38.4717 crore from Rs 10.0559 crore, including the Rs 17.7877 crore write-off and a Rs 8.4198 crore deferred-tax expense.

What unresolved Nagpur project matter remains for Prozone Realty?
Prozone Realty's subsidiary Hagwood Commercial Developers Private Limited remains involved in a dispute over the maximum permissible height of four of five residential towers in Nagpur. At September 30, 2026, inventory for floors 12 to 14 of the four towers was carried at Rs 68.1825 crore without an adjustment or provision for potential demolition, rehabilitation or customer-interest costs.
The Supreme Court issued notice on the Airport Authority of India's special leave petition on August 21, 2026 and stayed the July 8, 2025 High Court order. Hagwood filed its counter affidavit on September 22, 2026, the Airport Authority filed a rejoinder on October 8, 2026, and the matter was adjourned on October 15, 2026 to November 26, 2026.
Management said its assessment that the chance of revalidation of the original aviation no-objection certificate was high was based on technical reports, part occupancy certificates, legal opinion and the earlier High Court order. The filing also stated that occupancy certificates had been received for 242 of 264 flats up to the 11th floor, with possession handed over for 201 units as of September 30, 2026.
Conclusion
Prozone Realty's September-quarter profit was driven by the completed mall-business divestment rather than a turnaround in the continuing property business. The Rs 615.1449 crore disposal gain generated Rs 598.0753 crore of net profit from discontinued operations, while continuing operations recorded a Rs 31.6361 crore loss after the Rs 17.7877 crore transaction-cost write-off.
The next disclosed developments are the expected completion during the current financial year of the Singapore subsidiary's capital reduction and the November 26, 2026 Supreme Court hearing in the Nagpur aviation dispute. That dispute concerns inventory carried at Rs 68.1825 crore for the upper floors of four towers, for which management has made no provision.
