Why did SAB Events auditors flag going-concern uncertainty?
SAB Events’ auditors flagged going-concern uncertainty because current liabilities substantially exceeded current assets, the company recorded losses during the September 2026 quarter and six-month period, and total equity was negative at September 30, 2026. P. Parikh & Associates made the observation in its limited review report dated November 5, 2026, covering the unaudited standalone results.
The September 30 balance sheet shows Rs 60.91 lakh of current assets and Rs 3.30 crore of current liabilities, creating a Rs 2.69 crore shortfall. Current assets included Rs 25.21 lakh of trade receivables, Rs 13.15 lakh of cash and cash equivalents, Rs 18.71 lakh of other current assets and Rs 3.84 lakh of short-term loans and advances.
Total equity was negative Rs 2.68 crore at September 30, 2026, compared with negative Rs 2.41 crore at March 31, 2026. Equity share capital was unchanged at Rs 10.48 crore, while other equity was negative Rs 13.17 crore, compared with negative Rs 12.90 crore at the preceding financial year-end. SAB Events reported a Rs 27.15 lakh loss after tax for the six months ended September 30, 2026.
The review report did not conclude that the financial results contained a material misstatement. The auditor said its conclusion was not modified for the resolution-plan matter, while separately drawing attention to material uncertainty over SAB Events’ ability to continue as a going concern. The report states that a limited review provides moderate assurance and is not an audit opinion.
What did SAB Events report for September 2026?
SAB Events reported a Rs 8.30 lakh loss after tax for the quarter ended September 30, 2026, compared with a Rs 14.01 lakh loss in the corresponding quarter a year earlier. Revenue from operations was Rs 53.26 lakh, down from Rs 55.25 lakh in the September 2025 quarter but above Rs 45.37 lakh in the June 2026 quarter.
For the six months ended September 30, 2026, SAB Events recorded revenue from operations of Rs 98.62 lakh, compared with Rs 95.93 lakh in the corresponding 2025 period. Its half-year loss narrowed to Rs 27.15 lakh from Rs 38.31 lakh. Basic and diluted loss per share was Rs 0.26, against Rs 0.37 in the prior-year six-month period.
The September-quarter loss resulted from total expenditure of Rs 61.56 lakh against total income of Rs 53.26 lakh, with no tax expense recorded. Employee benefit expense was Rs 21.81 lakh, direct expenses were Rs 12.58 lakh and other expenses were Rs 27.02 lakh. During the six-month period, employee benefit expense rose to Rs 43.58 lakh from Rs 38.93 lakh, while other expenses increased to Rs 55.26 lakh from Rs 30.21 lakh.
The latest half-year result followed a Rs 42.07 lakh loss for the year ended March 31, 2026. SAB Events stated that it had gradually undertaken ground events, but the filing does not quantify the contribution of those events to its Rs 98.62 lakh of six-month revenue or to profitability.

What is the status of SAB Events’ resolution plan?
SAB Events’ pre-packaged insolvency resolution plan was approved by the National Company Law Tribunal, Mumbai Bench, on July 10, 2026, and implementation was still in progress when the auditor issued its November 5, 2026 report. The process was initiated under Section 54C of the Insolvency and Bankruptcy Code, 2016, and approval was under Section 54L read with Section 31.
The approved plan includes capital restructuring or reduction, according to the review report. SAB Events had recognised the financial impact of implementation only to the extent ascertainable at September 30, 2026. Any further impact is to be accounted for when ascertainable under applicable accounting standards and the approved plan.
Several current-liability categories changed between March 31 and September 30, although the filing does not allocate those changes between plan implementation and other causes.
Current borrowings fell to Rs 1 lakh from Rs 2.01 crore, and trade payables declined to Rs 2.68 lakh from Rs 39.49 lakh. However, other current liabilities increased to Rs 2.73 crore from Rs 34.39 lakh, while provisions were Rs 52.93 lakh, compared with Rs 54.14 lakh. Total current liabilities were Rs 3.30 crore at September 30, compared with Rs 3.29 crore at March 31.
How did SAB Events’ cash position change during the half year?
SAB Events’ cash and cash equivalents increased to Rs 13.15 lakh at September 30, 2026, from Rs 6.78 lakh at March 31, 2026. The cash-flow statement records a net increase of Rs 6.37 lakh during the six months, despite a Rs 27.15 lakh loss before tax.
Operating activities generated Rs 2.06 crore of net cash in the period, following Rs 2.02 crore of cash generated from operations and a Rs 3.91 lakh direct-tax refund. The stated working-capital movements included a Rs 28.99 lakh decrease in trade receivables and a Rs 2.01 crore increase in non-current and current liabilities and provisions.
Financing activities used Rs 2 crore, comprising a Rs 2 crore reduction in short-term borrowings and Rs 29,000 of finance cost paid. SAB Events reported no cash used in investing activities and no additions to fixed assets during the six months. Property, plant and equipment stood at Rs 28,000 at September 30, compared with Rs 31,000 at March 31, while investments remained Rs 1,000.
Conclusion
SAB Events’ September 2026 filing shows that its six-month loss narrowed to Rs 27.15 lakh from Rs 38.31 lakh and revenue rose to Rs 98.62 lakh from Rs 95.93 lakh. At the same time, negative equity of Rs 2.68 crore and the Rs 2.69 crore excess of current liabilities over current assets support the auditor’s material-uncertainty statement.
The next disclosed matter to watch is implementation of the National Company Law Tribunal-approved resolution plan, including capital restructuring or reduction. SAB Events said additional accounting effects will be recognised when ascertainable, meaning future financial statements may record further effects of the plan beyond the September 30, 2026 balances.
