What did Shakti Press approve in the preferential issue?
Shakti Press approved a preferential allotment of up to 71 lakh fully paid equity shares at Rs 13.79 per share, for an aggregate Rs 9.79 crore. Each share has a face value of Rs 10, while the stated issue price was determined under Regulation 164 of the Securities and Exchange Board of India Issue of Capital and Disclosure Requirements Regulations, 2018.
The proposal is not a completed allotment because it requires shareholder approval. Shakti Press has convened an extraordinary general meeting, or EGM, for December 5, 2026 through video conferencing or other audio-visual means. The board meeting that approved the matter started at 3.00 p.m. and concluded at 7.25 p.m. on November 5, 2026.
The filing permits the shares to be issued in one or more tranches, on terms set by the board within applicable regulations. Shakti Press did not disclose a planned use for the Rs 9.79 crore proceeds. It appointed MUFG Intime India Private Limited as remote e-voting agency and CS Sakshi Khandelwal, Practicing Company Secretary, as scrutinizer for the voting process.
Who are the proposed Shakti Press allottees?
Shakti Press named Raghav Sharma, Shailja Raghav Sharma, Shantanu Sharma and Shakti Offset Pvt Ltd as the four proposed investors. Shantanu Sharma is proposed to receive 50 lakh shares, representing 70.42% of the 71 lakh shares proposed under the issue.
Shailja Raghav Sharma and Shakti Offset Pvt Ltd are each proposed to receive 10 lakh shares, while Raghav Sharma is proposed to receive 1 lakh shares. Shantanu Sharma’s proposed allocation exceeds the combined 21 lakh shares earmarked for the other three allottees by 29 lakh shares.
The announcement identifies the recipients and the maximum securities proposed for each, but does not explain the basis for dividing the issue among them. It also does not state whether the issue will be completed in a single tranche or multiple tranches, beyond allowing the board to use either route.
How would the issue change Shakti Press ownership?
Shakti Press said the four allottees would collectively hold 78,97,956 shares, or 22.40%, after full allotment, compared with 7,97,956 shares before the proposed issue. This calculation assumes the entire 71 lakh shares are allotted, as specified in the disclosure.
The largest post-issue position would be Shantanu Sharma’s 50,00,745 shares, equal to 14.18% of the company after allotment. His pre-issue holding was 745 shares, meaning the 50 lakh proposed shares account for nearly all of the stated post-allotment position.
Shailja Raghav Sharma’s holding would rise from 15,700 shares to 10,15,700 shares, or 2.88% after allotment. Shakti Offset Pvt Ltd would move from 3,53,645 shares to 13,53,645 shares, representing 3.84%, while Raghav Sharma would move from 4,27,866 shares to 5,27,866 shares, or 1.50%.
The filing does not provide the allottees’ pre-issue ownership percentages or a complete pre- and post-issue shareholding pattern for other shareholders. It therefore discloses the four recipients’ projected combined 22.40% holding but does not quantify the ownership effect on every other shareholder category.
