What did TBO Tek pay for Classic Vacations?
TBO Tek paid Rs 982.425 crore to acquire a 100% stake in Classic Vacations on October 1, 2025. The filing describes Classic Vacations as a business-to-business-to-consumer luxury travel company with a network of high-value travel advisors in the United States. The transaction followed a share purchase agreement dated September 2, 2025.
The consideration comprised closing consideration and closing adjustments under the share purchase agreement. TBO LLC was the buyer, CV Acquisition 12220, LLC was the seller, Tek Travels FZCO was the buyer guarantor, and The Najafi Companies, LLC was the seller guarantor. TBO Tek says the transaction consideration was paid in US dollars and translated at the US dollar-to-rupee exchange rate on October 1, 2025.
The acquisition brought Classic Vacations into TBO Tek’s consolidated financial results from the October 2025 closing date. This timing matters for the quarter and six months ended September 30, 2026, because those periods include the acquired business while the corresponding periods ended September 30, 2025 did not.
How did TBO Tek allocate the Classic Vacations purchase price?
TBO Tek allocated the Rs 982.425 crore consideration between Rs 559.83 crore of fair value net assets acquired and Rs 422.595 crore of goodwill. The company disclosed that it had completed this allocation in the notes to its unaudited consolidated financial results for the quarter and six months ended September 30, 2026.
The allocation began with Rs 1,750.952 crore of acquired assets, including intangible assets, and deducted Rs 1,195.802 crore of assumed liabilities. TBO Tek then added Rs 4.68 crore of deferred-tax assets on the fair value of net assets. These components produced the reported Rs 559.83 crore fair value of net assets acquired.
The completed calculation means that net assets accounted for about Rs 559.83 crore of the price, with the remaining Rs 422.595 crore recognised as goodwill. The filing gives a combined value for acquired assets including intangible assets, rather than separate values for individual intangible-asset categories.
What does the Rs 422.595 crore goodwill represent?
The Rs 422.595 crore goodwill is the residual amount after TBO Tek compared the Rs 982.425 crore consideration with the Rs 559.83 crore fair value of net assets acquired. TBO Tek completed this accounting under Indian Accounting Standard 103, or Ind AS 103, which governs business combinations.
The filing does not assign separate values to brands, customer relationships, technology, trade names or other possible intangible-asset classes within the Rs 1,750.952 crore acquired-assets figure. It therefore does not specify which identifiable intangible assets contributed to the purchase-price allocation beyond confirming that intangible assets were included.
The gross assets figure cannot be compared directly with the consideration without the liabilities. The Rs 1,195.802 crore of assumed liabilities reduced the gross acquired asset value, while the Rs 4.68 crore deferred-tax asset increased the resulting net asset value to Rs 559.83 crore before goodwill was determined.

How was the Classic Vacations acquisition funded?
TBO Tek says it funded the October 1, 2025 acquisition through a mix of internal accruals, an inter-corporate loan and credit facilities. The holding company extended an inter-corporate loan of Rs 315.477 crore to its wholly owned subsidiary, Tek Travels FZCO, as part of the funding structure.
The credit facilities were backed by corporate guarantees from TBO Tek and Tek Travels FZCO. The filing does not split the Rs 982.425 crore acquisition consideration between internal accruals, the inter-corporate loan and credit facilities, so it does not quantify the final funding share from each source.
TBO LLC also incurred estimated legal, due-diligence and other acquisition-related costs of Rs 14.532 crore. TBO Tek identifies these as transaction-related costs, and they are not shown as a separate line within the Rs 982.425 crore purchase-price allocation table.
Why are TBO Tek’s current results not comparable with last year?
TBO Tek says its financial results for the quarter and six months ended September 30, 2026 are not comparable with the corresponding periods ended September 30, 2025 because they include Classic Vacations. The scope of the consolidated group changed after the acquisition closed on October 1, 2025.
The filing does not disclose Classic Vacations’ standalone revenue, profit, expenses or cash flow for either the September 2026 quarter or the six-month period. As a result, readers cannot use the purchase-price allocation to calculate the acquired business’s separate contribution to the consolidated results.
The company’s cash-flow statement shows net cash inflow from operating activities of Rs 562.495 crore for the six months ended September 30, 2026, compared with Rs 28.668 crore in the corresponding 2025 period. However, TBO Tek’s note expressly says the periods are not comparable because the 2026 results include Classic Vacations.
The purchase-price allocation was included in financial results approved by TBO Tek’s Audit Committee and Board of Directors on November 2, 2026. The statutory auditors issued an unmodified limited-review conclusion on those unaudited consolidated results, which cover the completed allocation and the September 2026 reporting periods.
Conclusion
TBO Tek’s completed allocation places Rs 559.83 crore of fair value on Classic Vacations’ net assets and recognises Rs 422.595 crore as goodwill from the Rs 982.425 crore acquisition consideration. The accounting also confirms that acquired assets, including intangible assets, were more than offset in part by Rs 1,195.802 crore of assumed liabilities.
TBO Tek did not disclose a further Classic Vacations-specific allocation target, timetable or unresolved purchase-price item after completing the allocation. The next results comparisons will require attention to the company’s stated non-comparability issue unless TBO Tek separately quantifies Classic Vacations’ operating contribution in a future filing.
