What is WFPML buying and what is the consideration?
WFPML is proposing to acquire up to 2,09,304 equity shares of Wealth First Advisors Private Limited, or WFAPL, representing up to 51.00% of its outstanding equity share capital, for up to Rs 52.10 crore. The 26 October 2026 agreement is between WFPML, WFAPL and WFAPL’s shareholders. Subject to statutory, regulatory and other approvals, WFAPL would become a WFPML subsidiary.
WFAPL is an unlisted company incorporated on 1 June 2001 and engaged in wealth management, mutual fund distribution and financial-product distribution. Its capital structure at the notice date comprised 4,10,400 equity shares: 3,99,694 shares, or 97.39%, were held by the promoter and promoter group, while non-promoters held 10,706 shares, or 2.61%. The proposed purchase would therefore give WFPML control while leaving 49.00% with continuing holders.
How will WFPML fund the acquisition?
WFPML will use cash for the larger 39.16% portion and issue shares for the remaining 11.84% portion. The cash consideration of up to Rs 40.00 crore applies to up to 1,60,701 WFAPL shares. The non-cash consideration of up to Rs 12.10 crore would be settled by issuing up to 1,36,575 WFPML equity shares to sellers of up to 48,603 WFAPL shares.
The proposed preferential issue is priced at Rs 885.89 per WFPML equity share, comprising Rs 10 face value and Rs 875.89 premium. Den Valuation (OPC) Private Limited, an independent registered valuer, valued WFPML shares at Rs 885.89 each and WFAPL shares at Rs 2,489.11 each in its 24 October 2026 report. The WFPML issue price also matched the cited 90-trading-day volume-weighted average price, compared with Rs 882.43 for the 10-trading-day average.
Who will receive WFPML shares in the swap?
Three WFAPL shareholders would receive up to 1,36,575 WFPML shares under the share swap. Ashish Navnitlal Shah would transfer up to 37,913 WFAPL shares, equal to 9.24% of WFAPL, for up to 1,06,536 WFPML shares. Nimesh Narendra Kenia would transfer up to 8,253 WFAPL shares, or 2.01%, for up to 23,191 WFPML shares, and Rakesh Pravinchandra Mehta would transfer up to 2,437 shares, or 0.59%, for up to 6,848 WFPML shares.
The issue would increase WFPML’s equity share count from 1,06,55,000 shares on 23 October 2026 to 1,07,91,575 shares. Promoter holdings would rise from 74.04% to 74.09%, as the promoter allottee would receive 1,06,536 shares. Non-promoter ownership would fall from 25.96% to 25.91% despite 30,039 shares being issued to two non-promoter allottees, because the overall share base would expand.
The filing says the preferential issue would not change WFPML’s management or control. Ashish Navnitlal Shah’s holding would rise from 34,26,416 shares, or 32.16%, to 35,32,952 shares, or 32.74%, after the allotment. The two other allottees would remain classified as non-promoters, while he would remain a promoter.

Why does WFPML want to acquire WFAPL?
WFPML says the acquisition supports its strategy to expand assets, distribution footprint, scale, operations and market position through inorganic growth. It identifies WFAPL as operating in Mumbai, which the notice describes as India’s largest wealth-management market. The stated rationale is acquiring control of a company undertaking similar wealth-management and distribution activities.
WFPML’s disclosed service range includes investment strategising, asset research, asset allocation, tax planning, broking, treasury management, risk management and retirement planning. Its product range includes direct bonds, government securities, mutual funds, fixed deposits, portfolio management services, direct equity and pension products. WFAPL’s focus on wealth management and mutual fund and financial-product distribution places the proposed subsidiary within those disclosed financial-services activities.
The board said the acquisition and preferential issue are in WFPML’s and its shareholders’ interests and are expected to be value-accretive at the consolidated level over the medium term. That is the board’s expectation rather than a reported outcome. The notice does not disclose WFAPL revenue, profit, assets under management, integration costs or post-acquisition financial targets.
What approvals and deadlines apply to the deal?
WFPML needs shareholder approval through a special resolution for the preferential allotment under Sections 42 and 62 of the Companies Act, 2013 and Chapter V of the Securities and Exchange Board of India’s Issue of Capital and Disclosure Requirements Regulations, 2018. The WFPML board approved the proposed issue on 26 October 2026. The subsidiary outcome also remains subject to necessary statutory, regulatory and other approvals.
WFPML must complete the preferential allotment within 15 days after shareholders pass the special resolution, under the disclosed timetable. If permission from a regulator, the Central Government or a stock exchange is pending, the 15-day period begins when that approval or permission is received. The issued shares would be subject to applicable lock-in requirements, and WFPML plans to seek their listing on the exchanges where its existing shares trade.
The new WFPML equity shares would rank pari passu, meaning equally, with existing shares. The notice states that WFPML made no preferential issue of equity shares or convertible warrants during financial year 2025-26 or from 1 April 2026 to the notice date. It also states that the company had no outstanding dues to the Securities and Exchange Board of India, BSE Limited, National Stock Exchange of India Limited or depositories as of the notice date.
Conclusion
The proposed transaction would give WFPML a 51.00% interest in WFAPL for up to Rs 52.10 crore, with up to Rs 40.00 crore paying for 39.16% in cash and Rs 12.10 crore in shares securing a further 11.84%. The structure would make WFAPL a subsidiary if approvals are obtained, while WFPML’s promoter holding would move only 0.05 percentage points, from 74.04% to 74.09%.
The next event to watch is shareholder voting on the special resolution to issue up to 1,36,575 WFPML shares at Rs 885.89 each. WFPML has set a 15-day allotment deadline after shareholder approval, or after any outstanding approval is received. The notice leaves WFAPL’s operating financial performance and any integration targets undisclosed.
