How much of the QIP had Adani Energy Solutions used by September 2026?
Adani Energy Solutions had deployed Rs 2,657.59 crore, or 75.93% of its Rs 3,499.99 crore QIP proceeds, by September 30, 2026, leaving Rs 842.40 crore unutilised. The equity issue ran from July 27, 2026 to July 30, 2026, and CARE Ratings issued the monitoring report on November 5, 2026.
The Rs 2,657.59 crore was the first reported utilisation from the issue because the opening balance used against all five objects was nil at the start of Q2FY27. CARE Ratings said the deployment complied with the offer document, while the means of finance for the stated objects had not changed and no event affecting their viability was reported.
Borrowing repayment or prepayment was the largest use at Rs 1,272.07 crore, followed by Rs 897.79 crore for transmission-system capital expenditure at subsidiaries. General corporate purposes used Rs 484.25 crore, issue expenses used Rs 3.48 crore, and no funds were deployed for the proposed acquisition of Intellismart Infrastructure Private Limited.
How were Adani Energy Solutions’ QIP proceeds allocated and used?
Adani Energy Solutions allocated Rs 1,300.00 crore to debt repayment or prepayment and had used Rs 1,272.07 crore of that amount by September 30, 2026. This left Rs 27.93 crore available under the dedicated repayment object, compared with Rs 377.21 crore remaining from the Rs 1,275.00 crore capital-expenditure allocation.
The pace of deployment differed across the QIP objects. Adani Energy Solutions had deployed 97.85% of the borrowing-repayment allocation by the quarter-end, against 70.42% of capital expenditure and 57.65% of general corporate purposes. The Rs 50.00 crore reserved for acquiring 100% of Intellismart remained wholly unutilised.
What did Adani Energy Solutions use for debt and general corporate purposes?
Adani Energy Solutions used Rs 1,272.07 crore under the dedicated borrowing object for certain outstanding company and subsidiary borrowings, including accrued interest. The QIP document provided Rs 1,300.00 crore for repayment or prepayment, in full or in part, and CARE Ratings found no deviation in the Rs 1,272.07 crore utilisation.
General corporate purposes, or GCP, accounted for another Rs 484.25 crore during Q2FY27. The main utilisation schedule classified this amount as Rs 216.64 crore of vendor payments, Rs 247.61 crore of letters of credit and overdraft-facility repayments, and Rs 20.00 crore of loans and advances to subsidiaries.
A detailed GCP schedule classified the same Rs 484.25 crore differently: Rs 91.00 crore for fixed-deposit or overdraft payments, Rs 65.00 crore for vendor payments, Rs 138.26 crore of loans and advances to subsidiaries, and Rs 189.99 crore for letter-of-credit payments. CARE Ratings said Rs 104.86 crore of the Rs 138.26 crore subsidiary loans and advances had been used for vendor payments.
The offer document’s GCP scope included working-capital requirements, repayment or prepayment of borrowings, business development, growth opportunities, investments or loans to subsidiaries, and company expenses. That scope explains why GCP spending included Rs 189.99 crore for letter-of-credit payments and Rs 138.26 crore of funding extended to subsidiaries, alongside the separate Rs 1,272.07 crore debt-repayment object.

What QIP proceeds remained and what did CARE Ratings flag?
Adani Energy Solutions reported Rs 842.40 crore of unutilised QIP proceeds at September 30, 2026, after accounting for Rs 28.02 crore of interest earned on QIP investments. The balance included Rs 247.00 crore invested in an Aditya Birla Sun Life Ultra Short Term Fund, Rs 150.00 crore each in three other mutual funds, and Rs 97.83 crore in certificates of deposit.
The report also listed Rs 18.65 crore held by AESL Projects Ltd, Rs 7.33 crore in an AESL-ICICI Bank account, Rs 3.57 crore in an AESL fixed-deposit or overdraft account, Rs 1.54 crore at KPS III HVDC Transmission Ltd, and Rs 0.50 crore at Mahan Transmission Ltd. A Rs 44.00 crore Kotak Liquid Funds redemption request made on September 30, 2026 was credited to the monitoring-agency account on October 1, 2026.
CARE Ratings observed that a few Q2FY27 payments were not routed directly through the monitoring-agency account and instead passed through a current account, resulting in commingling of funds. The agency said it relied on management and chartered-accountant certificates to verify end use, while concluding that the Rs 2,657.59 crore utilisation was in line with the offer document.
CARE Ratings also stated that it does not conduct an audit or independently verify information, certifications or statements received for the report. The monitoring agency relied on a chartered-accountant certificate dated October 31, 2026, bank statements, management disclosures and sample invoices for relevant parts of the Rs 3,499.99 crore QIP review.
