Why did Centum Electronics stop consolidating its French operations?
Centum Electronics stopped consolidating Centum T&S Group Société Anonyme (S.A.) and its underlying overseas subsidiaries because the June 4, 2026 court-approved transfer meant it no longer controlled their operations. Management reassessed control under Indian Accounting Standard (Ind AS) 110 after the Court of Lyon approved the transfer of substantially all operating business and employees to successful bidders.
The group had filed for Redressement Judiciaire proceedings under applicable local laws during the quarter ended March 31, 2026. At March 31, Centum Electronics continued consolidation because it considered control to remain, but classified the operations as discontinued and restated prior-period numbers, including the reclassification of exceptional items.
Centum T&S Group Société Anonyme (S.A.) and its underlying overseas subsidiaries had incurred losses that eroded their net worth, according to Centum Electronics. The structure was held through Centum Electronics UK Limited and included French, Canadian and Belgian underlying entities until the June 4, 2026 loss of control.
How much did Centum Electronics gain from deconsolidation?
Centum Electronics recorded a Rs 91.833 crore gain on deconsolidation of a subsidiary in its cash-flow statement for the six months ended September 30, 2026. The amount was deducted in the reconciliation from profit before tax to operating cash flow, identifying it as a non-cash adjustment rather than operating cash generated during the period.
The discontinued-operations note separately reports Rs 81.233 crore of profit on deconsolidation in the quarter ended June 30, 2026. The filing does not explain the Rs 10.60 crore difference between that note and the Rs 91.833 crore cash-flow adjustment, so the two disclosures cannot be reconciled further from the announced results.
Before the transfer, Centum Electronics had provided for Rs 37.623 crore of consolidation goodwill, Rs 17.833 crore of intangible assets including assets under development, and Rs 10.078 crore of inventory for the overseas group in the year ended March 31, 2026. It had also provided Rs 28.938 crore for Canadian operations’ asset carrying values and written back Rs 4.534 crore of liabilities.

How did the exit change Centum Electronics’ reported earnings?

By comparison, the June 2026 quarter included Rs 72.736 crore of discontinued-operation revenue and Rs 94.269 crore of profit, against a Rs 10.958 crore loss in the September 2025 quarter.
For the six months ended September 30, 2026, discontinued operations produced Rs 94.269 crore of profit, compared with a Rs 24.233 crore loss a year earlier. Total income was Rs 156.749 crore while operating revenue was Rs 72.736 crore, reflecting the disclosed deconsolidation profit within the June-quarter result.
Centum Electronics identified Electronics System Design and Manufacturing, or ESDM, as its sole reportable segment under Ind AS 108. Continuing-operation revenue rose to Rs 311.819 crore in the September 2026 quarter from Rs 196.745 crore a year earlier, while continuing profit after tax increased to Rs 22.927 crore from Rs 15.050 crore.
For the six-month period, Centum Electronics’ continuing-operation revenue increased to Rs 515.285 crore from Rs 374.569 crore and continuing profit after tax rose to Rs 34.158 crore from Rs 32.836 crore. Total profit reached Rs 128.427 crore, compared with Rs 8.603 crore in the corresponding 2025 period, combining continuing operations with the discontinued-operation result.
What changed in Centum Electronics’ balance sheet and legal status?
Centum Electronics no longer reported assets held for sale at September 30, 2026, compared with Rs 208.443 crore at March 31, 2026. Liabilities directly associated with assets held for sale also fell from Rs 305.189 crore to nil, consistent with the removal of the deconsolidated business from consolidated accounts.
Total assets were Rs 1,206.662 crore at September 30, 2026, down from Rs 1,302.712 crore at March 31, while total equity increased to Rs 460.100 crore from Rs 325.075 crore. Non-controlling interests moved from negative Rs 18.135 crore to nil; the filing does not quantify the individual causes of these balance-sheet changes.
The court converted the proceedings into liquidation judiciaire and appointed a judicial liquidator on July 2, 2026. Centum Electronics said management did not envisage incremental exposure from the proceedings, while the auditor reported that the overseas subsidiary under liquidation had nil total assets as of June 4, 2026.
The auditor also reported Rs 72.736 crore of revenue, Rs 13.036 crore of net profit after tax and Rs 25.581 crore of net cash outflows for the overseas subsidiary from April 1 to June 4, before consolidation adjustments. Its review conclusion on Centum Electronics’ consolidated results was not modified.
Conclusion
Centum Electronics’ June 4, 2026 loss of control over the French group removed that business from consolidation and reshaped six-month earnings. Continuing ESDM revenue increased to Rs 515.285 crore, while discontinued operations reported Rs 94.269 crore of profit, including the separately disclosed deconsolidation gain.
The next disclosed matters are the liquidation process initiated with the July 2, 2026 judicial-liquidator appointment and the regulatory filings for the Canadian operations. Centum Electronics had decided on December 19, 2025 to discontinue those Canadian operations and said filings and intimations for their liquidation were still in process when results were approved on November 4, 2026.
