What did GMM Pfaudler finalise for the acquisitions?
GMM Pfaudler finalised the purchase-price allocation, or PPA, for the two acquisitions under Indian Accounting Standard 103, Business Combinations. The company said the work was complete as at September 30, 2026, and that the provisional fair values of identified assets and liabilities determined at March 31, 2026 did not change.
The PPA covers the group’s purchase of a 100% stake in SEMCO Tecnologia em Processos Ltda., Brazil, known as SEMCO, and a 51% stake in GMM Inox sp. z o.o. The acquisitions were made during the year ended March 31, 2026, and the finalisation was disclosed with unaudited consolidated results approved by the Audit Committee and Board of Directors on November 4, 2026.
GMM Pfaudler had updated provisional fair values during the year ended March 31, 2026, resulting in Rs 88.09 crore of goodwill. The September 30, 2026 finalisation means that this updated valuation outcome was not subsequently revised for the identified assets and liabilities covered by the PPA.
How much did GMM Pfaudler pay for SEMCO and GMM Inox?
GMM Pfaudler acquired SEMCO for approximately Rs 162 crore and obtained its 51% holding in GMM Inox through an approximately Rs 25.30 crore capital contribution. SEMCO was acquired through Pfaudler Ltda., the group’s Brazil-based subsidiary, while the filing describes the GMM Inox transaction as the acquisition of a 51% stake.
The two disclosed amounts have different forms. SEMCO’s amount is consideration for a 100% stake, while the GMM Inox amount is a capital contribution for a 51% stake. The filing does not provide separate PPA bridges for the two businesses and therefore does not allocate the Rs 88.09 crore goodwill between SEMCO and GMM Inox.
GMM Pfaudler reported consolidated goodwill of Rs 234.49 crore at September 30, 2026, compared with Rs 229.64 crore at March 31, 2026. The Rs 4.85 crore increase over the six-month period is shown in the balance sheet, but the filing does not attribute that movement to either acquisition or provide a goodwill reconciliation.

How did the final allocation restate prior-period profit?
GMM Pfaudler restated its consolidated September 2025 comparative results following the updated provisional fair values, reducing quarterly profit before tax to Rs 61.69 crore from Rs 64.21 crore. Profit for the period was restated to Rs 37.68 crore from Rs 39.38 crore, a reduction of Rs 1.70 crore.
For the half year ended September 30, 2025, profit before tax was restated to Rs 93.30 crore from Rs 95.82 crore, also a reduction of Rs 2.52 crore. Profit for the period was revised to Rs 47.83 crore from Rs 49.53 crore, while total other comprehensive income moved to Rs 105.05 crore from Rs 105.17 crore.
The comparative restatement did not alter the cash-flow statement for the half year ended September 30, 2025. Net cash generated from operating activities remained Rs 64.76 crore, net cash used in investing activities remained Rs 191.06 crore, and net cash generated from financing activities remained Rs 91.51 crore.
What do GMM Pfaudler's latest consolidated figures show?
GMM Pfaudler reported consolidated revenue from operations of Rs 1,989.38 crore for the half year ended September 30, 2026, compared with Rs 1,696.89 crore in the restated prior-year half. Overseas revenue rose to Rs 1,502.57 crore from Rs 1,226.31 crore, while India revenue increased to Rs 486.81 crore from Rs 470.58 crore.
Overseas operations accounted for Rs 3,309.39 crore of the group’s Rs 4,148.94 crore segment assets at September 30, 2026. India accounted for Rs 839.55 crore of segment assets, although GMM Pfaudler does not separately disclose revenue, assets or profit for SEMCO or GMM Inox.
Consolidated profit before tax for the six months was Rs 90.48 crore, below the restated Rs 93.30 crore a year earlier. India segment profit before tax and interest fell to Rs 45.51 crore from Rs 66.70 crore, while overseas segment profit before tax and interest was Rs 99.14 crore versus Rs 99.20 crore.
Cash and cash equivalents stood at Rs 426.55 crore at September 30, 2026, compared with Rs 635.38 crore at the beginning of the financial year. The half-year cash-flow statement recorded Rs 41.12 crore from operating activities, Rs 51.04 crore used in investing activities and Rs 198.91 crore used in financing activities, producing a Rs 208.83 crore net decrease.
Conclusion
The completed acquisition accounting retains Rs 88.09 crore of goodwill for the SEMCO and GMM Inox transactions and confirms the March 31, 2026 provisional values of the acquired assets and liabilities. It also establishes lower restated September 2025 comparative profit figures without changing the comparative operating, investing or financing cash flows.
What remains unresolved in the filing is the separate contribution of SEMCO and GMM Inox to the Rs 88.09 crore goodwill, revenue, assets and profit, because GMM Pfaudler reports only India and overseas segments. The company disclosed no further valuation adjustment, PPA target, plan or scheduled event after the September 30, 2026 finalisation.
