What has CL Educate approved for acquisition-debt refinancing?
CL Educate has approved fundraising of up to Rs 140 crore, starting with Rs 100 crore of non-convertible debentures, or NCDs, for refinancing its existing acquisition debt. The board approved the proposal at its November 3, 2026 meeting, which began at 1:45 PM and concluded at 6:00 PM.
The initial issue comprises 10,000 listed, rated, senior, secured, redeemable, taxable and transferable NCDs with a face value of Rs 1 lakh each. The NCDs are proposed to be issued through private placement to identified eligible investors, rather than through a preferential allotment.
CL Educate said the remaining amount of up to Rs 40 crore would be raised in due course. The announcement does not provide the instrument terms, coupon, maturity or timetable for that balance, so the disclosed structure applies to the initial Rs 100 crore issue.
The NCDs are proposed to list on the wholesale debt segment of BSE Limited. The filing describes listing as proposed, while the debenture trust deed and related transaction documents remain to be executed in connection with the issue.
What are the proposed NCD interest rate and maturity?
CL Educate proposes an annual coupon of 11.90%, payable monthly on the 25th of every month, for the Rs 100 crore NCD issue. The stated tenure is 50 months from the deemed date of allotment, November 25, 2026, with maturity on January 25, 2031.
The monthly coupon schedule differs from the quarterly principal repayment timetable. Each NCD is proposed to be redeemed at par at its Rs 1 lakh face value, in accordance with the debenture trust deed and other transaction documents, on the stated final maturity date of January 25, 2031.
The issuance therefore sets a fixed coupon and a defined maturity date, but the filing does not identify the investors, the credit rating assigned to the NCDs or the total interest cost over the 50-month term. Those details are not disclosed in the November 3, 2026 announcement.
How will CL Educate repay the Rs 100 crore principal?
CL Educate proposes to repay the Rs 100 crore principal through 17 quarterly instalments, with each instalment increasing in four stages over the NCD term. The first five payments, from February 5, 2027 through February 5, 2028, are Rs 3.7974684 crore each, or 3.80% of principal per payment.
Repayments then rise to Rs 5.6962005 crore each from May 5, 2028 through February 5, 2029, followed by Rs 6.6455696 crore each from May 5, 2029 through February 5, 2030. The final four scheduled instalments, from May 5, 2030 through January 5, 2031, are Rs 7.9113924 crore each.
The comparison between the first and final repayment stages shows the quarterly principal instalment more than doubles, from Rs 3.7974684 crore to Rs 7.9113924 crore. The first five instalments account for 19.00% of principal, while the final four account for 31.64%, alongside the separate monthly 11.90% coupon obligation.

What security will support CL Educate's NCDs?
CL Educate proposes a first-ranking pari passu charge, shared with its existing lenders, over movable fixed assets and current assets including book debts, trade receivables, contract assets, stock in trade, inventory, unencumbered cash equivalents, supplier advances, trademarks, intellectual property and intangible assets. The proposed charge covers present and future assets and may include registered mortgages over applicable immovable properties.
The security package also provides for a first-ranking pari passu equitable or registered mortgage over identified immovable properties of CL Educate and its corporate guarantor, subject to the title-search report. Career Launcher Infrastructure Pvt Ltd, CL Educate's wholly owned subsidiary, is proposed to provide an unconditional and irrevocable corporate guarantee to the extent of the value of the specified Raipur property.
CL Educate also proposes a first-ranking pledge over its shareholding in Dexit Global Limited. The filing refers to the aggregate share capital of Dexit Global Limited held by CL Educate on a fully diluted basis, but the extracted disclosure does not state the percentage covered by the pledge.
The existing lenders named in the pari passu arrangement are Piramal Finance Ltd, Hero Fincorp Ltd, Oxyzo Financial Services Ltd, Poonawalla Fincorp Ltd, HDFC Bank Ltd and IndusInd Bank Ltd. The terms restrict transfers, sales, assignments and new encumbrances over secured assets without prior written consent from the security trustee.
What happens if CL Educate defaults on the NCDs?
CL Educate's proposed terms provide for an additional coupon of 2% per annum over the 11.90% coupon rate from the date of default until the default is rectified. The disclosure category covers a delay in interest or principal payment of more than three months from the due date, as well as payment default.
The terms give the debenture trustee a general lien and set-off right over CL Educate's assets on a first-ranking pari passu basis. In an event of default during the 50-month tenor, the trustee would be entitled to recover outstanding amounts through the sale of the company's existing and future current, movable, fixed and other assets.
The proposed documents also include a demand promissory note and a letter of continuity. Debenture-holder rights, interests and privileges will be determined under the debenture trust deed and ancillary transaction documents, rather than by the board-meeting announcement alone.
Conclusion
CL Educate's proposed Rs 100 crore refinancing replaces existing acquisition debt with a 50-month NCD structure featuring an 11.90% annual coupon, monthly interest servicing and principal instalments that rise from 3.80% to 7.91% of principal. The proposed security combines operating assets, possible property mortgages, a subsidiary guarantee and a pledge over Dexit Global Limited shareholding, shared pari passu with six named existing lenders.
The next disclosed development is the raising of up to Rs 40 crore from the balance of the Rs 140 crore board-approved programme, which CL Educate said would occur in due course. The filing also identifies the proposed November 25, 2026 deemed allotment date, the BSE wholesale-debt listing process, execution of the debenture trust deed and the first principal payment on February 5, 2027 as milestones to watch.
