Why did Electrotherm receive a qualified conclusion for September 2026?
Electrotherm received a qualified limited-review conclusion because it did not provide interest on non-performing asset, or NPA, accounts with banks and asset reconstruction companies, or ARCs. The auditors said the omitted interest was approximately Rs 52.42 crore for the quarter ended September 30, 2026 and Rs 103.32 crore for the half year ended on that date.
The qualification also reflects the cumulative balance of omitted interest. As of September 30, 2026, cumulative unprovided interest was Rs 1,499.29 crore, and the auditors said the exact amount had not been determined. The filing says bank and ARC loan liabilities, along with total retained earnings or losses, were understated by Rs 1,499.29 crore at that date.
The auditor said its reports for the year ended March 31, 2026 and the quarters ended June 30, 2026 and September 30, 2025 had also been qualified on this issue. Except for the possible effect of the NPA-interest non-provision, the auditor said nothing had come to its attention to indicate that the September 2026 consolidated results did not meet applicable disclosure requirements.
How does the omitted interest affect Electrotherm’s loss?
Electrotherm reported a consolidated net loss of Rs 19.97 crore for the quarter ended September 30, 2026, but the filing says that loss was understated by Rs 52.42 crore because the NPA-loan interest was not provided. For the six months ended September 30, 2026, it reported a Rs 13.04 crore net loss, which was understated by Rs 103.32 crore.
The unprovided interest also differs sharply from the finance cost recognised in the income statement. Reported finance costs were Rs 2.61 crore in the September 2026 quarter, compared with Rs 7.18 crore a year earlier, while first-half finance costs were Rs 6.58 crore, compared with Rs 15.37 crore in the prior-year half.
Electrotherm recorded a Rs 11.67 crore interest reversal in the half year ended September 30, 2026 following a change in the interest rate under the Hans Ispat Limited debt-recovery order. The filing identifies that reversal separately from the Rs 1,499.29 crore cumulative NPA-interest non-provision.
Which loan defaults and settlements remain unresolved at Electrotherm?
Electrotherm disclosed loan-instalment defaults of Rs 56 crore owed to Invent Assets Securitisation and Reconstruction Private Limited, referred to as Invent ARC, from the quarter ended September 30, 2025 through September 30, 2026. Related interest of Rs 3.81 crore was due from March 31, 2026 to September 30, 2026, and management said it was negotiating a rescheduling of the principal and interest.
The company also requested that Edelweiss Asset Reconstruction Company Ltd. extend the time for payment of a Rs 15.79 crore final instalment due in March 2026, citing temporary liquidity constraints. Electrotherm said the request was under consideration for revised terms and had therefore not been classified as a default.
Under the settlement terms for both loans, default can result in the settlement being withdrawn and dues under the original loan terms being reinstated. Management said it expected no further liability on the Invent ARC loan based on ongoing discussions, while also stating that debt reduction from ARC settlements would be recognised only after final compliance with the respective settlement terms.
Hans Ispat, Electrotherm’s wholly owned subsidiary, has been in default on loan repayment obligations since December 2019. Invent ARC revoked its earlier settlement on September 16, 2021, and the Debts Recovery Tribunal, Ahmedabad ruled on May 22, 2026 that Rs 110.36 crore was debt due, with simple interest of 11% a year from June 20, 2022 until realisation.
The filing also identifies three NPA accounts involving Bank of Baroda, State Bank of India and Indian Overseas Bank, assigned to Rare Asset Reconstruction Limited, where no settlement agreements had been entered. Separately, the Enforcement Directorate provisionally attached and froze Rs 25.08 crore in two parent-company bank accounts on September 25, 2026, an action Electrotherm and Shailesh Bhandari challenged before the Gujarat High Court.

What do Electrotherm’s balance sheet and cash flow show?
Electrotherm reported total assets of Rs 2,186.34 crore at September 30, 2026, compared with Rs 2,012.68 crore at March 31, 2026. Current liabilities increased to Rs 2,301.75 crore from Rs 2,126.44 crore, including other current liabilities of Rs 696.32 crore, up from Rs 530.52 crore, while inventories rose to Rs 713.98 crore from Rs 570.98 crore.
Net cash generated from operating activities was Rs 38.32 crore in the six months ended September 30, 2026, down from Rs 166.62 crore in the previous-year period. Cash and cash equivalents fell to Rs 16.77 crore from Rs 34 crore at the start of the period, after Rs 49.77 crore of purchases of property, plant, equipment and intangible assets and a Rs 25.08 crore increase due to a lien on current-account balances.
Conclusion
Electrotherm’s September 2026 filing combines higher quarterly revenue with a qualified conclusion over interest omitted on NPA loans. The cumulative Rs 1,499.29 crore interest non-provision is substantially larger than the reported Rs 19.97 crore quarterly net loss, while the group also reported negative equity of Rs 156.93 crore and operating cash generation of Rs 38.32 crore for the half year.
The next disclosed matters to watch are management’s discussions with Invent ARC on the Rs 56 crore instalment default and Rs 3.81 crore related interest, and Edelweiss ARC’s consideration of revised terms for the Rs 15.79 crore final instalment. The filing says a settlement default can reinstate original loan dues, while the Hans Ispat tribunal award carries 11% simple interest until realisation.
