GKW Limited recorded a Rs 27.73 crore non-current liability under its joint development agreement, or JDA, at September 30, 2026, while making no current-tax provision for the related capital gain. GKW nevertheless included the gain in its Assessment Year 2025-26 income-tax return to avoid penal consequences.

Why has GKW not recognised current tax on the JDA?
GKW has not recognised current tax on the JDA capital gain because, supported by a legal opinion, it considers execution of the agreement and handover of land possession not to be a transfer under Section 2(47) of the Income Tax Act, 1961. GKW entered into the JDA during the year ended March 31, 2025, and says it will recognise current tax in the year or years in which actual consideration is received under the arrangement.
This treatment is distinct from the current-tax expense in the financial results. GKW reported current tax of Rs 2.18 crore for the half-year ended September 30, 2026, compared with Rs 1.21 crore in the half-year ended September 30, 2025. The filing does not identify the reported half-year tax charge as tax on the JDA gain, for which no current-tax provision was made.
GKW also referred to a revaluation of the JDA land in financial year 2021-22. It said the revaluation created a deferred tax liability recognised through other comprehensive income, or OCI, and that there would be no further tax impact in this regard. Net deferred tax liability was Rs 384.03 crore at September 30, 2026, compared with Rs 382.61 crore at March 31, 2026.
What did GKW report in its JDA tax return?
GKW included the JDA capital gain in its Assessment Year 2025-26 income-tax return, submitted on December 26, 2025 to the Deputy Commissioner of Income Tax, Circle 1(1). GKW said the filing was intended to avoid penal consequences rather than to alter its accounting view that current tax is not due before actual consideration is received.
As GKW had not received actual consideration, it used the stamp-duty value, described in the filing as the fair market value of the property, as the full value of consideration for computing the capital gain. The disclosure therefore distinguishes between the tax-return computation using stamp-duty value and the financial-statement policy of recognising current tax when actual consideration is received.
The JDA disclosure is separate from a pending stamp-duty matter involving certain parcels of land at Bhandup, Mumbai. GKW appealed on December 16, 2025 against a November 3, 2025 letter alleging a stamp-duty short payment of Rs 32.56 crore. The matter was heard on September 9, 2026, the order was awaited as of November 5, 2026, and GKW said its effect on the September 2026 results was unascertainable.

How is GKW accounting for its JDA obligation?
GKW recognised Rs 27.73 crore as the proportionate share received or receivable under the JDA up to September 30, 2026. It presented this amount within other non-current liabilities in accordance with the applicable accounting principles cited in the filing. The disclosure describes the amount as a proportionate share under the arrangement, rather than as revenue or cash proceeds.
Other non-current liabilities stood at Rs 116.88 crore at September 30, 2026, up from Rs 94.60 crore at March 31, 2026. GKW identified the Rs 27.73 crore JDA amount as included in this balance, but did not provide a full reconciliation of changes in the line item during the six months.
GKW stated that it had no borrowings as of September 30, 2026. Finance costs of Rs 4.29 crore for the half-year primarily comprised unwinding of the discount on refundable security deposits related to the JDA and warehouse leases, as well as interest on lease liabilities recognised under Indian Accounting Standard 116, or Ind AS 116. Finance costs were Rs 4.05 crore in the half-year ended September 30, 2025.
How do GKW's half-year results frame the JDA accounting?
GKW reported revenue from operations of Rs 21.99 crore for the half-year ended September 30, 2026, down from Rs 25.43 crore in the corresponding 2025 period. Investment and treasury revenue fell to Rs 14.94 crore from Rs 18.34 crore, while warehousing revenue was broadly unchanged at Rs 7.05 crore from Rs 7.09 crore. These operating-segment figures are separate from the JDA liability recorded in non-current liabilities.
Profit before tax increased to Rs 18.39 crore in the half-year ended September 2026 from Rs 3.46 crore a year earlier. Profit after tax was Rs 14.71 crore, compared with a loss after tax of Rs 1.77 crore in the prior-year period. The filing does not assign a specified part of either profit measure to the JDA tax treatment.
The cash-flow statement reported Rs 5.26 crore of interest received pursuant to the JDA in the half-year ended September 2026, down from Rs 9.40 crore in the corresponding 2025 period. It also recorded Rs 1.93 crore of proceeds from sale of transferable development rights in the 2026 half-year. Neither item is described as actual consideration received under the JDA for GKW's current-tax recognition policy.
Conclusion
GKW's September 2026 filing separates three parts of the JDA accounting: a Rs 27.73 crore proportionate-share liability in other non-current liabilities, capital gains included in the Assessment Year 2025-26 return, and no current-tax provision in the accounts until actual consideration is received. The accounting treatment rests on GKW's legal view that the JDA and possession handover did not alone create a transfer under Section 2(47).
The next disclosed trigger is receipt of actual consideration under the JDA, because GKW says it will recognise current tax in the relevant year or years. Separately, the order in the Rs 32.56 crore Bhandup stamp-duty dispute remains awaited after the September 9, 2026 hearing, leaving its potential financial-results effect unresolved.
