What did Indowind's auditors find about goodwill?
Indowind's auditors found that the company had not carried out an impairment assessment or test of the Rs 74.5469 crore goodwill transferred from Ind Eco Ventures Limited, or IVL, following its merger with Indowind. The auditors described the transaction as a business combination under common control and said testing was required under applicable Indian Accounting Standards, or Ind AS, at the end of the financial year.
Venkatesh & Co stated in its limited-review report dated November 5, 2026 that it was unable to determine whether an impairment loss should be recognised on the Rs 74.5469 crore balance. The firm also said it could not determine the resulting effect, if any, on the accompanying financial statements. The matter was included in the basis for qualified opinion.
The report does not state that the full Rs 74.5469 crore is impaired or quantify a possible charge. Instead, it identifies the absence of testing as the reason the auditors cannot assess whether a loss is necessary. Goodwill remained at Rs 74.5469 crore in both the September 30, 2026 unaudited statements and the March 31, 2026 audited statements.
How large is Indowind's goodwill relative to its balance sheet?
Indowind reported Rs 74.5469 crore of goodwill in both its consolidated and standalone balance sheets at September 30, 2026. Consolidated total assets were Rs 358.9033 crore at that date, up from Rs 347.7173 crore at March 31, 2026, while consolidated total equity rose to Rs 312.4761 crore from Rs 307.4088 crore.
The goodwill balance did not move over the six months, whereas consolidated assets increased by Rs 11.186 crore. Capital work in progress rose by Rs 8.4254 crore to Rs 20.7305 crore, while property, plant and equipment declined by Rs 5.9488 crore to Rs 157.9231 crore. Those movements do not establish the recoverability of goodwill, which is the missing assessment identified by the auditors.
On a standalone basis, Indowind reported total assets of Rs 358.1517 crore at September 30, 2026, compared with Rs 347.8641 crore at March 31, 2026. Standalone equity increased to Rs 312.8455 crore from Rs 308.2523 crore, while goodwill remained Rs 74.5469 crore at both reporting dates.

What was the other qualified matter in Indowind's review?
Indowind's auditors also qualified their review over accounting linked to an arbitration claim of Rs 90.8339 crore against Suzlon Group, filed in earlier years. They said Rs 14.9436 crore paid to Suzlon Energy Limited was recorded as an advance without adequate audit evidence and had not been expensed in earlier years.
The auditors further said Indowind recognised Rs 8.4559 crore as compensation receivable from Suzlon Energy Limited without counterparty confirmation or measurement under Ind AS 109. They said the balance of the claim had not been recognised and that, if the advance were expensed and the receivable appropriately amortised, the profit and loss account under reserves and surplus would have been lower by Rs 16.6829 crore and Rs 8.4559 crore.
A results note separately said Suzlon Energy Limited, the operations and maintenance operator for Indowind's 18 megawatt project, did not ensure machine availability during the period. Indowind said it was pursuing compensation through discussions and legal recourse, and estimated that normal operations would have increased revenue and profit by close to Rs 5 crore.
The review also included unaudited interim information from subsidiary Indowind Power Private Limited, which reported revenue of Rs 4.2232 crore and net profit of Rs 13.23 lakh for the quarter ended September 30, 2026. Except for the two qualified matters, the auditors said nothing had come to their attention indicating that the statement failed to meet applicable reporting requirements.
What do Indowind's September 2026 results show?
Indowind reported standalone revenue of Rs 12.9979 crore for the quarter ended September 30, 2026, down from Rs 15.8734 crore a year earlier. Standalone profit after tax fell to Rs 3.0276 crore from Rs 5.2958 crore, while profit before tax declined to Rs 3.9827 crore from Rs 4.9503 crore.
For the half year ended September 30, 2026, standalone revenue was Rs 19.9484 crore compared with Rs 25.2822 crore in the prior-year half year. Profit after tax was Rs 4.5932 crore, down from Rs 7.2169 crore. These figures do not include a disclosed goodwill impairment charge because the required test had not been performed.
Standalone net cash used in operating activities was Rs 14.9877 crore in the six months ended September 30, 2026, compared with net cash generated of Rs 2.9024 crore in the year ended March 31, 2026. Cash and cash equivalents fell to Rs 1.3204 crore from Rs 8.539 crore, while trade receivables increased to Rs 8.9768 crore from Rs 3.8756 crore.
Indowind also said expected income from its 4 megawatt solar project under completion was likely to enhance future profit. Other expenses included a non-recurring Rs 80 lakh fee for increasing authorised capital. The company reported one segment only, so the filing does not provide separate performance for the solar project, wind operations or the assets linked to transferred goodwill.
Conclusion
Indowind's Rs 74.5469 crore goodwill is a material reported asset whose recoverability remains unresolved because the company had not performed the impairment testing cited by its auditors. The uncertainty sits alongside a separate qualified matter involving Rs 14.9436 crore of Suzlon-related advances and Rs 8.4559 crore of compensation receivable, both of which the auditors said affected the financial statements.
The next filing to watch is one that includes the required goodwill impairment assessment and any resulting charge. Indowind has also disclosed compensation discussions and legal recourse over the 18 megawatt project's machine availability, while its 4 megawatt solar project remains under completion and is expected by management to contribute future income.
