Innovators Façade Systems Limited is seeking shareholder approval to issue 9,50,971 equity shares worth Rs 11.22 crore for 51.03% of Innovators Contracting Works Private Limited. What is IFSL asking shareholders to approve?
IFSL is seeking a special resolution to issue 9,50,971 fully paid equity shares on a preferential basis to Vedika Radheshyam Sharma, a promoter-group member, under a share purchase agreement dated 26 October 2026. The board approved the proposal on 26 October 2026, subject to shareholder and other statutory or regulatory approvals.
The proposed shares have a face value of Rs 10 each and an issue price of Rs 118 each, including a premium of Rs 108 per share. The aggregate issue price is Rs 11.22 crore, and the preferential issue is for consideration other than cash, meaning it is intended to settle the acquisition price rather than raise funds.
In exchange, IFSL would acquire 10,10,000 ICWPL equity shares from Sharma. These sale shares represent 51.03% of ICWPL's paid-up equity capital, are valued at Rs 111.10 per ICWPL share and carry aggregate consideration of Rs 11.22 crore under a 0.94:1 swap ratio.
How would IFSL make ICWPL wholly owned?
IFSL would make ICWPL wholly owned because its wholly owned subsidiary, Innovators Engineering Works Private Limited, already holds 48.97% of ICWPL. Combining that existing 48.97% holding with the proposed acquisition of 51.03% would take the group holding to 100% of ICWPL's paid-up equity capital.
The two stakes represent a change from split ownership to full group ownership, rather than the purchase of a new operating line. IFSL says the transaction would consolidate ICWPL's ownership and business operations under its group structure, with the share purchase agreement covering the 10,10,000 shares held by Sharma.
ICWPL carries out subcontracting work involving the production, installation and execution of façade systems, CRP panels, fire-rated doors and other façade-related products. Its works-contract activity also includes labour contracting and allied work for IFSL projects, linking the target's operations to IFSL's fabrication and project-execution functions.
IFSL says full ownership is expected to improve operational coordination, control over fabrication and installation, resource utilisation and project-execution efficiency. These are management expectations in the explanatory statement, not reported post-transaction outcomes, because the preferential issue remains subject to the 25 November 2026 shareholder vote and required approvals.
Why is IFSL using a share swap instead of cash?
IFSL is using a share swap because the 26 October 2026 share purchase agreement provides that the transfer of ICWPL sale shares will be full and final consideration for the new IFSL shares. The filing states that no funds will be raised through the preferential issue, despite the proposed share issue being priced at Rs 11.22 crore.
The consideration differs by Rs 46.31 because of rounding and fractional-share adjustments. The 9,50,971 IFSL shares have an aggregate issue price of Rs 11.22 crore, while the 10,10,000 ICWPL shares have aggregate consideration of Rs 11.22 crore; IFSL says it will pay the Rs 46.31 difference through normal banking channels because fractional shares cannot be issued in dematerialised form.
The filing says the structure enables IFSL to acquire the 51.03% stake without cash consideration for the sale shares and to conserve cash resources. The swap shares would be issued in dematerialised form, be fully paid on allotment and rank pari passu, meaning equally in all respects, with existing IFSL equity shares from the allotment date.
IFSL also states that the proposed allotment would not result in a change in its management or control. It says the allottee, together with persons acting in concert if any, would not exceed 5% of post-issue fully diluted share capital, so certain requirements under Regulations 166A(1) and 166A(2) of the Securities and Exchange Board of India Issue of Capital and Disclosure Requirements Regulations do not apply.

How was the IFSL issue price set?
IFSL set the issue price at Rs 118 per share, above the stated floor price of Rs 117.53 per share under the applicable pricing rules. The relevant date for the calculation was 26 October 2026, which the filing identifies as 30 days before the extraordinary general meeting scheduled for 25 November 2026.
The Rs 117.53 floor price was the higher of two volume-weighted average prices, or VWAPs. The 90-trading-day VWAP preceding 26 October 2026 was Rs 117.53 per share, compared with a 10-trading-day VWAP of Rs 108.68, while IFSL's shares were described as frequently traded on the SME Board of BSE Limited.
Registered valuer Bhavesh M. Rathod's report dated 26 October 2026 valued IFSL shares at Rs 117.53 each. A separate 26 October 2026 report by registered valuer Jha Prabhakar Pramod valued the ICWPL sale shares, and the filing says the 0.94:1 swap ratio was derived from the valuation reports.
The proposed Rs 118 issue price comprises Rs 10 face value and Rs 108 premium per IFSL share. IFSL says the price may be adjusted if applicable law requires it, while the consideration other than cash comprises only the ICWPL share swap supported by independent registered valuers' reports.
What assets and operating links would IFSL consolidate?
IFSL identifies ICWPL's subcontracting role as the central operating rationale for the acquisition. ICWPL's work on façade systems, CRP panels, fire-rated doors, installation and labour contracting would be brought fully within the group after the purchase of the 51.03% stake.
ICWPL also owns one factory building structure on land adjacent to IFSL's existing manufacturing unit in Wada District, Maharashtra. The building is currently leased to IFSL, and the company says ownership after the proposed acquisition could facilitate long-term operational efficiencies.
IFSL says the acquisition is expected to provide greater operational integration, improve fabrication and installation control, optimise resource use and support project execution. It also says the changes are expected to contribute positively to consolidated profitability, but the filing provides no earnings forecast, quantified efficiency target or completion date.
The board says the preferential issue is in the interests of IFSL and its stakeholders and supports its growth strategy and longer-term business prospects. That view is the board's stated rationale, while the disclosed transaction mechanics are a 9,50,971-share issue at Rs 118 per share for 10,10,000 ICWPL shares.
Conclusion
The proposed transaction would take group ownership of ICWPL from 48.97% through Innovators Engineering Works Private Limited to 100% through the acquisition of the remaining 51.03%. In return, IFSL would issue shares valued at Rs 11.22 crore rather than pay cash for the stake, while consolidating subcontracting activities and the Wada factory building currently leased to it.
The next disclosed event is the extraordinary general meeting on 25 November 2026, with remote e-voting running from 21 November 2026 at 9:00 a.m. to 24 November 2026 at 5:00 p.m. Shareholder approval and other required statutory or regulatory approvals remain unresolved before the swap shares can be allotted and the 10,10,000 ICWPL shares transferred.
