What is Innovators Façade Systems asking shareholders to approve?
Innovators Façade Systems is seeking approval by special resolution for a preferential issue of 950,971 fully paid equity shares to Vedika Radheshyam Sharma at Rs 118 per share. Each share carries a face value of Rs 10 and a premium of Rs 108, producing an aggregate issue value of Rs 11.22 crore.
The proposal is a share swap, rather than a cash fundraising transaction. Innovators Façade Systems would use the allotment to settle the purchase price for 1,010,000 equity shares in Innovators Contracting Works Private Limited, or ICWPL, held by Sharma. The consideration for the ICWPL shares is valued at Rs 11.22 crore, based on Rs 111.10 per ICWPL share.
A difference of Rs 46.31 arises from the rounding adjustment required because fractional shares cannot be allotted in dematerialised form. Innovators Façade Systems said it would pay that amount to Sharma through normal banking channels, so that the agreed consideration under the share purchase agreement is fully discharged.
The board considered the issue on October 26, 2026, which is also the relevant date for determining the preferential-issue price. The extraordinary general meeting is scheduled for November 25, 2026, and shareholder consent is required under the Companies Act and the Securities and Exchange Board of India, or SEBI, Issue of Capital and Disclosure Requirements regulations.
How would the ICWPL acquisition change Innovators Façade Systems?
Innovators Façade Systems would acquire 1,010,000 ICWPL shares, equal to 51.03% of ICWPL's paid-up equity capital, from Sharma. Its wholly owned subsidiary, Innovators Engineering Works Private Limited, or IEWPL, already holds the remaining 48.97%; following completion, Innovators Façade Systems and IEWPL would together own 100% of ICWPL.
ICWPL undertakes subcontracting work in the production, installation and execution of façade systems, CRP panels, fire-rated doors and other façade-related products. It also performs labour contracting and allied activities for Innovators Façade Systems projects, making the proposed acquisition a consolidation of an existing operating relationship rather than an entry into a disclosed new business.
Innovators Façade Systems said the acquisition is expected to improve its control over fabrication and installation work, resource utilisation and project execution. It also said ICWPL owns a factory building structure on land adjacent to its manufacturing unit in Wada district, Maharashtra, which is currently leased to Innovators Façade Systems and could support long-term operational efficiencies after the transaction.
The company described the share swap as a way to complete the acquisition without cash consideration for the sale shares. The related-party transaction disclosure identifies Sharma as a promoter-group member of Innovators Façade Systems and a director and shareholder of ICWPL, while estimating that the wider transaction could take three to six months, subject to approvals and conditions.
How was the Rs 118 issue price set?
Innovators Façade Systems set the price at Rs 118 per share, above the Rs 117.53 floor price calculated under the SEBI Issue of Capital and Disclosure Requirements regulations. Its shares are listed on the SME Board of BSE Limited and were described as frequently traded for the purpose of the applicable pricing provisions.
The floor price was the higher of the 90-trading-day volume-weighted average price, or VWAP, of Rs 117.53 and the 10-trading-day VWAP of Rs 108.68, each calculated before the October 26, 2026 relevant date. The 90-trading-day measure therefore exceeded the shorter-period VWAP by Rs 8.85 per share.
Bhavesh M. Rathod, a registered valuer, determined the value of Innovators Façade Systems equity shares at Rs 117.53 per share in a report dated October 26, 2026. A separate October 26 valuation by registered valuer Jha Prabhakar Pramod established the value of the ICWPL sale shares at Rs 111.10 each.
The two valuations supported a 0.94:1 swap ratio, under which 950,971 Innovators Façade Systems shares would be issued for 1,010,000 ICWPL shares. Innovators Façade Systems said the valuation reports would be submitted to stock exchanges and be available for member inspection on working days until the November 25, 2026 meeting.

How will the preferential issue affect ownership and control?
Sharma's holding in Innovators Façade Systems would increase from 120,000 shares, or 0.64%, to 1,070,971 shares, or 5.40%, after the proposed allotment. Her status would remain promoter group, and Innovators Façade Systems said no other promoter, promoter-group member, director, key managerial personnel or senior management personnel intends to subscribe.
Aggregate promoter ownership would rise to 65.45% from 63.71%, an increase of 1.74 percentage points. Non-promoter ownership would decline to 34.55% from 36.29%, even though the number of non-promoter shares would remain unchanged at 6,847,458.
The total share count would rise by 950,971 shares, from 18,867,808 to 19,818,779, based on the shareholding pattern dated September 30, 2026. Innovators Façade Systems said voting rights would change but that there would be no change in management, board composition or control as a result of the allotment.
What approvals, timing and lock-ins apply to the shares?
Innovators Façade Systems must complete the allotment within 15 days of the special resolution, under the disclosed SEBI timetable. If an approval or permission from a regulator, the Central Government or the stock exchange remains pending, the 15-day period would start from receipt of that approval or permission.
The 950,971 new shares proposed for Sharma would be subject to an 18-month lock-in from the date of trading approval. Her pre-preferential holding of 120,000 shares would also be locked in from October 26, 2026 until 90 trading days after trading approval, while any rights, bonus shares or other entitlements linked to the new shares would carry the same lock-in.
The company said it would apply to the SME Board of BSE Limited for listing of the newly issued shares. Once allotted, the shares would rank equally with existing equity shares, including for dividends, and the company stated that the allotment to Sharma would represent less than 5% of post-issue paid-up capital.
Innovators Façade Systems also said the related-party transaction does not cross the materiality threshold under SEBI listing regulations, but it is voluntarily seeking member approval. The Rs 11.22 crore transaction value equals 4.93% of its standalone and consolidated turnover for the financial year ended March 31, 2026.
Conclusion
Innovators Façade Systems proposes to use a Rs 11.22 crore non-cash allotment to buy the 51.03% of ICWPL that it does not already hold through IEWPL. The transaction would make ICWPL a wholly owned subsidiary, increase Sharma's holding from 0.64% to 5.40%, and raise aggregate promoter ownership from 63.71% to 65.45% without a disclosed change in control.
The immediate event to watch is the November 25, 2026 extraordinary general meeting, where shareholders will vote on the special resolution. Subject to that vote and applicable approvals, the allotment is due within 15 days after approvals, while the related-party transaction disclosure puts expected completion of the broader acquisition at three to six months.
