What happened to Inventure Growth’s restructuring scheme?
Inventure Growth said its composite Scheme of Arrangement, filed on May 1, 2025, has lapsed because the required regulatory approvals were not received within prescribed timelines. The September 2026 financial results consequently include no accounting effect from the proposed arrangement.
The scheme proposed amalgamating four wholly owned subsidiaries, Inventure Finance Private Limited, Inventure Commodities Limited, Inventure Insurance Broking Private Limited and Inventure Developers Private Limited. It also proposed, after the amalgamation, demerging the lending business undertaking into Inventure Wealth Management Limited, a wholly owned subsidiary.
The audit committee reviewed, and the board approved, the unaudited consolidated results on November 3, 2026. CGCA Associates LLP stated that, based on its review procedures and other auditors’ reports where applicable, nothing had come to its attention indicating that the statement failed to make required disclosures or contained a material misstatement.
Conclusion
Inventure Growth’s September-quarter profit increase combined a rise in operating revenue with a movement from a Rs 4.49 crore fair-value loss in September 2025 to a Rs 4.65 crore gain in September 2026. Lower financing costs and borrowings falling from Rs 36.63 crore at March 31, 2026 to Rs 7.08 crore at September 30 also coincided with the higher reported profit.
The next reported periods will show whether the Rs 4.65 crore fair-value gain recurs and whether financing revenue, which was Rs 1.44 crore in the September quarter, recovers. Inventure Growth has disclosed that its May 2025 restructuring scheme has lapsed, while provisions connected with alleged fraudulent transactions by a former employee remain a disclosed matter in the results.
