Jio Platforms IPO RHP Analysis: Business, Financials, Valuation, Risks and Offer Details
Jio Platforms Limited is proposing an initial public offering (IPO) through a fresh issue of up to 27 crore Equity Shares under this Red Herring Prospectus (RHP). Jio Platforms provides digital connectivity, platforms, applications and software through its group, principally Reliance Jio Infocomm Limited (RJIL). Its most important financial fact is Fiscal 2026 consolidated revenue from operations of Rs 146,885.3 crore.
What are the offer terms at a glance?
The IPO is a fresh issue of up to 27 crore Equity Shares, while the price band, aggregate issue size, dates and post-issue share capital are not disclosed in the RHP.
The issue price will be determined by Jio Platforms and the book running lead managers after the bid closing date. The employee reservation portion is capped at Rs 500 crore and the Reliance Industries Limited shareholder reservation portion at Rs 2,500 crore, but the corresponding number of shares is not disclosed. There is no green shoe option.
What does Jio Platforms sell, who buys it, and what are its dependencies and concentrations?
Jio Platforms sells digital connectivity and bundled digital services to consumers and enterprises, with RJIL serving 53.33 crore customers in India as of June 30, 2026. The group has one operating segment, and does not disclose product-level revenue because entertainment, cloud, internet of things, enterprise managed services, applications and software offerings are generally bundled with or subsumed within connectivity.
RJIL's 4G and 5G wireless broadband network covered more than 99% of India's population, while fixed broadband coverage extended to approximately 98% of Indian pin codes. The group had 2.86 crore JioFiber and JioAirFiber customers, including 1.40 crore JioAirFiber customers, and 28.49 crore 5G customers at June 30, 2026. Its network carried approximately 60% of India's wireless data traffic in Fiscal 2026.
Distribution is concentrated in Reliance Retail Limited (RRL), the sole distributor of prepaid connectivity services under long-term master distribution and collection arrangements. Prepaid connectivity accounted for 76.37% of revenue from operations in the three months ended June 30, 2026 and 77.08% in Fiscal 2026. RRL also provides customer acquisition, know-your-customer, payment collection, channel distribution, marketing and promotional services. RJIL contributed 87.34% of consolidated revenue, 93.89% of earnings before interest, tax, depreciation and amortisation (EBITDA), and 92.31% of profit after tax (PAT) in the June 2026 quarter.
Infrastructure is also concentrated. Summit Digital Infrastructure Limited owned 174,451 of the 360,537 network towers used by Jio Platforms at June 30, 2026. Jio Platforms relied on Jio Digital Fibre Private Limited for approximately 98% of optic-fibre requirements, excluding RJIL-owned last-mile fibre, and RJIL cannot terminate the main tower and fibre agreements. Key Jio trademarks are owned by the promoter and licensed without ongoing royalty, but the licence may be terminated if the promoter loses management control over Jio Platforms and/or RJIL.
What is Jio Platforms' multi-year financial track record?
Jio Platforms reported higher revenue, EBITDA and PAT across Fiscal 2024 to Fiscal 2026. EBITDA and net worth are non-GAAP measures in the RHP, and the quarterly periods below are not annualised.
Revenue from operations and EBITDA grew at compound annual growth rates of 15.79% and 17.79%, respectively, between Fiscal 2024 and Fiscal 2026. Revenue in the three months ended June 30, 2026 was 11.82% above the corresponding prior-year period, while EBITDA was 15.05% higher.
The Fiscal 2026 numbers include the effect of revising the useful life of certain network assets from 16 years to 18 years from April 1, 2025. Without that revision, Fiscal 2026 depreciation and amortisation would have been Rs 1,840.5 crore higher and profit before share of profit or loss of associate or joint venture and tax would have been Rs 1,840.5 crore lower.
How do Jio Platforms' margins and returns compare with the named listed peers?
Jio Platforms reported a Fiscal 2026 EBITDA margin of 51.91% and return on average net worth of 9.42%, while the RHP names Bharti Airtel Limited and Vodafone Idea Limited as its listed peers.
The disclosed peer price-to-earnings (P/E) range was 3.99x to 40.71x, averaging 22.35x, based on National Stock Exchange closing prices as of October 13, 2026 and Fiscal 2026 diluted earnings per share. Vodafone Idea's Fiscal 2026 PAT included exceptional items of Rs 58,607 crore; the RHP says its P/E without those exceptional items would not be comparable.
What do cash flow and debt show?
Jio Platforms generated positive operating cash flow in every disclosed period, while cash capital expenditure declined across the three annual periods. Capital expenditure below is expenditure on property, plant and equipment, spectrum and other intangible assets.
At June 30, 2026, consolidated borrowings were Rs 61,372.2 crore, cash and marketable securities were Rs 51,833.1 crore, and net debt was Rs 9,539.1 crore. Total borrowings to total equity were 0.18 times. Facility disclosures state aggregate fund-based outstanding borrowings of Rs 62,137.5 crore and non-fund-based outstanding facilities of Rs 2,141 crore; reconciliation differences include unamortised finance charges and commercial-paper discount.
The group states that it satisfied all borrowing covenants. Typical covenants require notice or limit mergers, amalgamations, compromise or reconstruction, prohibit dividend payments while principal or interest remains overdue, and may restrict dilution of promoter control below 51%. Deferred payment liabilities payable to the Department of Telecommunications were Rs 104,513.7 crore at June 30, 2026 and are excluded from the disclosed net-leverage measure.
What is the valuation at the upper price band?
Jio Platforms' P/E, enterprise value to EBITDA, price to book and price to sales multiples cannot be computed because the RHP does not disclose the price band. These would be our own calculations from the RHP's figures, but the cap price, post-issue share count, market capitalisation and enterprise value are not yet available.
The disclosed inputs are Fiscal 2026 diluted earnings per share of Rs 33.59, Fiscal 2026 EBITDA of Rs 76,255.4 crore, Fiscal 2026 revenue from operations of Rs 146,885.3 crore, June 30, 2026 net debt of Rs 9,539.1 crore and net asset value per share of Rs 382.34. The disclosed peer P/E multiples are 40.71x for Bharti Airtel and 3.99x for Vodafone Idea.
Who receives the IPO money, and what are the selling shareholder and lock-in details?
Jio Platforms will receive all IPO proceeds because the offer has no offer for sale. There are no selling shareholders or selling-shareholder acquisition costs to report.
Reliance Industries Limited is the promoter. Its weighted average cost of acquisition for its 593.78 crore Equity Shares is Rs 89.58 per share. It subscribed for 10,000 shares at Rs 10 in November 2019, received 496.13 crore shares at Rs 10 through a December 2019 rights issue, and received 98.79 crore shares upon conversion of compulsorily convertible preference shares in December 2020. Jio Platforms also raised Rs 152,055.3 crore from 13 investors in 2020.
Minimum promoter contribution equal to 20% of fully diluted post-issue capital will be locked in for three years from allotment. Promoter shares above that threshold will be locked in for one year, while pre-issue capital held by non-promoters is generally locked in for six months, subject to regulatory exemptions.
How will Jio Platforms use the proceeds?
Jio Platforms proposes to use up to Rs 27,500 crore of net proceeds in Fiscal 2027 to prepay specified RJIL borrowings, with the balance intended for general corporate purposes subject to a 25% cap on gross proceeds.
The planned prepayment includes external commercial borrowings with principal outstanding of Rs 29,917.1 crore at June 30, 2026. Interest rates on the facilities proposed for prepayment range from 1.40% to 5.13% annually. Jio Platforms may change timing or allocations according to business plans, market conditions, exchange rates and financing arrangements, subject to applicable law. No part of net proceeds is intended for the promoter, promoter group, directors, group companies, key managerial personnel or senior management.
Who is the promoter, and what related-party dealings are material?
Reliance Industries Limited is Jio Platforms' promoter and held 66.43% before the issue, or 593.78 crore Equity Shares; it will retain those shares after the issue, but its post-issue percentage is not disclosed. The RHP says the promoter will continue to exercise significant influence following the issue.
Jio Platforms acquired RJIL equity shares and preference shares from Reliance Industries in 2019 for Rs 44,200 crore and Rs 20,250 crore, respectively. Under a 2020 scheme of arrangement, identified RJIL liabilities of Rs 104,365.3 crore were transferred to Reliance Industries, while RJIL paid Rs 105,502 crore to Reliance Industries.
Related-party revenue from operations was Rs 1,472 crore in the June 2026 quarter and Rs 6,329.9 crore in Fiscal 2026, including Rs 932.2 crore and Rs 3,644.2 crore from Reliance Industries. Revenue received in advance from RRL was Rs 29,248 crore in the quarter and Rs 112,935.1 crore in Fiscal 2026. Purchases of property, plant, equipment and intangible assets from related parties totalled Rs 2,060.4 crore and Rs 5,024.8 crore, respectively.
What are the top risks disclosed in the RHP?
The leading risks are ordered by materiality in the RHP, beginning with telecom licences, promoter influence and group dependence.
- RJIL's unified telecom licence is due for renewal in October 2033, while most spectrum expires between 2041 and 2042. It provided Rs 10.6 crore for potential liquidated damages on delayed 26 GHz rollout obligations in Fiscal 2026.
- Reliance Industries held 66.43% before the issue, and RRL is the sole prepaid distributor. Prepaid connectivity represented 76.37% of revenue in the June 2026 quarter.
- RJIL's distribution arrangements with RRL include voucher sales, customer acquisition, collections, marketing and support services.
- RJIL represented 87.34% of consolidated revenue, 93.89% of EBITDA and 92.31% of PAT in the June 2026 quarter.
- A Gujarat outage affected 5G mobility and JioAirFiber for approximately two hours in Fiscal 2026.
- Summit Digital owned 174,451 network towers used by the group, and Jio Digital Fibre supplied approximately 98% of optic-fibre requirements.
- Aggregate fund-based borrowings outstanding were Rs 62,137.5 crore at June 30, 2026, subject to covenants and repayment obligations.
- The Digital Personal Data Protection Act, 2023 provides for penalties of up to Rs 2,500 crore for non-compliance.
Other quantified exposures include insurance coverage equal to 43.99% of tangible gross block plus capital work-in-progress excluding specified right-of-use assets, and claims or disputed liabilities not acknowledged as debt of Rs 1,468.8 crore.
What litigation is outstanding?
Jio Platforms had no criminal, statutory or regulatory, or material civil proceedings in the categories specified in the litigation section, but it had tax proceedings. The ledger separates the RHP's direct and indirect tax disclosures from other reported proceeding categories.
Total disclosed direct and indirect tax claims were 988, involving Rs 47,891.3 crore to the extent quantifiable and excluding interest. Subsidiary claims include Rs 6,795.5 crore involving disallowed input tax credit on telecom equipment and goods and services tax matters. Separately, RJIL faces shared-spectrum usage charge demands of Rs 1,389.1 crore; the Telecom Disputes Settlement and Appellate Tribunal set these aside, while the Department of Telecommunications appeal remains pending before the Supreme Court without interim relief or stay.
Conclusion
Jio Platforms' RHP presents a connectivity-led digital-services group with 53.33 crore customers, increasing revenue and EBITDA, positive operating cash flow and a fresh issue directed principally towards RJIL debt prepayment. Those operating and financial measures sit alongside material concentration in RJIL, RRL's prepaid distribution role, promoter-controlled infrastructure and trademarks, as well as large deferred spectrum-payment liabilities.
The next disclosures to watch are the price band, issue dates, final issue size, post-issue share count, final capitalisation and final general-corporate-purpose allocation, all of which are pending for the Prospectus. Jio Platforms also intends to deploy up to Rs 27,500 crore towards RJIL borrowings in Fiscal 2027, while September 2026 quarterly and half-yearly financial results were unavailable to IPO investors under the RHP.
