In Q2FY27, IRB Infrastructure Developers Limited unlocked Rs 2,744 crore of equity by transferring two BOT highway assets from its private InvIT joint venture to its sponsored public InvIT. IRB Infra said the completed transfer supports its capital-recycling approach and could enable it to explore new sectoral opportunities worth approximately Rs 8,000 crore.

Which assets did IRB Infra transfer to its public InvIT?
IRB Infra transferred two build-operate-transfer, or BOT, highway assets from IRB Infrastructure Trust, its private InvIT joint venture, to the IRB InvIT Fund, the public InvIT sponsored by the company. The November 5, 2026 announcement said the transfer was completed in Q2FY27, but did not name the two assets, their locations, concession periods or individual transaction values.
The transfer unlocked Rs 2,744 crore of equity, according to IRB Infra. An infrastructure investment trust, or InvIT, is the structure used by the company to hold and monetise road assets; the disclosure describes a move from the private InvIT joint venture to the sponsored public InvIT. IRB Infra did not disclose a separate cash-proceeds figure, accounting gain, transaction cost or debt reduction arising from the transfer.
Management described the transferred highways as two more mature assets. The release links this asset churn to its BEST strategy, which management said releases capital for growth, although it did not define the acronym or set a schedule for further asset transfers after the Q2FY27 transaction.
How did IRB Infra perform in Q2FY27?
IRB Infra reported net profit of Rs 260 crore in Q2FY27, up 85% from Rs 141 crore in Q2FY26, while total income rose Rs 145 crore to Rs 1,945 crore. The company attributed the income increase to growth in toll collections and said higher distributions from InvITs drove the year-on-year increase in profit.
Earnings before interest, tax, depreciation and amortisation, or EBITDA, increased Rs 128 crore year on year to Rs 1,102 crore in Q2FY27. Management said toll revenue rose around 15% from a year earlier, citing traffic demand and tariff-linking mechanisms, but the release did not provide the absolute toll-revenue figure or asset-level traffic data.
For the six months ended September 30, 2026, IRB Infra's standalone cash-flow statement recorded net cash generated from operating activities of Rs 470.141 crore, compared with net cash used in operating activities of Rs 267.873 crore in the six months ended September 30, 2025. Cash and cash equivalents stood at Rs 71.732 crore at September 30, 2026, down from Rs 186.710 crore at March 31, 2026.
How does IRB Infra plan to use the released equity?
IRB Infra said the Rs 2,744 crore equity release provides opportunities to explore new sectoral opportunities worth approximately Rs 8,000 crore. This is management's stated potential use of the capital, rather than a commitment to invest the full Rs 8,000 crore or an announcement of identified projects.
Chairman and Managing Director Virendra D. Mhaiskar said the transfer allows capital to be recycled for growth under the BEST strategy. The November 5, 2026 release did not identify the sectors, projects, funding mix, regulatory approvals or timetable associated with the approximately Rs 8,000 crore opportunity set.
IRB Infra said its group has entered a cash-harvesting phase after completing its asset-creation phase. The company said this phase is supported by InvIT monetisation and sponsor-led operating leverage, with recurring toll revenue, operation and maintenance income, and InvIT distributions linked to a portfolio with an approximately 21-year weighted average residual concession life.

How large is IRB Infra's highway portfolio?
IRB Infra said its group portfolio has 27 revenue-generating highway assets across 13 Indian states and an asset base of approximately Rs 94,000 crore. The platform records approximately 1.5 million vehicle crossings each day and accounts for nearly one-tenth of India's total toll revenue, according to the company.
The Rs 94,000 crore platform value differs from IRB Infra's standalone balance-sheet total assets of Rs 32,690.844 crore at September 30, 2026. Standalone total assets were Rs 246.804 crore higher than Rs 32,444.040 crore at March 31, 2026, while standalone total equity increased to Rs 16,232.983 crore from Rs 15,961.081 crore.
Standalone total liabilities were Rs 16,457.861 crore at September 30, 2026, compared with Rs 16,482.961 crore at March 31, 2026. The release does not reconcile the group asset-base measure of approximately Rs 94,000 crore with the standalone financial-statement total, so the two figures should not be treated as the same measure.
What is IRB Infra's FY2030 expansion target?
IRB Infra has set a roadmap to expand its asset base to approximately Rs 1,40,000 crore by FY2030, from approximately Rs 94,000 crore currently. That represents a planned increase of approximately Rs 46,000 crore, which management said it intends to pursue through asset churn and reinvestment of proceeds into new opportunities.
The Q2FY27 transfer is one disclosed example of that churn strategy, moving two BOT assets to the public InvIT and releasing Rs 2,744 crore of equity. However, IRB Infra did not provide a year-by-year investment plan, project pipeline, acquisition list or financing structure needed to reach the FY2030 asset-base target.
The company cautioned that forward-looking statements are subject to risks and uncertainties, including execution of expansion plans, regulatory approvals, cash-flow projections, market risks and the satisfaction of conditions precedent for transactions. Those qualifications apply to the approximately Rs 8,000 crore opportunities and the Rs 1,40,000 crore FY2030 roadmap rather than to the already completed Q2FY27 asset transfer.
Conclusion
IRB Infra's transfer of two BOT highways to its sponsored public InvIT released Rs 2,744 crore of equity in Q2FY27, alongside an 85% year-on-year increase in net profit to Rs 260 crore. The disclosure connects asset monetisation, toll-led income growth and InvIT distributions within the company's stated approach to recycling capital from mature road assets.
The next point to watch is whether IRB Infra identifies and executes opportunities within the approximately Rs 8,000 crore potential pipeline and advances towards its approximately Rs 1,40,000 crore FY2030 asset-base target. Subsequent disclosures may also clarify further asset churn, capital deployment, toll growth and any conditions precedent affecting future transactions.
