What is MosChip asking shareholders to approve?
MosChip is asking shareholders to approve the preferential allotment of up to 50,50,686 fully paid equity shares to shareholders of Vayavya Labs. The board approved the proposal on 28 October 2026, and the special resolution is scheduled for consideration at the extraordinary general meeting on 25 November 2026.
Each proposed share has a face value of ₹2 and an issue price of ₹222.14, including a premium of ₹220.14 per share. The maximum stock consideration is ₹112.1959388 crore, and MosChip says it will receive Vayavya Labs purchase shares rather than cash for this allotment. Accordingly, the filing says no proceeds will arise from the preferential issue and a monitoring agency is not required under the applicable Securities and Exchange Board of India regulations.
The share issue forms one part of MosChip's planned acquisition of a 73% controlling interest in Vayavya Labs. MosChip has separately proposed cash consideration of ₹154.52 crore to acquire 2,87,474 Vayavya Labs shares, while the swap shares relate to the acquisition of another 2,08,773 Vayavya Labs shares. It has also approved shareholder agreements to acquire the remaining 27% after two financial years, in FY 2028-29.
How was MosChip's ₹222.14 issue price set?
MosChip set the ₹222.14 issue price at the floor price determined under Chapter V of the Securities and Exchange Board of India Issue of Capital and Disclosure Requirements Regulations, 2018, or SEBI ICDR Regulations. The relevant date was 26 October 2026, 30 days before the shareholder meeting scheduled for 25 November 2026.
MosChip selected the National Stock Exchange of India, or NSE, as the recognised stock exchange because it had higher trading volumes than BSE during the preceding 90 trading days. The 90-trading-day volume-weighted average price, or VWAP, was ₹222.14 a share, compared with ₹179.65 for the preceding 10 trading days. The 90-day measure was therefore ₹42.49 a share higher and set the applicable floor.
MosChip obtained a pricing certificate dated 28 October 2026 from B S S & Associates, practising company secretaries, to certify compliance with the Regulation 164 pricing formula. The explanatory statement also says independent registered valuer V. Gangadhara Rao N assessed the fair value of MosChip equity shares at ₹222.14 per share on 28 October 2026.
How will the proposed allotment affect MosChip ownership?
MosChip's promoter and promoter-group holding would remain 7,64,44,928 shares after the proposed issue, but its percentage ownership would fall to 35.75% from 39.15% on the diluted basis used in the filing. That represents a 3.40-percentage-point decline without a stated sale of promoter shares.
The filing projects public shareholding at 64.16% after the issue, up from 60.75% before it. The overall diluted share count is shown rising to 21,38,56,200 from 19,52,78,626 shares, although the increase shown in the annexure exceeds the maximum 50,50,686 shares authorised under this preferential resolution. The document does not explain that difference.
The allotment is proposed for 69 identified Vayavya Labs shareholders, comprising individuals, a Hindu Undivided Family, companies and limited liability partnerships. MosChip classifies all of them as non-promoters before and after the transaction and states there would be no change in management or control. The allottee schedule, however, totals 50,51,519 shares, or 2.36% on a diluted basis, compared with the authorised maximum of 50,50,686 shares.

What does MosChip receive through the Vayavya Labs acquisition?
MosChip would receive a 73% controlling stake in Vayavya Labs, subject to shareholder approval, statutory and regulatory approvals, and completion of conditions precedent in the share purchase agreement. On completion, Vayavya Labs would become a MosChip subsidiary on a going-concern basis, together with its intellectual property, employees, customers and trade partners.
Vayavya Labs was incorporated in 2006 and is headquartered in Belagavi, with delivery centres in Belagavi and Bengaluru. Its disclosed capabilities include embedded software and systems, digital twins, virtual electronic control units, software-driven verification, advanced driver-assistance systems validation and automotive functional safety. The filing says Vayavya Labs holds nine granted patents and has a wholly owned California subsidiary that would become a step-down subsidiary of MosChip.
MosChip says the transaction is intended to scale its software-led Product Engineering Solutions business and take combined headcount above 2,000 employees. The combined delivery footprint would cover Ahmedabad, Belagavi, Bengaluru, Hyderabad, Pune and Silicon Valley in the United States. Management identifies cross-selling opportunities for embedded and automotive software to MosChip customers and for MosChip's silicon, intellectual-property and system-design capabilities to Vayavya Labs customers.
When can MosChip complete the preferential allotment?
MosChip says it must complete the allotment within 15 days of shareholder approval, unless required regulatory approval or permission remains pending. If such approval is pending, the 15-day period will run from the date on which the last required approval or permission is received.
Allotment is conditional on MosChip receiving the Vayavya Labs purchase shares from the proposed allottees. The new shares will be fully paid on allotment and will rank equally with existing MosChip shares for voting rights and dividends. MosChip plans to apply to BSE and NSE for listing of the shares.
The allotment will be subject to the lock-in requirements under Chapter V of the SEBI ICDR Regulations. Any MosChip shares already held by the proposed allottees are also to be locked in from 26 October 2026 until 90 trading days after trading approval. The proposed allottees represented that they had not sold or transferred MosChip equity shares during the 90 trading days preceding the relevant date.
Conclusion
MosChip's proposal uses a maximum ₹112.1959388 crore of equity consideration and ₹154.52 crore of cash consideration to obtain a 73% stake and management control in Vayavya Labs. The stock component is priced at the higher 90-day SEBI ICDR VWAP benchmark of ₹222.14, while the company projects promoter-group ownership will decline to 35.75% despite its share count remaining unchanged.
The immediate event to watch is the special-resolution vote on 25 November 2026. If shareholders approve it, completion will depend on the stated conditions precedent and required permissions, followed by final allotment and stock-exchange listing. MosChip has also disclosed a plan to acquire the remaining 27% of Vayavya Labs in FY 2028-29.
