What board changes did Sigma Advanced Systems approve?
Sigma Advanced Systems approved Galla Jayadev as an independent, non-executive additional director and Urkavalan Jeya Santhi as an independent woman, non-executive additional director, both effective November 6, 2026. On the same date, it noted the resignations of independent directors Suryanarayana Raju Nandyala and Uma Garimella, and non-executive director Leona Ambuja.
Sigma Advanced Systems designated Lt. Gen. (Retd.) Raju Somashekar Baggavalli, an existing non-executive independent director, as chairman with effect from November 6, 2026. It also redesignated Kartheek Raju Chintalapati from non-executive director to whole-time director and promoter for five years, subject to shareholder approval, while naming him vice chairman from that date.
The Sigma Advanced Systems board meeting ran from 2:50 p.m. to 4:50 p.m. on November 6, 2026. It also approved unaudited financial results for the quarter and half year ended September 30, 2026, a postal-ballot notice and a potential securities issue of up to Rs 3,000 crore.
Who are the new Sigma Advanced Systems independent directors?
Sigma Advanced Systems appointed Galla Jayadev, whose profile describes him as an entrepreneur and business leader with experience in management, strategic planning and industry development. He holds a bachelor’s degree in political science and economics from the University of Illinois at Urbana-Champaign and has served two Lok Sabha terms representing Guntur.
Jayadev has been associated with Amara Raja Energy & Mobility Limited as a co-founder since 1985 and joined its board in 1994, according to the filing. Sigma Advanced Systems said he is not related to any of its directors and is not debarred from holding a directorship by an order of the Securities and Exchange Board of India or another authority.
Sigma Advanced Systems also appointed Urkavalan Jeya Santhi, a defence scientist with more than 36 years of experience at the Defence Research and Development Organisation, or DRDO. Her disclosed expertise includes cryptology, information security, signals and speech analysis, and quantum communications.
Santhi previously served as director of DRDO’s Scientific Analysis Group and director general for human resources at DRDO headquarters, where the filing says she oversaw human-resource management across more than 50 DRDO establishments. Since July 2025, she has been director of the DRDO Industry Academia Centre of Excellence at IIT Delhi, leading collaborative work in indigenous research, quantum communications and defence technology development.
Why did three Sigma Advanced Systems directors resign?
Sigma Advanced Systems recorded the resignations of Nandyala, Ambuja and Garimella effective at the end of business hours on November 6, 2026. Nandyala and Garimella were independent directors, with Garimella also holding the independent woman-director position, while Ambuja was a non-executive director.
Nandyala and Garimella cited increasing professional commitments and other engagements that prevented them from devoting the necessary time to board responsibilities. Both said there were no other material reasons for resigning and no concerns or disagreements with the board or management requiring stock-exchange disclosure.
Ambuja cited other pre-occupations in Sigma Advanced Systems’ resignation annexure. Her November 6, 2026 letter separately said her departure was not due to a disagreement with the board or management and that no other material reason existed beyond the one stated.
The two appointments replace the disclosed independent and independent woman-director positions affected by the departures. Baggavalli remains an independent non-executive director after becoming chairman, while Jayadev and Santhi joined the board as additional directors on November 6, 2026.

How did Sigma Advanced Systems change executive leadership?
Sigma Advanced Systems redesignated Sunil Kumar Kalidindi from whole-time director to managing director for five years from November 6, 2026, subject to shareholder approval at the ensuing general meeting. The filing says Kalidindi, aged 43, had headed Sigma Advanced Systems as executive director and chief executive officer since December 2021.
Kalidindi’s disclosed responsibilities include operations and the development of organic and inorganic growth strategy. Sigma Advanced Systems reports a single operating segment, aerospace and defence, in both its standalone and consolidated results for the half year ended September 30, 2026.
Chintalapati’s change from non-executive director to whole-time director and promoter is likewise for five years from November 6, 2026 and needs shareholder approval. His vice-chairman designation did not carry that stated condition, and took effect on November 6, 2026.
These leadership moves followed corporate expansion during the September 2026 quarter. Sigma Advanced Systems raised about Rs 460 crore through a preferential allotment of 1,32,56,470 equity shares with a face value of Rs 10 each, and allotted 4,32,777 shares for non-cash consideration to acquire an additional 25% interest in AS Strategic Private Limited, taking its holding to 76%.
What financial and capital decisions accompanied the changes?
Sigma Advanced Systems reported consolidated revenue from operations of Rs 417.07 crore for the quarter ended September 30, 2026, compared with Rs 374.28 crore in the quarter ended June 30, 2026. Profit attributable to owners of the parent increased to Rs 42.46 crore from Rs 23.90 crore over the same sequential comparison.
During the quarter ended September 30, 2026, Sigma Advanced Systems acquired 100% of Bromford Precision Solutions Limited in the United Kingdom through wholly owned subsidiary Sigma Advanced Systems UK Limited. The company said Bromford’s financial statements were consolidated from the date control was acquired.
Sigma Advanced Systems also approved fundraising in one or more tranches of up to Rs 3,000 crore through equity shares or other eligible securities. The stated routes include a further public offer, preferential allotment, rights issue, private placement and qualified institutional placement, with method, timing, pricing and terms to be decided by the board or a duly constituted committee, subject to required approvals.
Conclusion
Sigma Advanced Systems combined two independent-director appointments, three resignations and a change of chairman on November 6, 2026, while revising its executive structure. The decisions coincided with sequential growth in consolidated revenue to Rs 417.07 crore and the consolidation of a UK acquisition during the quarter ended September 30, 2026.
The next disclosed governance step is shareholder consideration of Kalidindi’s five-year managing-director term and Chintalapati’s five-year whole-time-director term at the ensuing general meeting. Investors will also watch whether Sigma Advanced Systems uses its Rs 3,000 crore fundraising authority, as the issuance method, timing, investor base and pricing have not yet been determined.
