What has Xpro India approved for XDF?
Xpro India approved a corporate guarantee of up to AED 83 million in favour of Emirates Development Bank P.J.S.C., or EDB, on November 3, 2026. The guarantee secures XDF’s payment of principal and interest under an AED 63 million term facility and an AED 20 million cash-credit facility, which together equal AED 83 million.
The AED 63 million term facility is proposed to refinance and repay XDF’s existing Euro-denominated facility from AKA Ausfuhrkredit-Gesellschaft mbH, or AKA. The AED 20 million cash-credit facility is a separate component of the new EDB-backed financing structure, while the disclosed corporate-guarantee cap is approximately Rs 215 crore.
Xpro India approved the guarantee at the board meeting that also cleared its unaudited standalone and consolidated results for the quarter and six months ended September 30, 2026. The company identified XDF as its subsidiary and stated that the promoter and promoter group have no interest in the transaction other than as shareholders generally.
How will the EDB facilities replace the AKA-backed arrangement?
The EDB term facility is proposed to replace the borrowing that XDF had obtained from AKA, while the existing EUR 23.72 million guarantee in favour of AKA will be cancelled subsequently. Xpro India said that cancellation depends on completing the necessary documentation and formalities, rather than occurring immediately upon board approval on November 3, 2026.
The disclosure therefore describes a transition between financing arrangements. Xpro India has approved the AED 63 million refinancing facility and AED 20 million cash-credit line, but it has not disclosed the interest rate, maturity, repayment schedule, drawdown position or completion date for either EDB facility.
The earlier AKA guarantee is denominated in euros, whereas the replacement facilities and new guarantee are denominated in UAE dirhams. The filing does not provide an Indian-rupee equivalent for the EUR 23.72 million AKA guarantee, but it gives an approximate Rs 215 crore equivalent for the AED 83 million new guarantee.
What does the guarantee mean for Xpro India’s accounts?
Xpro India said the guarantee would have no effective impact on the listed entity because XDF’s financial statements are consolidated with its own. That accounting statement reflects the parent-subsidiary relationship, while the announced guarantee remains a commitment of up to approximately Rs 215 crore supporting XDF’s repayment obligations.
At September 30, 2026, Xpro India reported consolidated assets of Rs 1,241.2388 crore and consolidated liabilities of Rs 427.8258 crore. Consolidated non-current borrowings declined to Rs 232.5902 crore from Rs 244.2657 crore at March 31, 2026, while current borrowings declined to Rs 41.0998 crore from Rs 44.5468 crore.
The other auditor’s reviewed financial information for XDF showed assets of Rs 486.433 crore at September 30, 2026. It also showed a net loss after tax of Rs 4.4894 crore and net cash outflows of Rs 83.6131 crore for the six-month period ended September 30, 2026.
Xpro India’s consolidated financial statements include only one subsidiary, XDF, according to the group-entity list in the auditor’s review. The auditor’s conclusion on the consolidated results was not modified, although it relied on another auditor’s review for the subsidiary’s interim financial information.

How did Xpro India’s India and Outside India segments perform?
Xpro India’s Outside India segment recorded a loss of Rs 0.7037 crore for the six months ended September 30, 2026, compared with a loss of Rs 9.2164 crore in the corresponding 2025 period. The India segment result increased to Rs 31.393 crore from Rs 14.0548 crore over the same comparison.
The group’s segment disclosure showed no reported Outside India revenue in either six-month period, while India revenue increased to Rs 351.1146 crore from Rs 264.8114 crore. Xpro India describes the group’s predominant business as polymer processing and assesses performance across its India and Outside India operating segments.
Consolidated profit after tax was Rs 14.8184 crore for the six months ended September 30, 2026, compared with a loss of Rs 0.5132 crore a year earlier. Finance costs increased to Rs 6.382 crore from Rs 3.4079 crore, while revenue from operations rose to Rs 351.1146 crore from Rs 264.8114 crore.
What should investors monitor in the XDF refinancing process?
Investors should monitor completion of the EDB documentation and the subsequent cancellation of the EUR 23.72 million AKA guarantee. Xpro India has not set out a target completion date, meaning the prior guarantee remains subject to cancellation only after the specified formalities are completed.
Future consolidated filings can show whether the AED 63 million term facility has refinanced the AKA borrowing and how the AED 20 million cash-credit facility is used. At September 30, 2026, the Outside India segment had assets of Rs 486.4329 crore and liabilities of Rs 227.09 crore, compared with assets of Rs 494.9371 crore and liabilities of Rs 236.6635 crore at March 31, 2026.
Foreign-exchange movements are another disclosed item to track because the group uses Euro-denominated export credit insurance-backed supplier credits for capital goods, repayable in instalments over 10 years. Xpro India recorded an exchange fluctuation loss of Rs 72.83 lakh for the six months ended September 30, 2026 on these credits.
The company also disclosed unutilised net proceeds of Rs 64.2939 crore from earlier warrant conversions, held in bank deposits by Xpro India and XDF at September 30, 2026 pending intended utilisation. The guarantee announcement does not say whether these funds will be applied to the EDB facilities or the proposed refinancing.
Conclusion
The board approval creates an AED 83 million financing-support framework for XDF, combining a proposed AED 63 million refinancing loan with an AED 20 million cash-credit line. It shifts the subsidiary’s planned borrowing support from the existing AKA-linked euro arrangement to EDB, while the group’s September 2026 accounts still include XDF’s assets, losses and cash outflows.
The next disclosed event is completion of the EDB documentation and formal cancellation of the EUR 23.72 million AKA guarantee. Future results should clarify the timing and use of the proposed facilities, the subsidiary’s cash flows, and whether financing costs or foreign-exchange effects change after the refinancing process.
