What did DPIL acquire from STAC’s shareholders?
DPIL acquired the entire 100% stake in ST Advanced Composites Private Limited, referred to as STAC, from its erstwhile shareholders for Rs 1.50 crore. The effective date was 17 September 2026, and STAC was included as DPIL’s wholly owned subsidiary in the consolidated unaudited results for the quarter and half-year ended 30 September 2026.
The Board considered and approved the September 2026 standalone and consolidated results on 6 November 2026. Deloitte Haskins & Sells identified two entities within the consolidated group: DPIL as the parent and STAC as the subsidiary, confirming that the acquisition changed the group’s reporting perimeter during the September quarter.
DPIL’s filing says the group operates in one business segment, the manufacture, sale and service of defence electronics. It does not disclose STAC’s products, customer base, production facilities or a separate operating segment, so the announcement establishes ownership and consolidation but does not specify STAC’s operational role after the 17 September 2026 acquisition.
How much did DPIL pay and what accounting remains provisional?
DPIL paid Rs 1.50 crore to the erstwhile shareholders for STAC’s equity stake. The filing does not disclose deferred consideration, contingent consideration, a share issue, borrowings used for the acquisition, or another payment component beyond the stated cash consideration.
The Rs 1.50 crore consideration is distinct from STAC’s Rs 11.90 crore of total assets at 30 September 2026. Consideration is the disclosed price for the shares, whereas total assets are a balance-sheet measure; the announcement does not provide acquired liabilities, identifiable net assets, fair-value adjustments or a reconciliation between the two amounts.
DPIL said the initial accounting for the business combination was incomplete as at 30 September 2026. It had recorded provisional amounts for currently identified assets and liabilities and was carrying out a detailed purchase price allocation, or PPA, through an independent expert during the measurement period.
The filing does not disclose a quantified goodwill balance from the transaction. It also does not state provisional fair values for assets or liabilities, identify acquired intangible assets, or give a date by which the PPA will be completed, although management said it was confident of completing the evaluation during the measurement period.

What did STAC contribute in the September 2026 period?
STAC reported total revenue of nil for both the quarter and half-year ended 30 September 2026. Its interim financial information also recorded a net loss after tax of Rs 15 lakh and a total comprehensive loss of Rs 15 lakh for each period, according to the consolidated auditor’s review report.
The subsidiary reported net cash flows of negative Rs 71 lakh for the half-year ended 30 September 2026 and total assets of Rs 11.90 crore as at that date. The supplied disclosure does not break down those assets, cash flows or the loss into individual expense, asset or liability categories.
The reported September-quarter revenue from operations was Rs 133.25 crore in both DPIL’s standalone and consolidated statements. Consolidated profit for the quarter was Rs 21.82 crore, compared with standalone profit of Rs 21.97 crore, a difference of Rs 15 lakh that matches STAC’s reported quarterly net loss after tax.
Deloitte Haskins & Sells did not itself review STAC’s interim financial information. For STAC’s figures, the firm relied on another auditor’s review report furnished by management, together with its own procedures, and said its conclusion on the consolidated results was not modified.
Why does DPIL say the results are not comparable?
DPIL says the quarter and half-year ended 30 September 2026 are not comparable with the other reported periods because they include both the holding company and STAC. The quarter ended 30 September 2025, the half-year ended 30 September 2025 and the year ended 31 March 2026 instead represent standalone results of the holding company.
For the half-year ended 30 September 2026, consolidated revenue from operations was Rs 249.28 crore and profit for the period was Rs 43.88 crore. The corresponding half-year ended 30 September 2025 showed standalone revenue from operations of Rs 406.79 crore and standalone profit of Rs 74.69 crore, but DPIL’s note cautions against direct comparison because the reporting basis changed.
The September 2026 quarter also differed from the immediately preceding quarter in reported scope. Consolidated revenue from operations was Rs 133.25 crore for the quarter ended 30 September 2026, versus Rs 116.03 crore in the 30 June 2026 standalone quarter, while consolidated profit was Rs 21.82 crore versus standalone profit of Rs 22.06 crore.
STAC’s nil revenue means the acquisition did not change the reported Rs 133.25 crore September-quarter revenue line relative to DPIL’s standalone statement. However, the subsidiary’s Rs 15 lakh loss and its inclusion from the 17 September 2026 effective date mean the consolidated profit and balance-sheet presentation incorporate a business that earlier reported periods did not contain.
Conclusion
DPIL obtained full ownership of STAC for Rs 1.50 crore effective 17 September 2026 and consolidated the subsidiary in its September 2026 results. STAC brought Rs 11.90 crore of reported total assets into the group information but recorded nil revenue, a Rs 15 lakh net loss and negative Rs 71 lakh of half-year cash flows in the disclosed interim figures.
The next disclosed matter to watch is completion of the independent-expert PPA during the measurement period. DPIL has not given a completion date or reported quantified goodwill, final fair values, acquired liabilities or intangible assets, so a later disclosure on those items would show how the Rs 1.50 crore consideration is ultimately allocated in the consolidated accounts.
