Emami Limited said its consolidated results for the quarter and half year ended September 30, 2026 are not comparable with prior periods because Axiom and IncNut were consolidated from April 1 and June 1, 2026, respectively, following transactions valued at Rs 200 crore and Rs 320.99 crore.

Why are Emami’s 2026 results not comparable?
Emami’s prior-period comparisons are not comparable because its consolidated group added Axiom from April 1, 2026 and IncNut from June 1, 2026. The filing states that the September 2026 quarter and half-year results include the impact of each business combination from those respective effective dates, while the corresponding 2025 periods did not include either company as a subsidiary.
This reflects a changed consolidation perimeter rather than a restatement of earlier accounts. Axiom contributed for the full six months ended September 30, 2026, while IncNut contributed for four months of that period. The filing does not disclose either company’s separate revenue, profit, cash flow or other operating contribution, so the reported movement cannot be apportioned between acquisitions and Emami’s existing operations.
Consolidated revenue from operations was Rs 1,087.65 crore in the September 2026 quarter, against Rs 798.51 crore in the September 2025 quarter. Half-year revenue rose to Rs 2,126.86 crore from Rs 1,702.60 crore, while half-year profit after tax declined to Rs 284.44 crore from Rs 312.61 crore.
How did Emami acquire Axiom?
Emami acquired control of Axiom through a share purchase agreement dated April 1, 2026, having held a 26.5% equity stake as at March 31, 2026. It agreed to acquire the remaining 73.5% for total consideration of Rs 200 crore and paid a first tranche of Rs 100 crore, after which Axiom became its subsidiary effective April 1, 2026.
The second Rs 100 crore tranche was not described as paid in the filing. Emami instead recorded a financial liability for that payment, meaning the September 30, 2026 consolidated balance sheet includes an obligation associated with the agreed Axiom consideration. The filing does not state the settlement date or other terms for the second tranche.
Axiom’s acquired assets and liabilities were provisionally determined under Indian Accounting Standard 103, or Ind AS 103, which governs business combinations. Emami said the transaction’s effects were included from April 1, 2026, but did not provide a provisional purchase-price allocation, separate goodwill amount, or Axiom-specific revenue and earnings for the April-to-September period.

What are the terms of Emami’s IncNut transaction?
Emami acquired a controlling 60% stake in IncNut on a fully diluted basis for Rs 320.99 crore under a share subscription and purchase agreement dated May 7, 2026. IncNut became a subsidiary on June 1, 2026, placing four months of its financial results in the half year ended September 30, 2026.
The acquisition did not cover IncNut’s entire share capital at closing. Emami said it will acquire the remaining 40% stake through subsequent tranches over the next four years under the agreement’s terms. It recorded a financial liability at fair value for that remaining stake, but did not disclose individual future payment dates or tranche values.
IncNut’s acquired assets and liabilities were also provisionally determined under Ind AS 103. That accounting treatment is relevant to the September 30, 2026 balance sheet because the filing does not provide a final allocation of consideration between identifiable assets, goodwill and liabilities for either IncNut or Axiom.
The half-year cash-flow statement records Rs 359.23 crore of payment toward business combinations, net of cash and cash equivalents acquired, compared with no such payment in the half year ended September 30, 2025. It also reports Rs 1.52 crore of cash and cash equivalents acquired on business acquisitions, without allocating either figure between Axiom and IncNut.
What changed in Emami’s balance sheet after consolidation?
Emami’s total assets increased to Rs 4,484.93 crore at September 30, 2026 from Rs 3,836.44 crore at March 31, 2026. Goodwill rose to Rs 262.61 crore from Rs 68.19 crore, while other intangible assets increased to Rs 664.62 crore from Rs 206.81 crore during the period in which the two acquisitions were accounted for provisionally.
The balance sheet also records larger financial obligations. Non-current borrowings were Rs 73.33 crore at September 30, 2026 compared with nil at March 31, 2026, and non-current other financial liabilities rose to Rs 219.30 crore from Rs 3.21 crore. The filing identifies liabilities for Axiom’s second tranche and IncNut’s remaining interest, but does not assign reported balances to either transaction.
Current assets fell to Rs 1,825.13 crore from Rs 1,934.86 crore even as total assets grew. Cash and cash equivalents declined to Rs 47.36 crore from Rs 176.75 crore, and current investments decreased to Rs 184.92 crore from Rs 471.88 crore. The cash-flow statement also shows Rs 207.33 crore spent on share buyback including transaction costs and taxes during the half year.
Emami operates in one segment, Personal and Healthcare, rather than reporting Axiom or IncNut as separate operating segments. Revenue within India was Rs 1,817.41 crore in the half year ended September 30, 2026, up from Rs 1,380.72 crore a year earlier, while revenue outside India was Rs 309.45 crore versus Rs 321.88 crore.
Conclusion
The key implication of Emami’s disclosure is that the September 2026 consolidated results combine its existing operations with Axiom for six months and IncNut for four months. Revenue from operations increased to Rs 2,126.86 crore, but the filing does not separate the acquired companies’ contribution, and it explicitly says the resulting quarter and half-year figures are not comparable with previous periods.
The next disclosed matters to watch are the payment of Axiom’s second Rs 100 crore tranche, IncNut’s remaining 40% acquisition over the next four years, and finalisation of provisional Ind AS 103 acquisition accounting. Emami also set November 13, 2026 as the record date for its interim dividend of Rs 5 per fully paid equity share.
