Why did JITF report a Q2 loss despite revenue growth?
JITF reported a Rs 12.6687 crore consolidated loss after tax for the September 2026 quarter, compared with a Rs 15.9877 crore loss in the quarter ended September 30, 2025. The latest result included a Rs 24.6434 crore exceptional item, while no exceptional item was reported in the comparable prior-year quarter.
Before exceptional items and the share of joint-venture profit or loss, JITF recorded profit before tax of Rs 20.8732 crore, against Rs 0.4876 crore a year earlier. The exceptional item reduced the result to a pre-tax loss of Rs 3.7237 crore, and current tax of Rs 4.6322 crore plus deferred tax of Rs 4.3128 crore resulted in the reported quarterly loss.
The cash-flow statement records Rs 49.2867 crore of employee stock-option plan, or ESOP, issue expenses at subsidiary companies for the half year ended September 30, 2026. That amount equals the reported first-half exceptional item, comprising Rs 24.6434 crore in the September quarter and Rs 24.6433 crore in the June quarter.

What audit matters did JITF disclose?
JITF's consolidated reviewer drew attention to a material uncertainty at subsidiary JITF Water Infra (Naya Raipur) Limited. Its operation-and-maintenance concession agreement was not extended by the local authority beyond January 4, 2018, a matter that the subsidiary auditor said may cast significant doubt on its ability to continue as a going concern; neither audit conclusion was modified.
The reviewer also highlighted JITF Urban Waste Management (Bathinda) Limited, which prepared its financial statements on a going-concern basis based on its assessment of receiving the arbitration award and additional promoter support. The tribunal's May 21, 2025 award held that the contract termination was illegal and required continued performance until concession expiry or valid termination, while the subsidiary's Section 34 challenge remains pending before the District Court, Chandigarh.
The review relied on other auditors for 19 subsidiaries that reported Rs 757.9590 crore of quarterly revenue and Rs 5.5350 crore of quarterly profit after tax. It also included four subsidiaries with revenue of Rs 43.91 lakh and a loss after tax of Rs 0.73 lakh, based on management-provided financial information not reviewed by their auditors; management said those amounts were not material to the group.
Conclusion
JITF's September-quarter revenue growth was led by water infrastructure, and profit before exceptional items improved from Rs 0.4876 crore to Rs 20.8732 crore. However, the Rs 24.6434 crore quarterly exceptional item, identified through the half-year cash-flow disclosure as part of subsidiary ESOP issue expenses, and Rs 8.9450 crore of tax expense left the group loss-making.
Next, readers should watch whether water infrastructure maintains its Rs 611.3522 crore quarterly revenue level, whether the Rs 406.8874 crore operating cash outflow moderates as receivables move, and the outcome of the pending Bathinda court challenge. The unresolved Naya Raipur concession extension, which ended on January 4, 2018, also remains a disclosed going-concern matter.
