Why did Kolte-Patil's profit fall from the June quarter?
Kolte-Patil's September-quarter revenue recognition was lower than in June, with revenue from operations declining from Rs 919.54 crore to Rs 333.37 crore. Profit before tax fell from Rs 199.49 crore to Rs 8.68 crore, while net profit decreased by Rs 140.96 crore. Other income was largely unchanged at Rs 17.14 crore, compared with Rs 17.08 crore in June.
Kolte-Patil states that profit or loss from certain real-estate transactions does not necessarily accrue evenly through a year, meaning a quarterly result may not represent annual profitability. It also reports no separate operating segments under Indian Accounting Standard 108 because it is predominantly engaged in real estate. The filing therefore provides no project-level segment split for the Rs 586.17 crore sequential revenue decline.

What debt and corporate actions should investors track?
Kolte-Patil fully redeemed two sets of non-convertible debentures, or NCDs, during the previous quarter: Rs 110.90 crore of secured listed NCDs subscribed by Marubeni Corporation and Rs 140 crore of secured unlisted NCDs subscribed by India Realty Excellence IV. The listed NCDs were issued on December 22, 2023 and April 10, 2023, respectively, and were redeemed with the applicable redemption premium.
The four remaining listed NCD series had aggregate outstanding principal of Rs 351.13 crore at September 30, 2026. Their reported security cover ranged from 1.04 times to 1.86 times, based on underlying-project valuations dated March 31, 2026 or September 30, 2026. The company says redemption premiums are linked to collections from sales of earmarked units under the relevant debenture trust deeds.
The board approved a draft amalgamation on May 22, 2026, under which wholly owned subsidiaries Kolte-Patil Lifespaces Private Limited and Kolte-Patil Smart Spaces Private Limited would merge with Kolte-Patil with an appointed date of April 1, 2026. The scheme remains conditional on statutory and regulatory approvals, including National Company Law Tribunal approval, member approval and applicable creditor consent.
Separately, Kolte-Patil Foundation ceased to be a Section 8 company and became Kolte-Patil Homes Private Limited from September 28, 2026. Kolte-Patil also granted 241,574 employee stock options during August 2026 at an exercise price of Rs 10 each. The options vest over three years in proportions of 50%, 25% and 25%, subject to applicable employment, performance and market conditions.
Conclusion
Kolte-Patil returned to quarterly profitability and reported substantially higher first-half revenue and profit than a year earlier, but the September quarter showed a marked decline from June. The shift from Rs 146.66 crore of June-quarter profit to Rs 5.70 crore in September is consistent with the company's disclosure that real-estate transaction gains and losses may not accrue evenly across quarters.
The next disclosed matter to watch is progress on the amalgamation of the two wholly owned subsidiaries, which still requires tribunal, member, creditor and other applicable approvals. Subsequent disclosures on the Rs 351.13 crore of outstanding listed NCD principal are also relevant because their redemption premium is tied to collections from earmarked unit sales.
