In Q2 FY27, Nirlon Limited said it had begun evaluating an as-is-where-is sale of Nirlon House, an asset with 14 individual owners, because that strata structure complicates redevelopment. Nirlon has not committed to a sale or disclosed a valuation, buyer, timetable or intended use of potential proceeds.

Why is Nirlon evaluating a Nirlon House sale?
Nirlon is evaluating a sale because Nirlon House is historically owned by multiple parties, making redevelopment more complicated than its institutional-client business at Nirlon Knowledge Park. Management said the property involves 14 individual owners and is a completely different business to manage for a listed, institutionally owned company.
Management said it had started a process to evaluate the potential commercial value of Nirlon House on an as-is-where-is sale basis. The stated rationale is that, if Nirlon cannot redevelop the property because of the multiple-owner structure and related restrictions, it would seek to monetise the asset to the best extent possible.
The company did not announce an agreement to sell, appoint a buyer or provide a target value. On the November 2, 2026 call, management also declined to confirm an investor's suggested floor-space index, or FSI, saying FSI depends on factors including road width and other terms and conditions.
That response leaves the development potential, buyer interest and transaction structure unresolved. Management instead directed attention to the applicable Development Control and Promotion Regulations, or DCPR, while saying it would not confirm or deny a specific FSI figure during the call.
How significant is Nirlon House to Nirlon's current operations?
Nirlon House is not Nirlon's primary revenue asset at present, according to management, with Nirlon Knowledge Park remaining central to the operating business. Average occupancy across the combined Nirlon Knowledge Park and Nirlon House portfolio was 99.8% in Q2 FY27, although Nirlon did not disclose separate occupancy or rental income for Nirlon House.
Nirlon reported total income of Rs 174 crore for Q2 FY27, up 3% year on year, and earnings before interest, tax, depreciation and amortisation, or EBITDA, of Rs 137 crore, also up 3%. EBITDA margin was 78.4%, illustrating that the current reported earnings base is operating before any potential Nirlon House transaction.
Profit after tax was Rs 72 crore in Q2 FY27, compared with Rs 148 crore in Q2 FY26. Management said the comparison was not comparable because Q2 FY26 included a one-time remeasurement of deferred-tax liability following Nirlon's move to the new tax regime from Q2 FY26.
For the first half of FY27, total income was Rs 347 crore, up 3% year on year, while EBITDA was Rs 270 crore with a margin of 77.88%. First-half profit after tax was Rs 141 crore, but management did not split these figures between Nirlon Knowledge Park and Nirlon House.

What would a Nirlon House sale mean for Nirlon's strategy?
A sale evaluation gives Nirlon a possible monetisation route instead of redevelopment, but management has not made a decision to pursue a transaction. Its stated objective is to obtain the best possible value from Nirlon House, while maintaining the distinction between that asset and the institutional occupier base at Nirlon Knowledge Park.
Nirlon's immediate operating focus remains retaining existing licensees and re-licensing available space at Nirlon Knowledge Park. Management said about 290,000 square feet is due for renewal in FY28 and that it has received no specific commitment from the affected licensees to renew or vacate.
If any of the FY28 space becomes vacant, Nirlon said it would first consider discussions with other existing Nirlon Knowledge Park licensees and then look outside the park for a new licensee. Management said it hoped existing licensees would continue and that it was monitoring the FY28 renewals closely.
Management said it expects demand from global capability centres, or GCCs, in the micro-market to be sufficient to support licensing on commercially beneficial terms if an occupier leaves. It qualified that view by noting that Nirlon has very little vacancy, limiting the number of live enquiries it receives.
Nirlon renewed about 37,000 square feet with NIUM India Private Limited in Q2 FY27, although that space had been due for renewal in FY28. Management did not disclose the rent or escalation on the agreement, but said the terms were consistent with its approach of retaining licensees on commercial terms acceptable to both sides.
How are cash, dividends and debt scheduled while Nirlon evaluates the asset?
Nirlon had Rs 345 crore of cash and bank balances at the end of the first half of FY27, but management said it had no specific plan or action decided for those funds. In response to questions about dividends, debt repayment and other uses, management referred to the company's dividend record rather than announcing a capital-allocation decision.
The FY26 dividend was Rs 30 per share, compared with Rs 26 per share in FY25, an increase management described as approximately 15%. Management said it wanted to remain as consistent as possible, but had not decided whether the FY27 dividend would be higher, lower or unchanged as of November 2026.
Nirlon's dividend policy permits the board, if circumstances require, to declare dividends from accumulated profits of previous financial years. However, management said no FY27 distribution approach had been finalised, despite the policy language and the Rs 345 crore reported cash balance at the half-year point.
Debt repayment is currently expected to follow the existing schedule rather than involve prepayment. Management said Rs 57 crore had moved from long-term to short-term borrowings because repayment of a Hong Kong Bank loan starts in May 2027, and said principal repayment would follow the terms of the HSBC facility agreement.
Conclusion
Nirlon has formally begun assessing an alternative monetisation path for Nirlon House because redevelopment is complicated by 14 individual strata owners. The asset is not Nirlon's primary revenue contributor, while Nirlon Knowledge Park supported 99.8% combined portfolio occupancy and Rs 137 crore of EBITDA in Q2 FY27.
The next disclosed developments to watch are the outcome of the as-is-where-is valuation process, any decision on whether to sell Nirlon House, and management's eventual plan for potential proceeds. Separately, about 290,000 square feet of Nirlon Knowledge Park space is due for renewal in FY28, loan repayment begins in May 2027, and the FY27 dividend remains undecided.
