Why is Shreeji Shipping Global selling shares through an OFS?
Shreeji Shipping Global is undertaking the offer for sale, or OFS, to achieve the minimum public shareholding requirement under Rule 19(2)(b) of the Securities Contracts (Regulation) Rules, 1957 and Regulation 38 of the Securities and Exchange Board of India, or SEBI, Listing Obligations and Disclosure Requirements Regulations, 2015. The company disclosed the proposed transaction to NSE and BSE on November 2, 2026, while the sale itself will use a separate trading window on the National Stock Exchange of India Limited.
The base offer covers up to 30 lakh equity shares, equal to 1.84% of Shreeji Shipping Global’s paid-up equity share capital. Ashokkumar Haridas Lal and Jitendra Haridas Lal may additionally sell up to 13.5 lakh shares, equal to 0.83%, if they exercise the oversubscription option. The maximum 43.5 lakh-share transaction would therefore be 45% larger than the 30 lakh-share base offer and take the sale to 2.67% of paid-up capital.
The shares have a face value of ₹10 each, but the OFS floor price is ₹835 per share. Shreeji Shipping Global said the sale is being conducted under SEBI OFS guidelines, including the NSE’s revised operating guidelines issued on October 13, 2026. Spread X Securities Private Limited is named as the sole broker for the sellers.
When can investors bid for the Shreeji Shipping Global OFS?
Shreeji Shipping Global’s OFS opens for non-retail investors on November 3, 2026, from 9:15 a.m. to 3:30 p.m. Indian Standard Time, and opens for retail investors on November 4, 2026 during the same hours. The first day is described as T day, while the retail session is T+1 day under the OFS process.
Only non-retail investors may place fresh bids on November 3. Non-retail bidders can indicate on T day that they want unallotted bids carried forward to November 4, and may revise those carried-forward bids on T+1 day in accordance with the OFS guidelines. Retail investors may place bids only on November 4, alongside those carried-forward non-retail bids.
The promoters may decide whether to use the additional 13.5 lakh-share option after trading hours on November 3, with the decision to be intimated to the stock exchanges by 5 p.m. The mechanism means the base offer remains 30 lakh shares unless demand and the sellers’ decision result in the maximum 43.5 lakh shares becoming available.
For settlement, bids accepted from non-retail investors on November 3 are scheduled to settle on T+1 day. Retail bids received on November 4, and carried-forward non-retail bids allotted on that day, are scheduled to settle on T+2 day. Shreeji Shipping Global also stated that its shares other than the OFS shares will continue trading in the normal market.
What price and allocation rules apply to Shreeji Shipping Global’s OFS?
Shreeji Shipping Global has set the floor price at ₹835 per share and has offered no retail discount. Non-retail allocation will occur at or above the floor price on a price-priority basis at multiple clearing prices, while retail investors may bid at a price above the floor or select the cut-off price.
The cut-off price is the lowest price at which shares are sold in the non-retail category based on valid November 3 bids. Retail investors who bid below that cut-off price will not be considered for allocation. Although the notice allows for a final retail allocation price below the floor price where a retail discount applies, Shreeji Shipping Global has specified a nil retail discount for this OFS.
At least 25% of the offer shares are reserved for SEBI-registered mutual funds and insurance companies, subject to valid bids at or above ₹835. At least 10% is reserved for retail investors, also subject to valid bids. These reservations apply to the offer shares, so they can apply to either the 30 lakh-share base size or the 43.5 lakh-share maximum size if the oversubscription option is exercised.
No single bidder, except eligible mutual funds and insurance companies, may receive more than 25% of the offer shares. In an oversubscribed retail category, bids at a clearing price or at the cut-off price may be allotted proportionately. Unsubscribed non-retail shares can move to the retail category, while unsubscribed retail shares can be allocated to non-retail investors that carried forward unallotted November 3 bids.

How can retail investors participate in Shreeji Shipping Global’s OFS?
A retail investor in Shreeji Shipping Global’s OFS is an individual whose aggregate bids do not exceed ₹2 lakh across the stock exchange. Retail bidders can submit a price bid above ₹835 or use the cut-off option on November 4, and the clearing corporation will collect 100% margin in cash or cash equivalents at the time of bidding.
An individual may bid in both retail and non-retail categories, but the retail bid becomes ineligible if the combined value across both categories exceeds ₹2 lakh. The notice also says retail bids would be rejected if an individual’s cumulative retail bid value across BSE and NSE exceeds ₹2 lakh, although the sale itself is being conducted only through the NSE trading platform.
Retail orders backed by 100% upfront payment can be modified or cancelled during November 4 trading hours. Non-institutional investors in the non-retail category must deposit 100% of the bid value upfront, while institutional investors can place bids without full upfront payment subject to custodian confirmation and the applicable OFS rules.
Bidders may face securities transaction tax, exchange turnover charges, SEBI fees and stamp duty in addition to the share purchase price. A default in pay-in can result in a penalty equal to 10% of the order value, collected from the broker and credited to the stock exchange’s Investor Protection Fund.
Can Shreeji Shipping Global’s OFS be withdrawn or cancelled?
Shreeji Shipping Global’s sellers may withdraw the OFS any time before the offer opens on November 3, 2026. If they withdraw it, the notice specifies a cooling-off period of 10 trading days before another stock-exchange OFS can be launched.
The sellers may also cancel the offer in full after bidding if sufficient demand at or above ₹835 is not received, or if settlement obligations default. If valid non-retail orders at or above the floor price on November 3 are insufficient, the sellers can cancel the full transaction and not proceed with the November 4 retail session.
A cancellation request can be accepted by the stock exchanges up to 5 p.m. on T day. In a settlement default, the sellers retain discretion either to conclude the OFS to the extent of orders placed or cancel it fully. Promoters and promoter-group members cannot participate as buyers in the OFS, apart from the sellers’ disposal of shares.
Conclusion
Shreeji Shipping Global has set a defined route to reduce promoter holdings through a 30 lakh-share base OFS, with capacity to increase the transaction by 13.5 lakh shares. The ₹835 floor price, the 2.67% maximum stake sale and the November 3-4 timetable establish the disclosed parameters for pursuing minimum public-shareholding compliance.
The next disclosed event is non-retail bidding on November 3, 2026, followed by the promoters’ possible decision by 5 p.m. that day on whether to exercise the 13.5 lakh-share oversubscription option. Investors will also need to watch whether sufficient valid demand emerges at or above ₹835, because the sellers may cancel the OFS if that condition is not met.
